Packing: To be packed in standard export packing that suitable to long distance sea/air transport,and being in accordance with inspection requirements for import packing material issued by China CIQ. 包裝 :使用適合長(zhǎng)途海運(yùn) /空運(yùn)的標(biāo)準(zhǔn)出口包裝，并符合中國(guó)出入境檢驗(yàn)檢疫局對(duì)進(jìn)口包裝材料的檢疫要求。 12. GUARANTEE OF QUALITY： 質(zhì)量保證： The Seller shall guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new, unused, and corresponds to all respects with the quality, specifications and performance stipulated in this Contract. 賣方應(yīng)保證本合同項(xiàng)下的商品由最好的材料制造、工藝一流、全新、未使用過(guò)，并且 在質(zhì)量、規(guī)格和功能各方面符合本合同的約定。在上述情況下，賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。 neither Party shall seek recourse to a law court nor 12 / 16 other authorities to appeal for revision of the decision. The arbitration fee shall be borne by the losing Party. The Arbitration may also be settled in the third country mutually agreed upon by both Parties. 所有與本合同或其履行相關(guān)的糾紛應(yīng)通過(guò)友好協(xié)商解決。任何一方不得向法院或其他機(jī)構(gòu)尋求上訴以變更該等裁決。 OF CONTRACT 合同終止 The Seller may terminate this Contract without prejudice to the Seller’s any other right or remedies in the event that: 在下述情況下賣方可以終止本合同，13 / 16 并且其享有的其他權(quán)利和法律救濟(jì)不應(yīng)受到影響： 1) The Buyer fails to pay money owing to the Seller in strict accordance with the terms set forth hereof or any other agreement entered into between the Buyer and the Sell er。 If the Buyer shall for any reason terminate this Contract in whole or in part, the notice of termination 14 / 16 must be given in writing to the Seller. EFFECTIVENESS OF CONTRACT AND MISCELLANEOUS： 合 同生效和其他條款： This shall be a binding Contract between the Seller and the Buyer. The terms and conditions stated herein 15 / 16 constitute the entire agreement between the Seller and the Buyer and supercede and replace all prior or contemporaneous documents, letters, agreements, written and verbal, between the Seller and the Buyer regarding such products. 本合同在買賣雙方之間應(yīng)為一份有約束力的合同。 This Contract shall be signed by authorized representatives of both Parties.
