己的財(cái)務(wù)、融資等業(yè)務(wù)外包給金融機(jī)構(gòu)的逆向外包。(1)外包不包括購買合同。外包服務(wù)商可以是金融機(jī)構(gòu)的附屬機(jī)構(gòu),也可以是不相關(guān)的第三方,因此可能受監(jiān)管當(dāng)局監(jiān)管,也可能不受監(jiān)管當(dāng)局監(jiān)管。《金融服務(wù)外包征求意見稿》對金融服務(wù)外包的定義是:“受監(jiān)管實(shí)體在持續(xù)經(jīng)營的基礎(chǔ)上,利用外包商來實(shí)施原由受監(jiān)管實(shí)體進(jìn)行的業(yè)務(wù)活動” [46]。業(yè)務(wù)外包是目前國外商業(yè)銀行普遍采用的一項(xiàng)經(jīng)營策略,銀行與外包商的關(guān)系也從提供服務(wù)的契約關(guān)系過渡到戰(zhàn)略伙伴,甚至是戰(zhàn)略聯(lián)盟。第三,業(yè)務(wù)外包涉及到企業(yè)圍繞自身競爭優(yōu)勢的全面再造,是一種嶄新的戰(zhàn)略思維與經(jīng)營模式。目前,已被公認(rèn)為企業(yè)的一種戰(zhàn)略決策或管理模式。20世紀(jì)8090年代,信息技術(shù)(IT)是外包的主要對象,直到現(xiàn)在,銀行業(yè)的外包主要還是集中于IT業(yè)務(wù)的外包,但最近兩三年越來越多的銀行將一些核心業(yè)務(wù)進(jìn)行外包,如人力資源、貸款處理等。EDS長于管理信息技術(shù),而潛在的制造業(yè)客戶專長于設(shè)計(jì)、制造和經(jīng)營。也有些機(jī)構(gòu)每年發(fā)表一份關(guān)于外包的調(diào)查報(bào)告,如德勤和金融研究與服務(wù)公司(Tower Group)。國內(nèi)討論外包的文獻(xiàn)很多,但主要集中于制造業(yè),關(guān)于金融服務(wù)外包的文獻(xiàn)大都發(fā)表在006年,篇數(shù)不多,論述主要集中于外包的好處、銀行IT業(yè)務(wù)外包和一些對策。如今,金融服務(wù)外包的發(fā)展速度之快、涉及金額之大、應(yīng)用范圍之廣給金融機(jī)構(gòu)的整體戰(zhàn)略和運(yùn)營帶來了極大的不確定性:(1)外包的離岸化、多岸化發(fā)展趨勢使得外包面臨更多政治、經(jīng)濟(jì)、法律等宏觀環(huán)境的不確定性;(2)金融服務(wù)外包的混合化趨勢,導(dǎo)致IT方面的風(fēng)險(xiǎn)滲透到商業(yè)操作中,使得金融服務(wù)外包的風(fēng)險(xiǎn)更為復(fù)雜和隱蔽;(3)外包的整合化、縱深化發(fā)展趨勢使金融服務(wù)外包越來越具有戰(zhàn)略重要性,成為金融機(jī)構(gòu)全局可持續(xù)發(fā)展的戰(zhàn)略之一,同時(shí)也帶來了戰(zhàn)略上的不確定性;(4)從金融服務(wù)外包迅速增長、自建外包中心等趨勢看,它對各類資源以及能力的要求也會越來越高,而這些資源和能力與這種發(fā)展戰(zhàn)略的匹配度和平衡性也會涉及相應(yīng)的風(fēng)險(xiǎn)。如建設(shè)銀行將準(zhǔn)貸記卡的銷售活動外包給聯(lián)銀公司,這一舉動帶來了營銷外包在銀行業(yè)的飛速發(fā)展;之后,招商銀行信用卡中心也在北京、上海等地建立起信用卡直銷隊(duì)伍,中信實(shí)業(yè)銀行也找來一家外包公司開展直銷。而到2004年,已經(jīng)有超過67%的企業(yè)向海外外包金融服務(wù)與操作業(yè)務(wù);另外還有13%的機(jī)構(gòu)表示,他們正在計(jì)劃向海外轉(zhuǎn)移部分業(yè)務(wù)。如2003年,美國運(yùn)通、GE Capital等都向海外大規(guī)模地外移了客戶呼叫中心與軟件開發(fā)業(yè)務(wù);2004年5月美洲銀行在印度增設(shè)了第一個(gè)離岸“清算/后勤辦公室”;JP Morgan Chaseamp。從行業(yè)的角度看,外包主要包括兩類:制造業(yè)外包和服務(wù)業(yè)外包,其中服務(wù)業(yè)外包又以IT外包和金融服務(wù)外包為主導(dǎo)。關(guān)鍵詞:金融服務(wù)外包、信息技術(shù)外包、業(yè)務(wù)流程外包、金融機(jī)構(gòu)、供應(yīng)商、風(fēng)險(xiǎn)因素、風(fēng)險(xiǎn)控制THE another enterprise’s financial business entirely or ,financial service outsourcing hasdifferent types and thereby has heterogeneous characteristics such as offshore operations,huge capital volume,timeconsuming and strategic importance.The reasons for the quick development of financial service outsourcing include the indirect motivations as of fast evolving information technology, continuous development of free markets and the other financial innovations,as well as the direct causes as of the low cost control,the petition for the limited resources,the focus on core business,the desire for risk control and sustainable its rapid development,outsourcing is still highly ,this thesis also presents the possible risks during theoutsourcing and the effective approaches to identify,evaluate and control those of financial service outsourcing.The thesis introduces the academic foundation,Transaction Costs Theory and Core Competence the analysis of the current status and trend for financial service outsourcing and result of questionnaire survey, three categories of service types are remended to be applicable in China outsourcing on the operation mechanism of risk factors,eight types of risks are listed:the decision making risks,human resources risks,financial risks,management risks,system risks,technical risks,market risks and service provide risks.Due to the plex outsourcing risks,both internal control and external supervision are required for the risk control during the outsourcing strategy’s implementation,supervision and internal control includes the financial organizations’controlling over the entire outsourcing process,the supervision,motivation and evaluation over the outsourcing service provider and the examination and motivation over the other relevant personnel’s of the outsourcing external supervision includes the legislation introduced by the national governments and the supervision of the international organizations to monitor the thesis uses one outsourcing case to clearly present the content in IT outsourcing for financialservice,the possible risks during operation and the remended methods to manage the outsourcing and risk
