【正文】 e’s Republic of China, Law of the People’s Republic of China on Employment Contracts, Shanghai Regulations on Employment Contracts and China’s national and local laws, regulations and administrative rules and Party A’s regulations and rules, and through negotiation based on equality and free will, the two parties agree to conclude this Employment Agreement (hereinafter referred to as this Agreement) under the following terms and conditions:三、合同條款 3. Penalty, pensation and the like arising from Party B’s breach of Party A’s regulations or rules。 If, during the validity term of this Agreement, Party A increases the remuneration for employees, this Agreement may not be deemed as being altered.(四)甲方每月5日以貨幣形式通過(guò)銀行轉(zhuǎn)賬到乙方個(gè)人帳戶的辦法支付乙方工資,包括崗位工資、工齡工資及按月發(fā)放的相關(guān)補(bǔ)貼。該清單屬于保密范圍,應(yīng)妥善保管,不得泄露給本人家庭成員以外的任何第三人、員工之間不得相互打探,如有疑義可以向甲方人力資源部咨詢。 in the event of any objection, Party B may consult Party A’s human resource department.第五條(社會(huì)保險(xiǎn)及其它)Article 5 Social Insurance and Other Matters(一)甲方按照國(guó)家和上海市的有關(guān)規(guī)定,為乙方交納社會(huì)保險(xiǎn)和住房公積金。 Party B (if Party B is a female employee) is entitled to maternity leave and other special treatment provided by this local municipality, provided that she must be in pliance with the State’s family planning policy and Party B shall submit an application to Party A (if the approval of the government is necessary, Party B shall submit such application to petent authorities) for approval in advance.(五)乙方享有甲方按國(guó)家或本市政府及甲方的規(guī)定設(shè)定的福利待遇,具體按甲方的有關(guān)辦法執(zhí)行。(二)乙方享有甲方執(zhí)行的國(guó)家勞動(dòng)標(biāo)準(zhǔn)提供的職業(yè)危害防護(hù)條件。(三)甲方有權(quán)根據(jù)乙方的表現(xiàn)或行為,依據(jù)國(guó)家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度,給予乙方相應(yīng)的獎(jiǎng)勵(lì)或處理。(二)乙方應(yīng)參加甲方的各項(xiàng)教育與培訓(xùn)安排。 Party B shall, after signing of this Agreement, observe Party A’s Confidentiality Rules, and may not disclose any of Party A’s confidential information。 Party A and Party B are to enter into Nondisclosure Agreement separately, so as to stipulate the obligations and rights of the two parties. During the validity term of this Agreement and after the termination hereof, the confidentiality obligation stipulated in the Confidentiality Agreement has binding force upon Party B.(四)乙方如在本合同存續(xù)期間,違反《保密協(xié)議》約定的,視作違紀(jì)行為,按《職工違規(guī)處理辦法》有關(guān)規(guī)定處理。 (一)有下列情形之一的,甲、乙雙方可以變更本合同: In any of the following cases, the two parties hereto may alter this Agreement:1.在不損害國(guó)家、集體和他人利益的情況下,雙方協(xié)商一致的;1. On the condition of no prejudice to the interest of the State, organizations or other individuals, the two parties reach agreement for alteration。(3) Some business item or working positions are canceled for other reasons。4. Party B has labor relationship with other employer during the validity term hereof which has serious impact on pletion of the work task assigned by Party A, or Party B refuses to take rectification in spite of Party A’s proposal。8. Party B is given security detention or reeducationthroughlabor by public security organs。 2.乙方不能勝任工作,經(jīng)過(guò)培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的;3.本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使原本合同無(wú)法履行,經(jīng)甲、乙雙方協(xié)商不能就變更本合同達(dá)成協(xié)議的;1. Party B contracts sickness or sustains nonworkrelated injury, and after the medical treatment period, Party B can engage in neither the original work nor other work assigned by Party A。 (三)甲方瀕臨破產(chǎn)進(jìn)行法定整頓期間或者生產(chǎn)經(jīng)營(yíng)發(fā)生嚴(yán)重困難等進(jìn)行經(jīng)濟(jì)性裁員的,提前三十日向工會(huì)或者全體職工說(shuō)明情況,聽(tīng)取工會(huì)或者職工的意見(jiàn)后,裁減人員方案經(jīng)向政府的勞動(dòng)行政部門報(bào)告,可以解除本合同?! ?、產(chǎn)期、哺乳期的;  ,且距法定退休年齡不足五年的;3. has contracted an illness or sustained a nonworkrelated injury and the prescribed period of medical treatment has not expired。 or6. falls into any other circumstances stipulated by laws or administrative regulations.(五)乙方提前30日以書(shū)面形式通知甲方,可以解除本合同。(六)有下列情形之一的,乙方可以隨時(shí)通知甲方解除本合同: ??;2. Party A fails to duly pay remuneration in full amount。但乙方應(yīng)在事發(fā)當(dāng)時(shí)或事發(fā)后3個(gè)工作日內(nèi)向甲方提出解除本合同的意思表示,經(jīng)公司確認(rèn)無(wú)誤后,約定辦理解除本合同手續(xù)的時(shí)間。 (八)經(jīng)甲、乙雙方協(xié)商一致,可以解除本合同?;蛘弑蝗嗣穹ㄔ盒嫠劳龌蛘咝媸й櫟模?、責(zé)令關(guān)閉、撤銷或者甲方?jīng)Q定提前解散的;1. Party A is declared bankrupt in accordance with law。 Other circumstances stipulated by laws or administrative regulations arise.The two parties hereto shall, 30 days prior to the expiration of the validity term hereof, hold negotiation as to whether to renew this Agreement.第十四條(本合同的補(bǔ)簽)Article 14 Retroactive Signature of Agreement在本合同期滿前甲乙雙方雖有續(xù)簽意向,但因不可抗力特殊原因,雙方不能就續(xù)簽意向進(jìn)行有效溝通或不能及時(shí)續(xù)簽本合同,致使本合同期滿后,雙方仍存在勞動(dòng)關(guān)系的,甲乙雙方應(yīng)在不可抗力特殊原因消除后及時(shí)補(bǔ)辦續(xù)訂本合同的有關(guān)手續(xù)。 Before conclusion of this Agreement, Party A shall have the right to obtain Party B’s information related hereto, including but not limited to Party B’s educational background, working experience, qualification certificate or position assumption certificate and other information as to whether his previous labor relationship is terminated and whether Party B is under petitive restriction.
