Beverly Blvd. Montebello, CA 90640, USA Tel: 0013238881860 Fax: 0013238880050 前言 Preamble: (A)鑒于甲方是一家從事耐用醫(yī)療器械生產(chǎn)的企業(yè)，乙方是一家從事耐用醫(yī)療器械的銷售和分銷的企業(yè) 。 Whereas Party A is a pany engaged in the business of manufacturing durable medical equipment and Party B is a pany engaged in the sales and distribution of durable Medical Equipment. (B) 鑒于甲乙雙方拓展各自商業(yè)領(lǐng)域和范圍的愿望 。 Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the modity stipulated in Article 2 from customers in the territory stipulated in Article 3, and Party B accepts and assumes such appointment. 2. 代理商品 Commodity 甲方將要生產(chǎn)的一切由甲乙雙方共同確定品牌名稱的產(chǎn)品。 5. 價(jià)格與支付 Price and Payment 每一筆交易的貨物價(jià)格應(yīng)由甲乙雙方通過(guò)協(xié)商確定。 Payment shall be made by T/T or confirmed, irrevocable L/C at sight opened by the buyer in favor of Party A, which shall reach Party A 15 days before the date of shipment six months later as of the date this agreement bees effective. 6. 獨(dú)家代理權(quán) Exclusive Right 基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過(guò)乙方以外的渠道向美國(guó)顧客銷售或出口第二條所列商品，乙方不得在美國(guó)經(jīng)銷、分銷或促銷與上述商品相競(jìng)爭(zhēng)或類似的產(chǎn)品，也不得招攬或接受以到美國(guó)以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來(lái)自美國(guó) 其他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。 Party B may use the trademarks owned by Party A for the sale of the products covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in products covered herein shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter39。 Party B shall bear the cost to assist Party A to obtain the licenses and other licenses and conditions required by the FDA and other government departments in USA for the modity stipulated in Article 2 to market to the customers in USA to assure the importation from Party A. 甲方必須根
