【正文】 the expiration date of the Initial Term or any Extension Period of this Agreement. The notice issued by Party A to Party B shall include the amount of the Rent for the Extension Period. In the event that Party B fails to respond in writing to Party A?s notice on renewal option Six (6) months prior to expiration of the Initial Term or applicable Extension Term, Party A shall send the second notice for renewal option to Party B. Party B shall notify Party A in writing whether it will exercise its option of renewal at least Three (3) months prior to the expiration date of the Initial Term or any applicable Extension Period of this Agreement. In the event that Party B fails to respond to Party A?s second notice of renewal Three (3) months prior to the expiration of the Initial Term or any applicable Extension Period, this Agreement shall automatically terminate on the expiration date of the Initial Term or any applicable Extension Period, but Party B shall be entitled to have a Sixty (60)day cleanup period after the termination as specified in Article of this Agreement. 第 4條 租 金 Article 4 RENT 免 租 期 Rentfree Period 自本協(xié)議第 ，甲方授予乙方四 (4)個(gè)月的免租期 (“ 免租期 ” )。 乙方進(jìn)場(chǎng)后所使用的水、電、空調(diào)和燃?xì)赓M(fèi)用由乙方承擔(dān)。免租期內(nèi)，乙方無(wú)需向甲方支付租金 (如本協(xié)議第 條所定義 )和 /或任何管理費(fèi)，也不承擔(dān)其他根據(jù)中國(guó)法律、法規(guī)和規(guī)章所規(guī)定的甲方作為租賃標(biāo)的物所有人所應(yīng)承擔(dān)的任何稅費(fèi)，并可在乙方房屋內(nèi)正常營(yíng)業(yè)。雙方明確：乙方 租用面積內(nèi)的水（含空調(diào)用水）、電（含空調(diào)用電）、燃?xì)赓M(fèi)按其 實(shí)際 用量，單獨(dú)計(jì)量，自行向相 關(guān) 部 門 繳納。 一個(gè)“ 租約年 ”指連續(xù)十二 (12)個(gè)月的期間。如租賃起始日不是一個(gè)公歷月的第一天或租期終止日不是一個(gè)公歷月的最后一天 ，則第一個(gè)月或最后一個(gè)月的租金應(yīng)按實(shí)際租賃天數(shù)占該月總天數(shù)的比例計(jì)算，且第一個(gè)月的租金應(yīng)于租賃起始日后的十(10)日內(nèi)支付。 The Rent shall be paid on or before the Tenth (10th) day of each month (such day shall be automatically extended in case of an official holiday). In the event that the Commencement Date does not fall on the first day of a month, or the ending date of the Term does not fall on the last day of a month, the rent for the first month or for the last month shall be calculated pro rata on a daily basis for the actual leasing day(s) in that month, and the rent of the first month shall be paid within Ten (10) days following the Commencement Date. Party A shall issue an official leasing invoice, which is valid under PRC law and conforming with the requirements of PRC tax authority, to Party B on or before the Thirteenth (13th) day of each month, and the amount of such invoice shall be equal to that of the Rent that Party B shall pay for such month according to Article of this Agreement. 甲乙雙方在此確認(rèn)，甲方向乙方提供符合本第 條要求之正式租金發(fā)票為本協(xié)議項(xiàng)下甲方的重要合同義務(wù)。若 甲方能在當(dāng)期公歷年結(jié)束前（即 12 月 31 日前）向乙方提供其拖欠的租金發(fā)票，則乙方應(yīng)在收到前述租金發(fā)票后十（ 10）日內(nèi)將乙方已扣除的相當(dāng)于稅務(wù)損失金額的款項(xiàng)無(wú)息退還給甲方，乙方無(wú)需向甲方支付任何滯納金。若甲方未能在當(dāng)期公歷年結(jié)束前（即 12 月 31 日前）向乙方提供其拖欠沃爾瑪購(gòu)物廣 租賃協(xié)議 Lease Agreement for WalMart Supercenter RE2020052 13 的租金發(fā)票，乙方已扣除的稅務(wù)損失金額將被作為違約金，不再退還甲方。 若乙方未能根據(jù)供電、供水及燃?xì)饨?jīng)營(yíng)機(jī)構(gòu)要求的時(shí)限 ,向甲方提供單獨(dú)立戶所必需乙方當(dāng)?shù)囟悇?wù)登記的相關(guān)資料，致使甲方未能按本條約定的時(shí)限在供電、供水及燃?xì)饨?jīng)營(yíng)機(jī)構(gòu)為 乙方完成單獨(dú)立戶的 ,在此情形下 ,甲方不構(gòu)成違約 . 但從乙方向甲方提供單獨(dú)立戶所必需的乙方當(dāng)?shù)囟悇?wù)登記相關(guān)資料之日起，甲方應(yīng)在合理的時(shí)限內(nèi)為乙方在供電、供水及燃?xì)饨?jīng)營(yíng)機(jī)構(gòu)辦理完成單獨(dú)立戶。 Within Three (3) months following Party B?s Starting Date of Construction, Party A shall apply to the relevant electricity, water and gas service suppliers to open an separate account on behalf of Party B and bear all the account application expenses paid to the relevant utility suppliers (if any such fee). In the event that Party B fails to provide Party A with the local taxation registration documentation within the timelimit requested by the aforementioned service suppliers, Party A shall not be considered as a breach of this Agreement since it fails to apply to the aforementioned service suppliers for an separate account on behalf of Party B within the timelimit stipulated in this section, however, Party A shall apply to the aforementioned service suppliers to open an separate account on behalf of Party B within a reasonable timelimit upon receiving the said taxation registration documentations provided by Party B. Starting from the said account open day to the expiration of Term, Party B shall bear all the charges incurred due to the use of electricity, water and gas within the Leased Area and pay directly to the relevant electricity, water and gas suppliers. 若由于甲方原因， 甲方未能 按本條第 1 款的約定 為乙方在供電、 供 水及 燃 氣經(jīng)營(yíng)機(jī)構(gòu)申請(qǐng) 到單獨(dú) 立戶 ，且前述公用設(shè)施經(jīng)營(yíng)機(jī)構(gòu)亦不允許乙方將水費(fèi)、電費(fèi)和燃?xì)赓M(fèi)用直接向前述公用設(shè)施經(jīng)營(yíng)機(jī)構(gòu)支付的，則乙方應(yīng)將其在租用面積內(nèi)的 水 (含空調(diào)用水 )、電 (含空調(diào)用電 )、燃?xì)赓M(fèi) 按其實(shí)際用量向 甲方支付，甲方至遲應(yīng)在乙方向甲方支付前述水費(fèi)、電費(fèi)和燃?xì)赓M(fèi)用前一 (1)個(gè)工作日向乙方提供金額與乙方應(yīng)支付的水費(fèi)、電費(fèi)、燃?xì)赓M(fèi)金額相同的增值稅發(fā)票。在此情形下，甲方應(yīng)向乙方提供金額與乙方實(shí)際支付的水費(fèi)、電費(fèi)、燃?xì)赓M(fèi)金額相同的普通發(fā)票。 In the event that Party A fails to provide Party B with the VAT invoices for the electricity, water and gas fees, Party B is entitled to deduct in advance the Tax Loss Party B may suffer due to Party A?s failure of providing the aforementioned VAT invoices. Further, Party B shall then pay the remainder of the electricity, water and gas fees to Party A. The aforementioned Tax Loss shall calculate as follows: amount of Rent without Party A?s VAT invoice times VAT tax rate. In such case, Party A shall provide Party B with mon invoices with the amount equal to the electricity fee, water fee and gas fee. In the event that Party A fails to provide the mon invoices for the electricity fee, water fee and gas fee, Party B is entitled to deduct in advance the Tax Loss it may suffer due to Party A?s failure of providing the aforementioned mon invoices. Further, Party B shall then pay the remainder of the electricity, water and gas fees to Party A.
