If Tai Mei cancels a Purchase Order in whole or in part at least fourteen (14) Days prior to the original ship date, Tai Mei shall have no liability to Company for such termination. If Tai Mei cancels a Purchase Order in whole or in part within less than fourteen (14) Days before the original ship date, the Parties shall negotiate in good faith to determine the amount of fair pensation to Company for the termination. 產(chǎn)品庫存。Inventory of Products. Company shall maintain and properly store thirty (30) days of Products inventory at Company’s cost. 5. 需求預(yù)測FORECASTS如太美選擇向供貨商提供需求預(yù)測，則任何此類需求預(yù)測應(yīng)僅為方便供貨商調(diào)整生產(chǎn)計劃所用，不得視為具有約束力的產(chǎn)品訂單，亦不得視為太美據(jù)此產(chǎn)生最小購買義務(wù)或供貨商據(jù)此產(chǎn)生任何出售義務(wù)。s manufacturing plans and shall not be deemed to be binding orders for Products or to create any minimum purchase obligation on the part of Tai Mei or any sale obligation on the part of Company. 7. 交貨日期DELIVERY DATES 供貨商應(yīng)根據(jù)采購訂單中太美要求的交貨日期交貨。Company shall deliver Products in accordance with the delivery dates in the Purchase Orders. If Company is unable to deliver Products in accordance with the Purchase Orders, Tai Mei, in its sole discretion, may either (a) establish a new delivery date or (b) accept delivery of Products that can be delivered immediately and either reschedule or cancel the remainder of the Purchase Order without liability. 如發(fā)生可能導(dǎo)致遲延交貨的任何情形，供貨商應(yīng)及時告知太美，并說明預(yù)計的遲延期限及遲延事由；如經(jīng)太美要求，為避免遲延交貨或在最大限度內(nèi)盡量縮減遲延時間，供貨商應(yīng)做出其他努力（包括支付額外運費），通過空運或其他快速渠道運貨，但不得增加太美的價款和成本。Company shall provide Tai Mei with the Products along with the appropriate documents, including without limitation, the invoice issued by Company, the forwarder’s certificate of receipt (FCR), the packing list, the statement of weight and type of packaging materials, the statement of the amount (kg). 交貨日期:自太美下達采購訂單十個工作日內(nèi)交貨。 LABELING AND TRACEABILITY 供貨商應(yīng)根據(jù)太美不時提供的規(guī)格要求，包裝產(chǎn)品并進行標識。太美應(yīng)向供貨商提供合理協(xié)助，查明并告知供貨商任何適用的包裝和標識法律法規(guī)；如太美未能查明和告知供貨商此類法律法規(guī)，不得免除供貨商在本協(xié)議項下的相關(guān)義務(wù)。Company shall be responsible for packaging and labeling Products in accordance with the Specifications provided by Tai Mei from time to time. Company shall ensure that the packaging and labeling of Products conform to all applicable local, state, national and international laws and regulations. Tai Mei shall provide reasonable assistance to Company in identifying and informing Company of any applicable packaging and labeling laws and regulations, but no failure by Tai Mei to identify and inform Company of such laws and regulations shall excuse Company39。s Specifications. 配料和直接接觸產(chǎn)品的包裝物料的供貨商批次碼和數(shù)量，應(yīng)在收貨時記錄，并可在產(chǎn)品生產(chǎn)日期及整個配送周期追查。Company lot codes and quantities for ingredient materials and for packaging materials that e into direct contact with Products shall be recorded upon receipt, traceable to the manufacturing date used and throughout the distribution cycle of the Product. Company shall adhere to the Product Recall Procedure set out in Exhibit C.9.
