Additional Waivers. 第十七條 附加的棄權。　　本擔保書項下的全部行為和交易，以及各方由此產(chǎn)生的權利義務均應適用 州（ 州）法律并據(jù)以作出理解和解釋。16. Governing Law. 第十六條 適用法律。擔保人在本擔保書項下承擔的所有義務均應是連帶的。15. Joint and Several. 第十五條 連帶義務。Guarantor agrees to pay all attorneys fees and all other costs and outofpocket expenses which may be incurred by Buyer in the enforcement of this Guaranty or in any way arising out of， following or consequential to the enforcement of Sellers Obligations， whether under this Guaranty， the Agreements， or otherwise.　　擔保人同意，買方在強制執(zhí)行本擔保書的過程中可能發(fā)生的，或者因強制執(zhí)行賣方在本擔保書或協(xié)議等項下的債務而直接、隨之或間接發(fā)生的全部律師費、其他費用及現(xiàn)金支出，均由擔保人承擔。非經(jīng)書面并由一名經(jīng)授權的買方工作人員執(zhí)行，為任何目的對本擔保書所作的變更均無效。13. Modifications. 第十三條 變更。擔保人的死亡不應使本擔保書終止。12. Successors and Assigns. 第十二條 接任者與受讓者。擔保人未作如上通知的，擔保的終止對該擔保人不產(chǎn)生效力，擔保的終止不應影響到本擔保書適用于終止有效期前發(fā)生的任何交易或負債。這些權利中應包括，（僅為舉例并非為限制權利的范圍），恢復根據(jù)合眾國法典第11條為可撤銷的選擇權的所有權利。 The Guarantors obligation under this Guaranty shall continue in full force and effect until Sellers Obligations are fully paid， performed and discharged and Buyer gives the Guarantor written notice of that fact. Sellers Obligations shall not be considered fully paid， performed and discharged unless and until all payments by Seller to Buyer are no longer subject to any right on the part of any person whomsoever；　including but not limited to Seller， Seller as a debtorinpossession， or any trustee or　receiver in bankruptcy， to set aside such payments or seek to recoup the amount of　such payments， or any part thereof. The foregoing shall include， by way of example and not by way of limitation， all rights to recover preferences voidable under Title 11 of the United States Code. In the event that any such payments by Seller to Buyer are set aside after the making thereof， in whole or in part， or settled without litigation， to　the extent of such settlement， all of which is within Buyers discretion， Guarantor shall be liable for the full amount Buyer is required to repay plus costs， interest， attorneys　fees and any and all expenses which Buyer paid or incurred in connection therewith.　　本擔保書項下的擔保人義務應當持續(xù)保持完整的效力，直至賣方的債務已被充分支付、履行和完成，并且買方已就這一事實向擔保人發(fā)出了書面通知。擔保人據(jù)此保證，它將繼續(xù)使自己知曉關乎債務履行風險的賣方財務狀況及所有其他情形。10. Financial Condition of Seller. 　第十條 賣方的財務狀況?！　uarantor also agrees that Buyers books and records showing the account between　Buyer and Seller shall be admissible in any action or proceeding and shall be binding upon Guarantor for the purpose of establishing the terms set forth therein and shall　constitute prima facie proof thereof.　　擔保人也同意，表明買賣雙方之間帳目的買方帳簿和記錄應當可以在任何訴訟或程序中使用，為了明確其中列明的條款對擔保人也應當具有約束力，并應當構成確定條款的初步證據(jù)?！　ll monies or other property of Guarantor at any time in Buyers possession may be　held by Buyer as security for any and all obligations of Guarantor to Buyer no matter now existing or hereafter arising， whether absolute or contingent， whether due or to bee due， and whether under this Guaranty or otherwise.　　買方在任何時候占有的擔保人的全部財物均可作為擔保人對買方所負全部義務的擔保，不論這些義務是現(xiàn)有的還是今后將產(chǎn)生的，是必然發(fā)生的還是非必然發(fā)生的，是已到期的還是將到期的，也不論這些義務是否出自本擔保書項下?！　ny and all present and future debts and obligations of Seller to Guarantor are hereby postponed in favor of and subordinated to the full payment and performance of all present and future debts and obligations of Seller to Buyer.　為了利于并服從于賣方對買方全部現(xiàn)有和未來負債與債務的充分支付和履行，賣方對擔保人的任何現(xiàn)有和未來負債與債務據(jù)此被延緩?！　s a condition to payment or performance by Guarantor under this Guaranty， Buyer　shall not be required to， and Guarantor hereby waives any and all rights to require　Buyer to prosecute or seek to enforce any remedies against Seller or any other party　liable to Buyer
