【正文】 Article XVI This article of association is made into duplicate. One is sent to registering authority, the other is filed in the pany.股東簽名（蓋章）：Signature of shareholder（Seal）：公司法定代表人簽名：Signature of the Legal Representative:2011年 3 月 18 日Mar 18,2011注：公司設(shè)立時(shí)公司章程由全體股東簽署；公司變更提交的修改后的公司章程由公司法定代表人簽署。Article XIV This article of association shall be signed and sealed by all shareholders.第十五條：本章程由公司登記機(jī)關(guān)核準(zhǔn)公司登記注冊(cè)之日起生效。 The term of the business operation of the pany is _________ year(s),starting from the date of issue of the business license.第十三條：本章程如有與《公司法》相抵觸的，以《公司法》為準(zhǔn)。 Four. The liquidation team shall work out a liquidation plan after making the Balance Sheet and Asset List and request verification from the Shareholder Meeting and the relevant authorities. The pany will be terminated after cancelling the registry in the relevant authorities by the liquidation team.第十二條：股東認(rèn)為需要規(guī)定的其它事項(xiàng)。7． 代表公司參與民事訴訟活動(dòng)。5． 清理債權(quán)債務(wù)；Handle credit and debt。3． 公司因合并或者分立需要解散的；Dissolution for the reason of merger or separation of the pany4． 因自然災(zāi)害等不可抗力需要解散的。 A. Should the pany not be able to pay off the overdue debt and be declared bankrupt according to the law, a liquidation team consisting of shareholders, relevant authorities and professionals led by the people’s court shall deal with the liquidation.二、 公司有下列情形之一的，可以解散： A dissolution can be possible under the following circumstances 1． 經(jīng)營(yíng)期限屆滿；The expiration of the business term。No personal account shall be opened for the pany asset.任何個(gè)人不得挪用公司資金或者將公司資金借貸給他人；不得侵占公司的財(cái)產(chǎn)。 Withdrawal of the public welfare fund is for the welfare of the whole pany.六、 公司除法定的會(huì)計(jì)計(jì)帳冊(cè)外，不得另立會(huì)計(jì)帳冊(cè)。 The remaining profit after deficit coverage, withdrawal of reserved fund and public welfare fund shall be distributed to shareholders per his contribution ratio.四、 公司的公積金用于彌補(bǔ)虧損，擴(kuò)大公司生產(chǎn)經(jīng)營(yíng)或者轉(zhuǎn)為增加公司資本。 Two. The pany shall take 10% as the reserved fund when distributing the profit after tax of the current year, and percent as public welfare fund which can not be withdrawn when it exceeds 50% of the registered capital of the pany.經(jīng)股東會(huì)決議，可以提取任意公積金。5． 利潤(rùn)分配表。3． 財(cái)務(wù)狀況變動(dòng)表；Statement of Changes in Financial Position。1． 資產(chǎn)負(fù)債表；Balance Sheet。公司的每一個(gè)會(huì)計(jì)年度終了時(shí)制作財(cái)務(wù)會(huì)計(jì)報(bào)告，按規(guī)定期限分送各股東，并依法經(jīng)審查驗(yàn)證。Article Ⅸ The legal representative of the pany is Executive Director （manager）, with the term of ____year(s).第十條：公司的財(cái)務(wù)、會(huì)議。The supervisor can be present at the Shareholders Meeting as a nonvoting member.第九條：公司的法定代表人為執(zhí)行董事（經(jīng)理）。4． 提議召開臨時(shí)股東會(huì)。1． 檢查公司財(cái)務(wù)；To examine the financial standing of the pany。 Five, The pany shall have two supervisor(s) who shall be elected by the Shareholders Meeting, with a term of three year(s). When the term is overdue, reelection of the same person is possible.執(zhí)行董事、經(jīng)理及財(cái)務(wù)負(fù)責(zé)人不得兼任監(jiān)事。監(jiān)事任期為 叁 年。經(jīng)理列席股東會(huì)會(huì)議。6． 提請(qǐng)聘任或者解聘公司副經(jīng)理、財(cái)務(wù)負(fù)責(zé)人；To suggest an appointment or dismissal of the vice manager, or financial officer。 4． 擬訂公司的基本管理制度；To draft the basic management system。2． 組織實(shí)施公司年度經(jīng)營(yíng)計(jì)劃和投資方案；To implement the annual business plan and investment plan。To formulate the basic management system of the pany.四、 公司設(shè)經(jīng)理，由執(zhí)行董事聘任或解聘，經(jīng)理對(duì)執(zhí)行董事負(fù)責(zé)，行使下列職權(quán)： Four, The pany shall have a manager who is appointed or dismissed by and responsible to e
