All previous documents, undertakings and agreement, weather verbal, written or otherwise, between the parties concerning the subject matter hereof are hereby cancelled and shall not affect or modify. Any modifications of this contract shall be made except by written agreement between the parties. 此合約的內(nèi)容構(gòu)成了買賣雙方所需要的整個購買協(xié)議。在此之前買賣雙方所交易的所有的文件、承諾書及協(xié)議或者以口頭的、以書面的、以其他的任何方式均視為無效。此合約所需要修改的內(nèi)容需通過雙方書面協(xié)議認(rèn)可。 Article 15 – GOVERNING LAW AND ARBITRATION 適用法律及仲裁 This contract shall be governed by and construed in accordance with of the laws of CHINA. 此合約將依據(jù)中國的法律執(zhí)行。 a. The parties hereto shall undertake all efforts to amicably settle any disagreement or dispute arising out of or in connection with this agreement. 買賣雙方都應(yīng)友好解決履行合約過程中出現(xiàn)的任何爭議和分歧。 Seller Buyer 10 b. In the event an amicable settlement cannot be reached, all disputes or disagreements shall be finally decided by arbitration in accordance with CHINA. 如果不能友好的解決問題，那么產(chǎn)生的問題將按中國規(guī)定的仲裁機構(gòu)進行仲裁解決。 c. Such arbitration proceedings shall be held in CHINA. 仲裁程序需在中國進行。 The arbitrator’s adjudication shall be final and binding.
