【導(dǎo)讀】本條款可能與采購(gòu)方的書(shū)面協(xié)議不同。任何由供應(yīng)商提出的條款或條件都不能構(gòu)。成本合同的一部分?！安少?gòu)方”指成年的、有學(xué)識(shí)的檢查人員;“供應(yīng)商”指在采購(gòu)定單上指定的供應(yīng)商。貨物在各方面應(yīng)符合生效的國(guó)家法律、命令、規(guī)定、或規(guī)章所規(guī)定的要求。實(shí)現(xiàn)特殊目的要求。貨物的價(jià)格應(yīng)該在采購(gòu)單上標(biāo)明，除非采購(gòu)方書(shū)面同意，否則不允許任何加價(jià)。在收到貨物或該批貨的準(zhǔn)確發(fā)票起三十日內(nèi)支付。采購(gòu)方應(yīng)就貨物進(jìn)入現(xiàn)場(chǎng)提供方便，提供可。損傷所導(dǎo)致的任何訴訟、索賠、要求、損失、控告費(fèi)、訴訟費(fèi)等應(yīng)由供應(yīng)商承擔(dān)。負(fù)責(zé)人的合理要求。

　　

【正文】 is Order except information which is in the public domain otherwise than by reason of a breach of this provision 供應(yīng)商應(yīng)有義務(wù)自已或要求員工對(duì)通過(guò)定單從采購(gòu)方處獲得的保密性質(zhì)的信息進(jìn)行保密、不得披露，否則就是違約，除非該信息屬于公眾知曉信息。 The provisions of this condition 12 shall apply during the continuance of this Order and after its termination howsoever arising. 第 12 條規(guī)定應(yīng)在定單期間、終止期后（不論因何原因終止）均適用。 13. Termination on supplier39。s insolvency 供應(yīng)商破產(chǎn)終止合同 Without prejudice to any other rights or remedies of the Purchaser under this Order the Purchaser shall have the right forthwith to terminate this Order by written notice to the Supplier or his trustee in bankruptcy or receiver or (if a pany) liquidator or administrator if the Supplier shall have a receiver appointed over all or a substantial part of his or its assets or (if an individual) be declared bankrupt or (if a pany) shall go into liquidation or have an administrator appointed to manage its affairs. 在不損害采購(gòu)方任何權(quán)利和補(bǔ)償?shù)那闆r下，采購(gòu)方應(yīng)有權(quán) 14. Assignment and Subcontracting 轉(zhuǎn)讓和分包 The Supplier shall not without the written consent of the Purchaser assign the benefit or burden of this Order or any part thereof. 供應(yīng)商未經(jīng)采購(gòu)方書(shū)面通知，不得轉(zhuǎn)讓全部或部分定單的權(quán)利和義務(wù)。 No subcontracting by the Supplier shall in any way relieve the Supplier of any of his responsibilities under this Order. 供應(yīng)商的任何分包都不能免除供應(yīng)商的責(zé)任。 Where the Purchaser enters a subcontract with a Supplier or contractor for the purpose of performing the Contract, he shall cause a clause to be included in such subcontract which requires payment to be made to the Supplier or contractor within a specified period not exceeding 30 days from receipt of a valid invoice as defined by the subcontract requirement. 凡采購(gòu)方為履行合同方便而與供應(yīng)商或承包商達(dá)成分包合同，則采購(gòu)方應(yīng)在分包合同中加入“采購(gòu)方在收到分包合同定義的有效發(fā)票后不超過(guò)三十天內(nèi)支付供應(yīng)商或承包商貨款”的條款。 15. Notices 通知 Any notices to be given under this Contract shall be delivered personally or sent by post or by facsimile transmission to the Facilities Manager (in the case of the Client) or to the address set out in this Contract (in the case of the Contractor). Any such notice shall be deemed to be served, if delivered personally, at the time of delivery, if sent by post, 48 hours after posting or, if sent by telex or facsimile transmission, 12 hours after proper transmission. 合同項(xiàng)下通知應(yīng)親自送達(dá)或通過(guò)郵件、傳真給客戶(hù)的設(shè)備經(jīng)理或至合同上注明的承包商的地址。如親自交付，則交付時(shí)視為送達(dá)，如通過(guò)郵寄，則在寄出后四十八小時(shí)時(shí)視為送達(dá)，如通過(guò)電傳、傳真，則發(fā)出后一二小時(shí)視為送達(dá)。 16. Environmental matters 環(huán)境問(wèn)題 The Supplier confirms that the process used in the manufacture of the Goods relied on minimal dependence and use of ozone depleting substances, toxic chemicals and other pollutants including lead, methyl chloroform and formaldehyde. 供應(yīng)商確認(rèn)在貨物生產(chǎn)過(guò) 程中最小限度地使用臭氧物質(zhì)、有毒化學(xué)物、和包括鉛、甲基、氯仿和甲醛在內(nèi)的其它污染物。 The Supplier confirms that minimal dependence has been made on nonrenewable natural resources such as nonsustainably produced hardwoods. 供應(yīng)商確認(rèn)最小限度地依賴(lài)不可再生自然資源，如不可持續(xù)生產(chǎn)的闊葉樹(shù)。 The Supplier confirms that in the manufacture of the Goods it is his policy to use products that have maximum recyclability or, where cost effective recycling is impracticable, maximum biodegradability. 供應(yīng)商確認(rèn)在貨物生產(chǎn)過(guò)程中貫徹“最大程度地使用可循環(huán)利用的產(chǎn)品，或如使用可循環(huán)利用產(chǎn)品導(dǎo)致成本不可行則最大程度采用生物降解能力技術(shù)”的政策。 17. Law and jurisdiction 法律適應(yīng)和管轄 This Contract shall be governed by and interpreted in accordance with English Law and the parties submit to the jurisdiction of the English courts.
