【導(dǎo)讀】買(mǎi)賣雙方可以分別被稱作“各方”或一起指“雙方”。買(mǎi)方是在香港境內(nèi)注冊(cè)的，部分業(yè)務(wù)范圍是：為中國(guó)的客戶提供煤炭業(yè)務(wù)。賣方是在馬來(lái)西亞注冊(cè)，部分業(yè)務(wù)范圍是：煤炭供應(yīng)。在本協(xié)定中，除非所述事項(xiàng)或文意另有所指，下列詞語(yǔ)將它們分別歸于以下涵義。所指的成本+運(yùn)費(fèi)。

　　

【正文】 l Buyer shall bear all the Costs of discharging of Coal from the Vessel. 買(mǎi) 方應(yīng)承擔(dān)卸船上煤炭的全部費(fèi)用 。 Seller’s initial: page: 18/40 Buyer’s initial: m Demurrage / Dispatch rate is ought to be agreed when nominating the vessel. Dispatch is half of Demurrage, laytime in time sheet nonreversible and will be settled directly between Seller and Buyer’s agent if any. 當(dāng) 指派船只時(shí)， 滯期費(fèi) /派遣率應(yīng)該被簽訂。 派遣率是滯期費(fèi)的一半，在時(shí)間表上的裝卸時(shí)間是不可逆的，并將被直接地在賣方和買(mǎi)方的合約之間安排 。 Nomination : The Seller must provide the Buyer with the Vessel’s particulars in timely manner prior to loading to secure acceptance of the Vessel (s) from the Discharging Port Authorities. Such details are required for on time storage at the Discharging Port (s) and include but are not limited to: Vessel Name, Flag, Year of Built, Number of Holds / Hatches, No. of Cranes amp。 their Capacity, Assigned Number and Loaded arrival Draft at the Discharge Port and the Expected Date of Arrival at the Discharge Port ( ETA ). 提示：在裝貨前，賣方必須 即時(shí) 提供買(mǎi)方船隻的詳細(xì)資料，以保證船隻會(huì)被卸貨港的管理當(dāng)局接受，這些詳細(xì)資料會(huì)儲(chǔ)存在卸貨港，資料需包含以下資料（但是不限於只有這些資料）：船隻名稱，旗幟，建造年份，抓桿抓斗之?dāng)?shù)量，以及其 能量 ，指定的編號(hào)，裝貨後到達(dá)卸貨港之吃水深度，預(yù)計(jì)到達(dá)卸貨港之時(shí)間 。 10. INSPECTION QUANTITY / QUALTY DETERMINATION 檢驗(yàn)數(shù)量 /質(zhì)量 Seller and Buyer mutually agree that the internationally recognized first class Independent Surveyor Company PT. CCIC OR GEOSERVICES Indonesia shall be appointed at designated Loading Port and Chinese CIQ (EntryExit Inspection and Quarantine of the People’s Republic of China) at the Discharge Port, to assess the quality and quantity of the cargo. The Quality and Weight inspection result carried out by PT. CCIC OR GEOSERVICES Indonesia at the Loading Port shall be the basis of the Seller’s provisional invoice, in which is ought to be faxed and ed to Buyer for Customs Clearance. The Quality and Weight inspection result carried by CIQ (EntryExit inspection and Quarantine of the People’s Republic of China) at the Discharge Port will be the basis of the Seller’s final invoice, in which is ought to be presented to the Bank with other documents. The inspection costs at Loading Port shall be for the Seller’s Account。 while at Discharging Port it will be the Buyer’s Account. Seller’s initial: page: 19/40 Buyer’s initial: 買(mǎi) 賣雙方同意指定以印度尼西亞 ,且以卸貨港 CIQ 為卸貨港檢驗(yàn)機(jī)構(gòu) , 對(duì)質(zhì)量數(shù)量進(jìn)行檢驗(yàn) . 裝 運(yùn)港的檢測(cè)報(bào)告作為賣方臨時(shí)發(fā)票的依據(jù) ,此發(fā)票應(yīng)傳真給買(mǎi)方 ,讓其報(bào)關(guān)時(shí)使用 . 卸 貨港 CIQ 檢驗(yàn)結(jié)果為結(jié)算依據(jù) ,供賣方交單時(shí)出具賣方負(fù)擔(dān)裝貨港 。買(mǎi)方負(fù)擔(dān)卸貨港 CIQ 檢驗(yàn)費(fèi)用 。 Quantity and quality assessments, conducted by the appointed Surveyor Company will be in accordance with the methods and procedures as usually used in the steam coal practice. However, at all times, they will also strictly ply with the revised procedures enforced at the date of pliance. 被 指定的檢驗(yàn)機(jī)構(gòu)在 做質(zhì)量和數(shù)量檢驗(yàn)時(shí) ,應(yīng)根據(jù)煤炭常用的檢驗(yàn)方法和程序 ,最新標(biāo)準(zhǔn)和程序進(jìn)行檢驗(yàn) 。 For converting volumes, from observed to standard temperature, volumes to weight, the latest revised editions of the ISO tables have to be used. 所 要檢驗(yàn)的內(nèi)容 ,從保守的溫度到標(biāo)準(zhǔn)的溫度以及重量 /數(shù)量 ,必須采用國(guó)際標(biāo)準(zhǔn)組織（ ISO）最新標(biāo)準(zhǔn) 。 The assessed quantity by CIQ at discharging port will be used for puting the amount to be paid to the Seller, calculating the price as per the contract. If the shipped cargo value is more than the whole L/C value, the Buyer shall pay for the excess cargo via T/T. If the shipped cargo value is less than the whole L/C value, the Seller shall negotiate the payment directly. 按 照合同價(jià)格和中國(guó) CIQ 檢驗(yàn)的數(shù)量和質(zhì)量檢測(cè)報(bào)告來(lái)計(jì)算最終支付金額 ,賣方交付貨物超過(guò)合同約定數(shù)量 ,買(mǎi)方通過(guò)電匯至賣方賬戶補(bǔ) 償賣方 ,賣方交付貨物小于合同約定數(shù)量 ,按照實(shí)際數(shù)量、質(zhì)量向議付行議付貨款 。 The Buyer may at their own expense send its personnel to supervise the loading operation, provided that the Seller gives prior notice within 14 days before the loading operation, so that the Seller may apply for entry visas for its personnel. 買(mǎi) 方可派人到裝貨現(xiàn)場(chǎng)監(jiān)督裝貨 ,賣方需于裝貨前 14 天通知買(mǎi)方 ,以備辦理入境簽證 ,所有費(fèi)用由買(mǎi)方自行負(fù)擔(dān)。 Seller’s initial: page: 20/40 Buyer’s initial: 11 PRICE ADJUSTMENT價(jià)格調(diào)整 Premium / Penalties In regards to each Shipment of Steam Coal which does not meet the specified As delivered Basis ( ADB ) content and other elements set forth in Clause 5, the Unit CIF QINGDAO Port of Shandong Price referred to in Clause 6 shall be adjusted in accordance with the As delivered Basis ( ADB ) as stated in the following provisions of Clause 10: 每批煤炭裝運(yùn) ,如果低位 收到 基熱值（ ADB）和其他成分不能滿足本合同第 5 項(xiàng)條款的規(guī)定在第六條款中所闡述的基價(jià)應(yīng)該由在第 10條款中規(guī)定的內(nèi)容進(jìn)行調(diào)整 : For As Received Basis ( ARB ) Content 收到基 低位發(fā)熱量 Premium: 獎(jiǎng)勵(lì) For each 1Kcal/Kg of Gross Calorific Value ( ADB ) above 6300 Kcal/Kg ( ADB ) premium is at ，每增加 1Kcal，增加 。 Maximum premium is set at GCV ( ADB ) 6500Kcal/kg 超過(guò) 6500大卡 /公斤以上，就不再獎(jiǎng)勵(lì) 。 Penalties: 懲罰 ： For each 1Kcal/Kg of Gross Calorific Value ( ADB ) between 6300 Kcal/Kg ( ADB ) and 6100 Kcal/Kg, a Price deduction of Per MT will be afforded by the Seller. 收到基低位 發(fā)熱量 低于 6300 大卡 /公斤 ,每減少 1 大卡 /公斤 ,價(jià)格扣除美金 元 /噸，扣除的部份應(yīng)由賣方承擔(dān)。 The Unit CIF XXXX Port of XXXXXX, China Price for Coal of 6300 Kcal / Kg of Gross Calorific Value, GCV ( ADB ) is USDXX Per MT. 對(duì)于 6300大卡 /公 斤 的總熱值熱量的單位價(jià)格為 USDXX Per MT。 If GCV ( ADB ) content falls below 6100 Kcal/Kg the Shipment is rejected, the rejection only happen at loading port but not at discharge port. The Buyer may agree to receive the Goods at a reduction of USD Per MT for every 100 Kcal/Kg or prorata. 如 果 收到基低位 發(fā)熱量 低于 6100大卡 /公斤 ,買(mǎi)方拒收 。 Seller’s initial: page: 21/40 Buyer’s initial: The Final Result will be calculated in according to China’s CIQ Inspection Standards. 獎(jiǎng) 懲制度以 6300大卡為基準(zhǔn)，最終的測(cè)試結(jié)果根據(jù)中國(guó)的 CIQ 最終的檢測(cè)結(jié)果。 12 For Other Elements關(guān)于其他的成分 For excess Total Moisture ( ARB ) 關(guān)于過(guò)多的全水份（ ARB） If the Total Moisture ( ARB ) exceeds 16 % but lower than 18 % the Weight as shown on the Invoice will be formulated as follows: Invoice Weight = Draft Survey or B/L Weight * [ 100% ( % of Actual Total Moisture – 16 % ) ] If Total Moisture ( ARB ) reaches above 18 %, the Buyer has the right to reject or negotiate Unit Price at Loading P
