【正文】 sks, clothing, formulae, financial statements and marketing information of the Company in the possession of the Company.在合同終止時(shí)， 乙方應(yīng)當(dāng)立刻向甲方歸還工作中占用或掌握的所有圖紙、藍(lán)圖、備忘錄、客戶名單、個(gè)人名片和在工作期間收集的名片、鑰匙、計(jì)算機(jī)磁盤、制服、配方設(shè)計(jì)及甲方的財(cái)務(wù)報(bào)表和市場營銷信息。 In the event of violation of duties of confidentiality, the Employee shall pay penalty to the Company for breach of contract equaling to the Employee’s oneyear ine from the Company. If the penalty for breach of contract cannot cover the losses of the Company caused by the Employee, the Employee shall pensate all losses of the Company.如果乙方違背了保密職責(zé)， 其應(yīng)當(dāng)向甲方支付相當(dāng)于其在甲方一年收入數(shù)額的罰款。如果該罰款不足以彌補(bǔ)乙方給甲方帶來的損失， 乙方應(yīng)當(dāng)賠償支付甲方的全部損失。12 Inventions 發(fā)明創(chuàng)造 If, during the term of the Contract, the Employee performs work that results in thedevelopment of any inventions relating to processes, products or formulations (the“Inventions”), such Inventions shall be the exclusive property of the Company, and the Employee shall promptly disclose the Inventions to the Company, and shall take all necessary steps, including the execution of documents, to vest title and ownership of the Inventions in the Company. Notwithstanding the foregoing, the Employee shall have the right to retain ownership of all patents obtained on any Inventions made by the Employee during his/her nonworking hours, and without use of or reference to the Company’s facilities, information or materials.在合同期內(nèi)， 乙方如果在工作過程中創(chuàng)造了任何與生產(chǎn)工藝、產(chǎn)品或配方設(shè)計(jì)有關(guān)的發(fā)明（ 以下稱為“ 發(fā)明” ） ， 則這些發(fā)明應(yīng)歸甲方獨(dú)有。乙方應(yīng)當(dāng)迅速把發(fā)明透露給甲方并采取必要步驟（ 包括文件制作） 使甲方獲得專利的所有權(quán)。除如前所述外， 乙方對(duì)其在非工作時(shí)間不借助甲方設(shè)備或參考甲方信息材料所創(chuàng)造的任何發(fā)明， 均擁有全部專利所有權(quán)。 13 Training 培訓(xùn) It is the policy of the Company to provide continuous onthesite training. The Company may also require the Employee to undertake an offsite training program if the Company considers it appropriate.甲方有向乙方提供在職培訓(xùn)的政策。如果甲方認(rèn)為合適也會(huì)要求乙方接受離職培訓(xùn)計(jì)劃。14 Settlement of labor disputes 勞動(dòng)爭議處理The parties shall settle any disputes in accordance with the following procedures:合同雙方應(yīng)依照以下程序解決爭議： The parties shall first settle any dispute arising from the performance of this Contractthrough consultation.合同雙方應(yīng)當(dāng)首先通過協(xié)商解決合同履行過程中的任何爭議。 If consultation fails, the parties shall apply to the Company’s labor mediation mittee for mediation.如果協(xié)商失敗， 合同雙方應(yīng)向甲方的勞動(dòng)調(diào)解委員會(huì)申請(qǐng)調(diào)解。 If agreement cannot be reached through mediation, the parties shall, within 60 days from the date of dispute, apply for arbitration to a labor dispute arbitration mittee with the jurisdiction over the place where the Company is located.如果通過調(diào)解不能達(dá)成協(xié)議， 合同雙方應(yīng)在爭議發(fā)生之日起60天內(nèi)向甲方所在當(dāng)?shù)氐挠兄俨脵?quán)限的勞動(dòng)爭議仲裁委員會(huì)申請(qǐng)仲裁。 If any party is not satisfied with an arbitrate award, the party may, within 15 days from the date of receiving the arbitrate award, bring forth a lawsuit in a People’s Court.如果任何一方不滿意仲裁裁決， 應(yīng)于收到裁定之日起15 日內(nèi)向人民法院起訴。16 Others 其他 The annexed Job Description, Remuneration Scheme as well as the Employee Handbook of the Company and other rules and materials issued by the Company shall form part of the terms and conditions of the Contract.本合同所附的工作描述和報(bào)酬表以及員工手冊(cè)和甲方發(fā)布其他的準(zhǔn)則和文件均構(gòu)成本合同的部分條款和要求。 If this Contract at any time conflicts with any applicable law and regulations, the Company will ply with all applicable Chinese law and shall promptly amend the Contract accordingly.任何情況下如果本合同與相關(guān)法律、法規(guī)有沖突的， 甲方應(yīng)當(dāng)遵循相關(guān)的中國法律并迅速對(duì)合同做出相應(yīng)修改。 This Contract shall be notarized by local labor administration authority when it is entered into force, if required by pulsive provisions of law.如果法律上有強(qiáng)制性規(guī)定，本合同必須經(jīng)過當(dāng)?shù)貏趧?dòng)管理部門的確認(rèn)后方能生效。 公司代表簽字:日期:地點(diǎn): Employee:乙方：姓名:日期:地點(diǎn):11
