【正文】 er form of cooperation or business relationship which is substantially similar to the Proposed Transaction between the Parties as outlined in this Agreement with any other party than Party B. 甲、乙雙方同意這種排他性義務并不禁止乙方及其關聯(lián)公司直接或間接地就其它投資機會、合資、戰(zhàn)略合作或聯(lián)盟、收購事宜進行探討。The Parties agree such exclusivity obligation shall not forbid Party B and its affiliate from directly or indirectly conducting any negotiation regarding other investment opportunity, joint venture, strategic partnership or alliance, purchase. ,在不影響適用法律規(guī)定可得的任何賠償?shù)那疤嵯拢杭追綄⑾蛞曳窖a償所有因擬定交易而產(chǎn)生的，不超過人民幣[100]萬元的合理費用。To the extent that failure of plying this Agreement, without prejudice to any receivable reimbursementsunder the Applicable Law, Party A shall remunerate Party B all the reasonable costs in relation to the Proposed Transaction, not exceeding [RMB1,000,000].5. 管轄法律適用及爭議解決/APPLICABLE LAW, JURISDICTIONAND DISPUTE RESOLUTION 本協(xié)議除沖突法原則外應適用中華人民共和國法律并依其解釋。This Agreement is governed by and construed exclusively under Chinese law without regard to conflicts of laws principles. 因本協(xié)議及其簽署、執(zhí)行（在法律允許范圍內）所產(chǎn)生的任何相關爭議應當提交[香港國際仲裁中心（HKIAC）]進行仲裁。All disputes out of or in connection with this Agreement, its pletion or its implementation to the extent permissible by law shall be subject to arbitration by [Hong Kong International Arbitration Centre (HKIAC)].6. 費用/COST 雙方將承擔其自身在商談或執(zhí)行本協(xié)議過程中（任何時間）所產(chǎn)生的稅務顧問費、法律顧問費及會計費和其他任何費用，無論最終交易文件是否會被簽署和執(zhí)行。Each Party shall bear its own costs arising from the fees of its respective tax advisor, legal advisor and accountant and any other expenses incurred at any time in connection with the negotiations or consummation of this Agreement, whether or not the final transaction documents will be concluded and executed.7. 通知/NOTICES 除非經(jīng)書面同意，所有有關本協(xié)議的申明和通訊將僅在以書面形式（電子郵件和傳真即可）傳達至雙方下述傳達地址時有效送達。Unless otherwise expressly agreed in writing, all declarations or munications in connection with this Agreement shall only be validly served if they are delivered in writing ( and fax is sufficient) to the following addresses for delivery of the Parties.(a) 至甲方的申明和通訊：For declarations or munications to be made to Party A:[地址待填入/ADDRESS to be inserted](b) 至乙方的申明和通訊：For declarations or munications to be made to Party B:[地址待填入/ADDRESS to be inserted] 上述地址和傳真號碼應適用于送達之目的直至一方書面通知另一方任何關于該等信息的改變。The above addresses and fax numbers shall be applicable for the purpose of service until such time as one of the Parties informs the other in writing of any change thereof.8. 生效、終止與存續(xù)/EFFECTIVENESS, TERMINATION AND SURVIVAL 本協(xié)議應自簽署之日起生效直至2013年9月30日、擬定交易的終止或簽署最終明確的交易文件之時（前述日期的最早時間）終止。This Agreement shall bee effective on the date of signing and remain in full force until September 30, 2013 or the termination of the proposed transaction or the execution of final definitive transaction documents (whichever occurs earlier). 在本協(xié)議終止之時，雙方根據(jù)本協(xié)議將不承擔任何進一步的義務，除非該等義務在本協(xié)議終止之時已經(jīng)產(chǎn)生或依其明示條款在本協(xié)議過期失效或提前終止后繼續(xù)有效。無論本協(xié)議終止、過期或失效，雙方將仍然遵守本協(xié)議第3條之約定，該等約定將在本協(xié)議簽署之日起的三（3）年內繼續(xù)有效。Upon termination of this Agreement, no Party shall have any further obligations under this Agreement except such obligations as have accrued as of the date of such termination or by their express terms survive the expiration or earlier termination of this Agreement. Notwithstanding any termination or expiration of this Agreement, each Party shall remain bound for three(3) years by the provisions of, Clause 3 of this Agreement that shall survive termination or expiration of this Agreement.9. 文字和文本/LANGUAGE AND COUNTERPARTS本協(xié)議以中、英兩(2)種文字文本簽署，每種文字的原始文本一式兩(2)份。如果本協(xié)議的中文文本和英文文本之間發(fā)生任何沖突，或如果有任何誤解或不明確，則以中文文本為準。This Agreement is executed in English and Chinese in two (2) original counterparts in each language.
