【導(dǎo)讀】甲方指定乙方為其獨(dú)家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的上述商品的訂單價(jià)值不低于美元。每一筆交易的貨物價(jià)格應(yīng)由乙方與買(mǎi)主通過(guò)談判確定，并須經(jīng)甲方最后確認(rèn)。付款使用保兌的、不可撤銷(xiāo)的。信用證，由買(mǎi)方開(kāi)出，以甲方為受益人。信用證須在裝運(yùn)日期前______天到達(dá)甲方。品質(zhì)、包裝、價(jià)格等方面的意見(jiàn)。乙方還承擔(dān)向甲方提供其他供應(yīng)商類(lèi)似商品的報(bào)價(jià)和廣告資料。乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在中國(guó)銷(xiāo)售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。
【正文】 have violate d the stipulations herein, the other party has the right to terminate this agreement. 15. 不可抗力 Force Majeure 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生 15 天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。 Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoid ed or overe by the relative party. However, the party affected by the event of Force Majeure shall inform the other parties of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 16. 仲裁 Arbitration 凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，均應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)華南分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。 Any dispute arising from or in connection with this contract shall be submitted to China International Economic and Trade Arbitration Commission, South China SubCommission for arbitration, which shall be conducted in accordance with the Commission39。s arbitration rules in effect at the time of applying for arbitration.
