【正文】 Arbitration: All disputes arising from the execution of, or in connection with this Sales Confirmation, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to China International Economic and Trade Arbitration Commission, Shanghai Commission for arbitration in accordance with Rules of Arbitration of China International Economic and Trade Arbitration Commission. The award made by the Commission should be accepted as final and binding upon both parties. REMARKS:買(mǎi)方須于2006 年12 月20 日前開(kāi)出本批交易的信用證（或通知銷(xiāo)售方進(jìn)口許可證號(hào)碼）。否則，銷(xiāo)售方有權(quán)不經(jīng)過(guò)通知取消本確認(rèn)書(shū)，或向買(mǎi)方提出索賠。The Buyer shall establish the covering Letter of Credit (or notify the Import License Number) before Dec.,20, 2006, falling which the Seller reserves the right to rescind w1thout further notice, or to accept whole or any part of this Sales Confirmation nonfulfilled by the Buyer, or, to lodge claim for direct losses sustained, if any.凡以CIF條件成交的業(yè)務(wù)，保額為發(fā)票價(jià)的110％，投保險(xiǎn)別以售貨確認(rèn)書(shū)中所開(kāi)列的為限，買(mǎi)方如果要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)賣(mài)方同意，因此而增加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。For transactions conclude on CIF basis, it is understood that the insurance amount will be for 110 ％ of the invoice value against the risks specified in Sales Confirmation. If additional insurance amount or coverage is required, the buyer must have consent of the Seller before Shipment, and the additional premium is to be borne by the Buyer.品質(zhì)/數(shù)量異議：如買(mǎi)方提出索賠，凡屬品質(zhì)異議,須于貨到目的口岸之60 日內(nèi)提出。凡屬數(shù)量異議，須于貨到目的口岸之30日內(nèi)提出，對(duì)所裝貨物所提任何異議屬于保險(xiǎn)公司、輪船公司等其他有關(guān)運(yùn)輸或郵遞機(jī)構(gòu)的責(zé)任范疇，賣(mài)方不負(fù)任何責(zé)任。QUALITY,/QUANTITY DISCRFPANCY: In case of quality discrepancy, claim should be filed by the Buyer within 60 days after the arrival of the goods at port of destination。 while for quantity discrepancy, claim should be filed by the Buyer within:30 days after the arrival of the goods at port of destination. It is understood that the seller shall not he liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipped Company other transportation organization/or Post Office are liable.本確認(rèn)書(shū)內(nèi)所述全部或部分商品，如因人力不可抗拒的原因，以致不能履約或延遲交貨，賣(mài)方概不負(fù)責(zé)。The Seller shall not be held liable for failure of delay in delivery of the entire lot or a portion of the goods under this Sales Confirmation in consequence of any Force Majeure incidents.買(mǎi)方在開(kāi)給賣(mài)方的信用證上請(qǐng)?zhí)钭⒈敬_認(rèn)書(shū)號(hào)碼。The Buyer is requested always to quote THE NUMBER OF THIS SALES CONFIRMATION in the Letter of Credit to be opened in favour of the Seller. 買(mǎi)方收到本售貨確認(rèn)書(shū)后請(qǐng)立即簽回一份，如買(mǎi)方對(duì)本確認(rèn)書(shū)有異議，應(yīng)于收到后五天內(nèi)提出，否則認(rèn)為買(mǎi)方已同意接受本確認(rèn)書(shū)所規(guī)定的各項(xiàng)條款。The buyer is requested to sign and return one copy of the Sales Confirmation immediately after the receipt of same, Objection, if any, should be raised by the Buyer within five days after the receipt of this Sales Confirmation, in the absence of which it is understood that the Buyer has accepted the terms and condition of the Sales Confirmation.買(mǎi) 方 香月昇 賣(mài) 方 朱海和THE BUYER THE SELLER六、案例分析（16分）？（8分）答：（1）應(yīng)選擇在寧波裝450公噸和在廣州裝550公噸。 （2分）（2）根據(jù)《跟單信用證統(tǒng)一慣例》規(guī)定，運(yùn)輸單據(jù)表面上注明是使用同一運(yùn)輸工具裝運(yùn)并經(jīng)同一線路運(yùn)輸，即使運(yùn)輸單據(jù)上注明的裝運(yùn)日期或裝運(yùn)港不同，只要運(yùn)輸單據(jù)注明是同一目的地，將不視為分批裝運(yùn)。 （3分）本案中浙江杭宏進(jìn)出口公司如在寧波裝450公噸和在廣州裝550公噸貨物于同一船（和平號(hào)）、同一航次上，提單雖注明不同裝運(yùn)港和不同裝運(yùn)期限，則不視作分批裝運(yùn)。因此，這種做法應(yīng)認(rèn)為符合信用證的規(guī)定，可以順利結(jié)匯。 （3分）2．合同是否成立？（8分）答：（1）A與B之間的合同未能成立。 （2分）（2）合同成立必須有兩個(gè)環(huán)節(jié)：發(fā)盤(pán)與接受。因?yàn)橘u(mài)方A的撤回通知于實(shí)盤(pán)之前到達(dá)受盤(pán)人，則意味著該實(shí)盤(pán)已經(jīng)被撤銷(xiāo)，在這樣的情況下B方的接受通知僅等同于一個(gè)新的發(fā)盤(pán)，在未得到賣(mài)方A的確認(rèn)（接受）之前合同關(guān)系無(wú)從成立。 （3分）（3）“撤回”是指一項(xiàng)發(fā)盤(pán)在尚未送達(dá)受盤(pán)人之前亦即尚未生效之前，由發(fā)盤(pán)人將其取消。“撤銷(xiāo)”則是指一項(xiàng)發(fā)盤(pán)在已經(jīng)送達(dá)受盤(pán)人之后亦即已開(kāi)始生效之后，由發(fā)盤(pán)人將其取消。 （3分）18 / 18
