【文章內(nèi)容簡介】 directors, supervisers, managers, officers, and employees of the Receiving Party whose duties require them to access or process the Confidential Information, the Receiving Party shall cause each of its directors, supervisers, employees or officers and employees to execute a separate confidentiality agreement on terms no less strict than those set out herein. 除非為實(shí)現(xiàn)本業(yè)務(wù)往來之目的而必須得到其專業(yè)顧問、供應(yīng)商、分支機(jī)構(gòu)、關(guān)聯(lián)機(jī)構(gòu)的服務(wù)，而由此專業(yè)顧問、供應(yīng)商、分支機(jī)構(gòu)、關(guān)聯(lián)機(jī)構(gòu)必須知曉該等保密信息外，不得向上述機(jī)構(gòu)/人員披露保密信息；并且，接受方在向上述機(jī)構(gòu)/人員披露保密信息時(shí)，應(yīng)要求其簽訂與本協(xié)議條款同樣嚴(yán)格的保密協(xié)議，以確保保密信息的保密性。The Receiving Party shall not disclose the Confidential Information to its Professional Advisers, suppliers, subsidiaries, Affiliated except for them whose services are required for the purpose of Business Dealing, and such disclosure shall be made only on a needtoknow basis. In addition, the Receiving Party shall execute a confidentiality agreement on terms no less strict than those set out herein prior to disclosing Confidential Information to such institutions/staffs to ensure the confidentiality of Confidential Information. 接受方不得復(fù)印、復(fù)制披露方所提供的保密信息，除非是因?yàn)闃I(yè)務(wù)往來必須且副本或復(fù)制品應(yīng)屬于披露方的財(cái)產(chǎn)。即使在上述情況下，副本的數(shù)量也不得超過符合本業(yè)務(wù)往來之目的的必要限度，同時(shí)，接受方對復(fù)印件、復(fù)制品應(yīng)采用與原件相同或相應(yīng)的的保密水平。The Receiving Party shall not copy, or reproduce any part of the Confidential Information except as may be necessary for the Business Dealing and any copies of reproductions so made shall be the property of the Disclosing Party. Notwithstanding the stipulation aforesaid, such copies and reproductions shall not exceed the number which is necessary for the purpose of the Business Dealing. In addition, the Receiving Party shall apply the same level or corresponding degree of confidentiality to the copies and reproductions as it applies to the originals.3. 強(qiáng)制性披露Compulsive Disclosure相關(guān)法律、法規(guī)、法院命令、政府機(jī)關(guān)或者法律法規(guī)授權(quán)的組織要求接受方披露保密信息，接受方披露該等信息不受本協(xié)議的約束，條件是接受方應(yīng)即時(shí)通知披露方該等保密信息被要求披露。The disclosure of the Confidential Information made by the Receiving Party in accordance with applicable laws, regulations or the order of court, government authority or organizations (authorized by the law or regulations) is not subject to the terms of this Agreement, provided that the Receiving Party shall give prompt notice to the Disclosing Party of the request for such disclosure.4. 保密信息的所有權(quán) Ownership of the Confidential Information披露方保留對其所披露的保密信息的所有權(quán)利和利益，除披露方書面同意外，本協(xié)議的任何規(guī)定均未向接受方明示或者暗示授予任何與保密信息有關(guān)的任何專有權(quán)或所有權(quán)。The Disclosing Party reserves all rights and interests in the Confidential Information. Without written consent of the Disclosing Party, no rights or interests in the Confidential Information are expressly or impliedly granted to the Receiving Party.5. 陳述與保證Representations and Warranties披露方不對保密信息是否適于特定目的進(jìn)行陳述和保證，也不對應(yīng)用上述保密信息是否會導(dǎo)致侵犯第三方權(quán)利或利益進(jìn)行任何的陳述和保證；同時(shí)，披露方亦無義務(wù)主動(dòng)向接受方提供額外信息以及對保密信息進(jìn)行更新。The Disclosing Party makes no representations or warrants to merchantability or fitness for a particular purpose, or as to whether or not the exploitation of any such Confidential Information will infringe any rights or interests of any other person.
