【文章內(nèi)容簡(jiǎn)介】 during the term of this Agreement and for 5 years thereafter:本協(xié)議簽署前以及在本協(xié)議有效期內(nèi)，一方（“披露方”）曾經(jīng)或者可能不時(shí)向?qū)Ψ剑ā笆芊健保┡对摲降纳虡I(yè)、營(yíng)銷(xiāo)、技術(shù)、科學(xué)或其他資料，這些資料在披露當(dāng)時(shí)被指定為保密資料（或類(lèi)似標(biāo)注），或者在保密的情況下披露，或者經(jīng)雙方的合理商業(yè)判斷為保密資料（“保密資料”）。在本協(xié)議有效期內(nèi)以及隨后5年內(nèi)，受方必須：（a） maintain the confidentiality of Confidential Information。對(duì)保密資料進(jìn)行保密；（b） not to use Confidential Information for any purpose other than those specifically set out in this AGREEMENT。 and不為除本協(xié)議明確規(guī)定的目的之外的其他目的使用保密資料； Upon the expiration or termination of this Agreement, and in any event upon the disclosing Party’s request at any time, the receiving Party shall (i) return to the other Party, or at the disclosing Party’s direction destroy, all materials (including any copies thereof) embodying the other Party’s Confidential information and (ii) certify in writing to the other Party, within ten days following the other Party’s Confidential Information.本協(xié)議期滿(mǎn)或終止后，或經(jīng)披露方隨時(shí)提出要求，受方應(yīng)（1）向?qū)Ψ綒w還（或經(jīng)對(duì)方要求銷(xiāo)毀）包含對(duì)方保密資料的所有材料（包括其復(fù)制件），并且（2）在對(duì)方提出此項(xiàng)要求后十（10）日內(nèi)向?qū)Ψ綍?shū)面保證已經(jīng)歸還或銷(xiāo)毀上述材料。4. Public announcements本備忘內(nèi)容保密Neither Party shall make any announcement or disclosure concerning the Agreement without the other Party’s prior written consent except as may be reasonably required by law.除非按照法律規(guī)定有合理必要，未經(jīng)另一方事先書(shū)面同意，任何一方不得就本協(xié)議發(fā)表任何公開(kāi)聲明或進(jìn)行任何披露。5.
