Zentric will represent 70 percent share of the JV Company.. 捷榮 會(huì)提供以下服務(wù)，在注冊(cè)中所占合資公司百份十之股權(quán),(1) 籌組和組合合資注冊(cè)公司。(2) 協(xié)助早期廠房籌建和籌備等事項(xiàng)工作(3) 負(fù)責(zé)合資公司國(guó)內(nèi)和國(guó)際營(yíng)銷市場(chǎng)責(zé)任Jet Glory will provide the following services to obtain 10 percent shares of the JV Company:(1)Form and establish the JV pany 。(2)Assist in the planning of establishing a manufacturer。 and(3)Assist in the sale of the products in China and international market. 出資證明書(shū)Investment Certificates恒信或Zentric 或捷榮完成對(duì)注冊(cè)資本的出資后，在國(guó)內(nèi)注冊(cè)的會(huì)計(jì)師應(yīng)驗(yàn)證各方的有關(guān)出資并出具驗(yàn)資報(bào)告。有關(guān)費(fèi)用由合資公司承擔(dān)。合資公司在收到驗(yàn)資報(bào)告后三十（30）日內(nèi)，應(yīng)分別向恒信和Zentric和捷榮出具一份由董事長(zhǎng)簽署的載明各方出資的出資證明書(shū)。Promptly on or after the contribution by each of the Parties of the registered capital, an accountant registered in China shall, at the expense of the Company, verify the respective contribution and issue a contribution verification report. Thereupon, the Company shall, within thirty (30) days after receiving the contribution verification report, issue an investment certificate to each Party signed by the Chairman of the Board and specifying their respective contributions to the registered capital of the Company.6 股權(quán)轉(zhuǎn)讓Assignment of shares根據(jù)本協(xié)議下文規(guī)定的條款和條件，任何一方（轉(zhuǎn)讓方）未經(jīng)另一方的事先書(shū)面同意，均不得將其在合資公司的全部或部分出資轉(zhuǎn)讓、出售或者以其他方式處理給第三方。Subject to the terms and conditions set forth below, no Party (assignor) may assign, sell or otherwise dispose of all or any part of its capital investment in the Company to any third party without prior written consent of the other Parties.盡管本協(xié)議有其他規(guī)定，Zentric有權(quán)在任何時(shí)候?qū)⑵湓诒緟f(xié)議和本項(xiàng)目中的部分或全部權(quán)利、財(cái)產(chǎn)權(quán)和利益轉(zhuǎn)讓給其書(shū)面向恒信書(shū)面指定的關(guān)聯(lián)公司。此時(shí)，則“Zentric”名稱應(yīng)指明為相應(yīng)的關(guān)聯(lián)公司（此術(shù)語(yǔ)在《美國(guó)商業(yè)公司法》中有明確定義），且Zentric集團(tuán)公司自動(dòng)免除其已轉(zhuǎn)讓的本協(xié)議項(xiàng)下的各項(xiàng)義務(wù)。恒信據(jù)此同意Zentric將其在合資公司中的部分或全部利益轉(zhuǎn)讓給 Zentric的關(guān)聯(lián)公司，并放棄對(duì)Zentric向其一個(gè)或多個(gè)海外關(guān)聯(lián)公司轉(zhuǎn)讓利益的優(yōu)先購(gòu)買權(quán)。Zentric應(yīng)至少提前三十日將其任何轉(zhuǎn)讓書(shū)面通知恒信。Notwithstanding any other provision of this Agreement, Zentric shall be entitled to assign and transfer, at anytime, all or part of all its rights, titles and interest in this Agreement and in the Project to any of its affiliated pany it may designate in writing to Hengxin in which case, the name “Zentric” used hereu
