onsin respect of the mortgaged properties shall be handed over by the borrower tothe lender after sealed.、利息、管理費(fèi)、違約金、賠償金以及實(shí)現(xiàn)債權(quán)所發(fā)生的一切費(fèi)用,包括但不限于訴訟費(fèi)、公證費(fèi)、仲裁費(fèi)、律師費(fèi)、財(cái)產(chǎn)保全費(fèi)、差旅費(fèi)、執(zhí)行費(fèi)、評估費(fèi)、拍賣費(fèi)等。the floating mortgage hereof secures the principal, interests, managementfees, pensation, and any other cost arising from the enforcement of thelender’s right pursuant to this contract, including but without limitation courtfee, cost for notarization, arbitration fee, attorney fee, fee for custody,traveling expense, pulsory execution fee, assessment fee and auction fee.5. 借款方應(yīng)自本合同簽訂之日起三十日內(nèi)向有關(guān)部門辦理本合同的審批、備案和登記等事宜,所產(chǎn)生的費(fèi)用由借款方承擔(dān)。the borrower shall apply for administrative approval, recordkeeping andregistration on its own fee in thirty days from the signing of thiscontract.,如抵押物的價(jià)值比本合同簽訂時(shí)的評估價(jià)減少15%以上的,借款方應(yīng)當(dāng)在三日內(nèi)通知貸款方。貸款方有權(quán)要求借款方繼續(xù)提供相應(yīng)擔(dān)?;蛘咛崆斑€款。the borrower shall use and keep the mortgaged properties in a reasonablemanner, in case the value of the mortgaged properties have been reduced by 15%from the agreed value at the date of signing this contract, the borrower shallinform the lender. the lender is entitled to require the borrower forappropriate securities or for repayment immediately.7. 貸款方在借款方發(fā)生以下情形之一時(shí),可以行使抵押權(quán):the lender is entitled to exercise its mortgagee’s right, in the followingcases:(1)借款方違反本合同所約定的義務(wù)。the borrower is in default of its obligation hereof。(2)經(jīng)營情況嚴(yán)重惡化、減少注冊資本。the borrower’s business has seriously deteriorated or reduced theregistered capital.(3)借款方分立、合并。 the borrower is to be or has been spanided or merged。(4)借款方涉及重大糾紛訴訟,涉案標(biāo)的30萬元人民幣以上。the borrower is involved in an important litigation or any other dispute ofwhich the amount is above 300,000rmb.(5)借款方破產(chǎn)、歇業(yè)、解散、被停業(yè)整頓、被吊銷營業(yè)執(zhí)照。the borrower risks to bankruptcy or goes bankrupt, closes out, dissolves,has been asked to suspend business to raise standards or has its licenserevoked。(6)借款方住所或法定代表人發(fā)生變更。the business place or the legal representative has been changed。(7)其他因借款方原因可能導(dǎo)致貸款方擁有抵押權(quán)無法實(shí)現(xiàn)的情形。the lender could not enforce the mortgagee’s right because of any otherevent due to the borrower.借款方發(fā)生或很可能發(fā)生以上情形之一的,貸款方書面通知借款方之日為浮動抵押財(cái)產(chǎn)確定之日。若借款方不簽收通知回執(zhí)的,貸款方有權(quán)按本合同第十四條所示方法通知,視為乙方已經(jīng)收到。if any case above said occurs or more than likely to occur, the floatingmortgage converts into being fixed mortgage at the date of notice sent by thelender. if the borrower refuses to sign receipt, it is deemed to have receivedthe notice sent by the lender in according article 14.第六條 陳述與保證article 6 presentations and warranties借款方在此陳述并保證以下事項(xiàng)屬實(shí),否則承擔(dān)欺詐的法律責(zé)任:the borrower hereby presents and warrants all the following facts,otherwise it shall be liable for fraud.、有效的、合法的所有者。該抵押財(cái)產(chǎn)不存在權(quán)屬方面的爭議。the borrower has the entire, valid and legal ownership of the mortgagedproperties without any dispute or claim.2. 本合同項(xiàng)下抵押財(cái)產(chǎn)不存在瑕疵。no defect on the mortgaged properties.3. 本合同項(xiàng)下的抵押財(cái)產(chǎn)依法可以設(shè)定抵押,設(shè)立本合同的抵押不會受到任何限制。the mortgaged properties are legally available for mortgage without anylimitation.4. 本合同項(xiàng)下的抵押財(cái)產(chǎn)未被依法查封、扣押。the mortgaged properties haven’t been sealed or seized.借款方在此保
