【正文】 Article 42 If any item or part of an item in a payment notice submitted by Party B is contested by Party A, Party A shall send an objection notice to Party B within 3 working days from the reception of the payment notice and shall not delay the payment for other items without objections. 18 其他 Miscellaneous Matters 第四十三條 委托的建設(shè)工程監(jiān)理所必要的乙方人員出外考察、材料設(shè)備復(fù)試，其費(fèi)用支出經(jīng)甲方同意的，在預(yù)算范圍內(nèi)向甲方實(shí)報(bào)實(shí)銷。經(jīng)甲方確認(rèn)后，乙方可以暫停或部分 15 暫停監(jiān)理業(yè)務(wù) 。 Article 22 In the event that Party B wants to replace the Chief Supervision Engineer and main members of the Supervision Organization, he shall in advance obtain the consent of Party A after the interview of relevant staff by Party A. 第二十三條 甲方有權(quán)要求乙方提交監(jiān)理工作月報(bào)及監(jiān)理業(yè)務(wù)范圍內(nèi)的專項(xiàng)報(bào)告 。 (8) The right to check and inspect the materials used in the Project and construction quality. Should the materials, ponents and parts, equipment are not in conformity with the design requirements, provisions of the Contract and national quality standards, Party B has the right to advise the Contractor to stop using。 （ 2）提供與本工程有關(guān)的協(xié)作單位、配合單位的名錄。 Article 4 According to the Contract, Party B shall designate the Supervision Organization and supervisors necessary for carrying out the supervision。 (6) “Contractor” means the person(s) other than the supervision unit with whom Party A signs the contract in relation to the construction of the project. （ 7） “工程監(jiān)理的正常工作 ”是指雙方在專用條件中約定，甲方委托的監(jiān)理工作范圍和內(nèi)容。 f) Supervision Cost Quotation List confirmed by Party A。 c) Particular Conditions of the Contract。 (4) “Supervision Organization” means the anization sent by the supervision unit to carry out supervision on the site of this project. （ 5） 總監(jiān)理工程師 是指經(jīng)甲方單位同意，監(jiān)理單位派到監(jiān)理機(jī)構(gòu)全面履行本合同的全權(quán)負(fù)責(zé)人。如專用條件約定使用兩種以上（含兩種）語言文字時(shí)，漢語應(yīng)為解釋和說明本合同的標(biāo)準(zhǔn)語言文字。 8 Article 12 Party A shall appoint a permanent representative (specified in Particular Conditions) who is familiar with the project and able to make decisions within specified period to contact Party B. Should the permanent representative be replaced, Party A shall notify Party B in advance. 第十三條 甲方應(yīng)當(dāng)將授予乙方的監(jiān)理權(quán)利，以及乙方主要成員的職能分工、監(jiān)理權(quán)限及時(shí)書面通知已選定的承包合同的承包人，并在與第三人簽訂的合同中予以明確。 (7) With the consent of Party A, Party B has the right to give mand with regards to mencement, suspension and resumption of the work. But before doing so, he shall report to Party A in advance. In case of emergencies without prior reports, Party B shall submit a written report to Party A within 24 hours. （ 8）工程上使用的材料和施工質(zhì)量的檢驗(yàn)權(quán)。 Article 20 Party A has the right to appoint the General Contractor of the project and enter into a contract with that contractor. 第二十一條 甲方有對(duì)工程規(guī)模、設(shè)計(jì)標(biāo)準(zhǔn)、規(guī)劃設(shè)計(jì)、生產(chǎn)工藝設(shè)計(jì)和設(shè)計(jì)使用功能要求的認(rèn)定權(quán)，以及對(duì)工程設(shè)計(jì)變更的審批權(quán)。 Article 30 If the claim made by Party A to Party B cannot be justified, Party A shall pensate all the expenses incurred to Party B in relation to the claim. 合同生效、變更與終止 Commencement, Alteration and Termination of the Contract 第三十一條 由于甲方或承包人的原因使監(jiān)理工作受到阻礙或延誤，以致發(fā)生了附加工作或延長(zhǎng)了持續(xù)時(shí)間，則乙方應(yīng)當(dāng)將此情況與可能產(chǎn)生的影響及時(shí)書面通知甲方。滯納金從規(guī)定支付期限最后一日起計(jì)算 。 Article 45 If the reasonable suggestions proposed by Party B during the supervision service bring economic benefits to Party A, Party A shall give financial incentives as stated in the Particular Conditions. 第四十六條 乙方駐地監(jiān)理機(jī)構(gòu)及其職員不得接受監(jiān)理工程項(xiàng)目施工承包人的任何報(bào)酬或者經(jīng)濟(jì)利益。 變更或解除合同的通知或協(xié)議必須采取書面形式，協(xié)議未達(dá)成之前，原合同仍然有效。在監(jiān)理過程中，如果因工程建設(shè)進(jìn)度的推遲或延誤而超過書面約定的日期，雙方應(yīng)進(jìn)一步約定相應(yīng)延長(zhǎng)的合同期 。未經(jīng)總監(jiān)理工程師簽字確認(rèn)，甲方不支付工程款。 Article 16 Given certain circumstances, if the two parties agree that Party A shall provide other personnel at his own expense to Party B, such agreement shall be made clear in Particular Conditions of the Contract. 9 乙方權(quán)利 Rights of Party B 第十七條 乙方在甲方委托的工程范圍內(nèi)，享有以下權(quán)利： Article 17 Party B is entitled to the following rights within his scope of work entrusted by Party A. （ 1）選擇工程總承包人的建議權(quán)。 Article 5 Party B shall exercise reasonable care and diligence, provide advice at an appropriate level in the performance of the obligations under this Contract to Party A and protect the lawful rights and interests of various parties. 第六條 乙方使用甲方提供的設(shè)施和物品屬甲方的財(cái)產(chǎn)。 (8) “Additional Service of Engineering Supervision” means: 1) The work content beyond 5 the scope of supervision entrusted by Party A, and added to the Contract by written agreement of both parties。 i) Standards, technical requirements and relevant technical data。 2. Relevant words in this Contract have the same meanings as are assigned to them in Part II of this Contract “Standard Conditions”. 三、下列文件均為本合同的組成部分，合同文件應(yīng)能互相解釋、互為說明，除本合同協(xié)議書另有規(guī)定外，其組成部分和解釋順序如下： 3. This Contract prises following documents which can explain and interpret each other.
