Should the pany not be able to pay off the overdue debt and be declared bankrupt according to the law, a liquidation team consisting of shareholders, relevant authorities and professionals led by the people’s court shall deal with the liquidation.二、 公司有下列情形之一的，可以解散： A dissolution can be possible under the following circumstances 1． 經(jīng)營期限屆滿；The expiration of the business term。 Two. The pany shall take 10% as the reserved fund when distributing the profit after tax of the current year, and percent as public welfare fund which can not be withdrawn when it exceeds 50% of the registered capital of the pany.經(jīng)股東會決議，可以提取任意公積金。公司的每一個會計年度終了時制作財務(wù)會計報告，按規(guī)定期限分送各股東，并依法經(jīng)審查驗證。1． 檢查公司財務(wù)；To examine the financial standing of the pany。6． 提請聘任或者解聘公司副經(jīng)理、財務(wù)負(fù)責(zé)人；To suggest an appointment or dismissal of the vice manager, or financial officer。 to appoint or dismiss the vice manager, or financial officer according to the manager’s nomination。9． 股東會應(yīng)當(dāng)對所議事項的規(guī)定作成會議記錄，出席會議的股東應(yīng)當(dāng)在會議記錄上簽名。3． 股東會會議由股東按照出資比例行使表決權(quán)；Shareholders exercise each voting right as per contribution ratio。4． 審議批準(zhǔn)執(zhí)行董事的報告；To verify and approve the report of the executive director。5． 遵守公司章程。4． 有查閱股東會議記錄和財務(wù)會計報告、監(jiān)督公司經(jīng)營的權(quán)利；Be entitled to inspect the minutes of Shareholders Meeting as well as the financial and accounting reports of the pany, supervise the business of the pany。本章程為本公司行為準(zhǔn)則，公司全體股東和員工必須嚴(yán)格遵守。為規(guī)范本公司的組織和行為，保護(hù)公司股東的正當(dāng)權(quán)益，根據(jù)《中華人民共和國公司法》和國家有關(guān)法律、法規(guī)制定本章程。3． 有選舉和被選舉執(zhí)行董事、監(jiān)事的權(quán)利；Right to vote or to be voted as executive director or supervisor。4． 不按本章程規(guī)定向公司繳納出資的，應(yīng)承擔(dān)違約責(zé)任；Be liable for breach of this article of association by not paying the contribution accordingly。3． 選舉和更換由股東代表出任的監(jiān)事，決定有關(guān)監(jiān)事的報酬；To vote or replace the supervisor who is the representative of the shareholders and determine his remuneration。2． 修改公司章程的決議，必須經(jīng)代表三分之二以上表決權(quán)的股東通過；Modification or change of article of associationshall be approved by more than 2/3 of the shareholders。8． 召開股東會會議，應(yīng)當(dāng)于會議召開十五日以前通知全體股東；A notice of 15 days in advance shall be given to all the shareholders about the Shareholders Meeting。8． 聘任或者解聘公司經(jīng)理（總經(jīng)理）；根據(jù)經(jīng)理的提名，聘任或者解聘公司副經(jīng)理、財務(wù)負(fù)責(zé)人，決定其報酬事項；To appoint or dismiss a manager(GM)。5． 擬訂公司的具體規(guī)章；To draft the standards and regulations。The executive director, manager or the financial officer shall not hold concurrent post as supervisor.監(jiān)事行使下列職權(quán)：The supervisor exercises the following functions。ArticleⅩ The finance and meeting of the pany一、 本公司依照法律、行政法規(guī)和國家財政主管部門的規(guī)定建立財務(wù)、會計制度。Profit Appropriation Statement二、 本公司依法律規(guī)定在分配當(dāng)年稅后利潤時，提取利潤的百分之十列入公司法定公積金，提取利潤的百分之 列入公司法定公益金，法定公積金累計額為公司注冊資本的百分之五十以上的，可不再提取。No individual shall divert or lend the corporate capital, or embezzle the pany asset.第十一條：公司破產(chǎn)、解散和清算Article Ⅺ Bankruptcy, dissolution and liquidation一、 公司因不能清償?shù)狡趥鶆?wù)，被依法宣告破產(chǎn)的，由人民法院依照有關(guān)法律的規(guī)定，組織股東、有關(guān)機(jī)關(guān)及有關(guān)專業(yè)人員成立清算組，對公司進(jìn)行破產(chǎn)清算。To participate in civic suit on behalf of the pany.四、 清算組在清理公司財產(chǎn)、編制資產(chǎn)負(fù)債表和財產(chǎn)清單后，制定清算方案，并報股東會或者有關(guān)主管機(jī)關(guān)確認(rèn)后，由清算組向公司登記機(jī)關(guān)申請公司注銷登記，公告公司終止。Note:the first article of association upon the establishment of the pany shall be signed by all the shareholders, but the modified one after the change of corporate form be signed by the legal representative.15 / 15
