【正文】 d (四 )境外基金會在中國內(nèi)地設(shè)立的代表機(jī)構(gòu)。 Article 3 Funds include those that can solicit donations from the public (hereinafter referred to as public funds) and those that shall not solicit donations 2 from the public (hereinafter referred to as nonpublic finds). In case of approval, a Registration Certificate for the Fund Legal Person shall be issued。 Branches or the representative institutions of a fund shall conduct activities as authorized by the fund and it does not possess the status of a legal person. 第十三條 境外基金會在中國內(nèi)地設(shè)立代表機(jī)構(gòu)，應(yīng)當(dāng)經(jīng)有關(guān)業(yè)務(wù)主管單位同意后，向登記管理 機(jī)關(guān)提交下列文件： 7 Article 13 To establish representative institutions in mainland China, an overseas fund shall submit the following documents to the petent authorities responsible for registration after obtaining the approval of the relevant authorities responsible for business: (一 )申請書； (1) the application。 In case of disapproval, reasons shall be given in writing. 境外基金會代表機(jī)構(gòu)設(shè)立登記的事項(xiàng)包括：名稱、住所、公益活動的業(yè)務(wù)范圍和負(fù)責(zé)人。 Amendments to the articles of incorporation of the fund shall be approved by the petent authorities of business and ratified by the registration and administration authority. 第十六條 基金會、境外基金會代表機(jī)構(gòu)有下列情形之一的，應(yīng) 當(dāng)向登記管理機(jī)關(guān)申請注銷登記： Article 16 Funds and representative institutions of overseas funds shall apply for cancellation registration to the registration and administration authority in case of: 9 (一 )按照章程規(guī)定終止的； (1) termination pursuant to articles of incorporation。 Article 19 Registration of incorporation, alteration or cancellation of funds, branches of funds, representative institutions of funds and representative institutions of overseas funds shall be made public by the registration and administration authority. 10 第三章 組織機(jī)構(gòu) Chapter 3 Organizational Structure 第二十條 基金會設(shè)理事會，理事為 5人至 25人，理事任期由章程規(guī)定，但每屆任期不得超過 5年。 The board of directors shall convene at least twice a year. Directors, close relatives of the directors and financial staff of the fund shall not serve concurrently as supervisors. 監(jiān)事依照章程規(guī)定的程序檢查基金會財(cái)務(wù)和會計(jì)資料，監(jiān)督理事會遵守法律和章程的情況。 Supervisors and parttime directors serving in a fund shall not receive remuneration therefrom. 第二十四條 擔(dān)任基金會理事長、副理事長或者秘書長的香港居民、澳門居民、臺灣居民、外國人以及境外基金會代表機(jī)構(gòu)的負(fù)責(zé)人，每年在中國內(nèi)地居留時(shí)間不得少于 3個(gè)月。 Where donated materials are unable to be utilized in pliance with the purposes, 14 funds may auction or sell it, and the ine thereof shall be subject to the purposes of donation. 第二十八條 基金會應(yīng)當(dāng)按照合法、安全、有效的原則實(shí)現(xiàn)基金的保值、增值。 Article 32 Funds should carry out the national uniform accounting system, conduct accounting checkup according to law and establish and perfect the internal accounting supervisory system. 第三十三條 基金會注銷后的剩余財(cái)產(chǎn)應(yīng)當(dāng)按照章程的規(guī)定用于公益目的；無法按照章程規(guī)定處理的，由登記管理機(jī)關(guān)組織捐贈給與該基金會性質(zhì)、 宗旨相同的社會公益組織，并向社會公告。 Article 37 Funds shall be subject to taxation and accounting supervision conducted by authorities responsible for taxation and accounting according to law. 基金會在換屆和更換法定代表人之前，應(yīng)當(dāng)進(jìn)行財(cái)務(wù)審計(jì)。 Article 40 In case any anization that have not been registered or have its registration cancelled carries out activities in the name of a fund, a branch of fund, a representative institution of a fund or a representative institutions of an overseas fund, the registration and administration authorities shall outlaw it, confiscate its unlawful properties and issue public notice thereof. 第四十一條 基金會、基金會分支機(jī)構(gòu)、基金會代表機(jī)構(gòu)或者境外基金會代表機(jī)構(gòu)有下列情形之一的，登記管理機(jī)關(guān)應(yīng)當(dāng)撤銷登記： Article 41 In the following cases, registration of involved funds, branches of funds, representative institutions of funds or representative institutions of overseas funds shall be cancelled by the registration and administration authorities: 18 (一 )在申請登記時(shí)弄虛作假騙取登記的，或者自取得登記證書之日起 12個(gè)月內(nèi)未按章程規(guī)定開展活動的； (1) conceal real situations and practice fraud when applying for registration, or fail to conduct activities in accordance with articles of incorporation within 12 months from the date of obtaining registration certi
