【正文】 1 Regulations on Funds 中華人民共和國(guó)國(guó)務(wù)院令第 400號(hào) Order of the State Council of the People39。s Republic of China No. 400 《基金會(huì)管理?xiàng)l例》已經(jīng) 2020年 2月 4日國(guó)務(wù)院第 38次常務(wù)會(huì)議通過，現(xiàn)予公布，自 2020年 6月 1日起施行。 Regulations on Funds, adopted at the 38th executive meeting of the State Council on February 4th, 2020, are hereby promulgated. It shall be implemented as of June 1st, 2020. 總理 溫家寶 Wen Jiabao,Premier 二 00四年三月八日 March 8th, 2020 第一章 總則 Chapter 1 General Provisions 第一條 為了規(guī)范基金會(huì)的組織和活動(dòng)，維護(hù)基金會(huì)、捐贈(zèng)人和受益人的合法權(quán)益，促進(jìn)社會(huì)力量參與公益事業(yè)，制定本條例。 Article 1 This Regulation is formulated with a view to standardizing the anization and activities of funds, safeguarding the legitimate rights and interests of funds, donators and beneficiaries and promoting social involvement in the philanthropic undertakings. 第二條 本條例所稱基金會(huì)，是指利用自然人、法人或者其他組織捐贈(zèng)的財(cái)產(chǎn)，以從 事公益事業(yè)為目的，按照本條例的規(guī)定成立的非營(yíng)利性法人。 Article 2 The fund in this Regulation refers to the nonprofit legal person incorporated under this Regulation for the purpose of public benefit undertakings, on the strength of the properties donated by natural persons, legal persons or other originations. 第三條 基金會(huì)分為面向公眾募捐的基金會(huì) (以下簡(jiǎn)稱公募基金會(huì) )和不得面向公眾募捐的基金會(huì) (以下簡(jiǎn)稱非公募基金會(huì) )。公募基金會(huì)按照募捐的地域范圍，分為全國(guó)性公募基金會(huì)和地方性公募基金會(huì)。 Article 3 Funds include those that can solicit donations from the public (hereinafter referred to as public funds) and those that shall not solicit donations 2 from the public (hereinafter referred to as nonpublic finds). Public funds include, in accordance with the scope of solicitation region, national public funds and local public funds. 第四條 基金會(huì)必須遵守憲法、法律、法規(guī)、規(guī)章和國(guó)家政策，不得危害國(guó)家安全、統(tǒng) 一和民族團(tuán)結(jié)，不得違背社會(huì)公德。 Article 4 funds must abide by the constitution, laws, regulation, rules and national policies, shall not harm security and unification of the state and national solidarity and shall not go against public morality. 第五條 基金會(huì)依照章程從事公益活動(dòng)，應(yīng)當(dāng)遵 循公開、透明的原則。 Article 5 Funds shall engage in philanthropic activities in accordance with the articles of incorporation thereof in pliance with the principle of openness and transparency. 第六條 國(guó)務(wù)院民政部門和省、自治區(qū)、直轄市人民政府民政部門是基金會(huì)的登記管理機(jī)關(guān)。 Article 6 The civil affairs authority of the State Council and such authorities under the people39。39。s governments at the level of a province, an autonomous regions and a municipality directly under the Central Government are administrations which funds should register with. 國(guó)務(wù)院民政部門負(fù)責(zé)下列基金會(huì)、基金會(huì)代表機(jī)構(gòu)的登記管理工作： The civil affairs authorities under the State Council are responsible for the registration and administration of the following funds or representative institutions of funds: (一 )全國(guó)性公募基金會(huì)； (1) National public funds。 (二 )擬由非內(nèi)地居民擔(dān)任法定代表人的基金會(huì)； (2) Funds whose legal representative is proposed to be assumed by a nonChinesemainland resident。 (三 )原始基金超過 2020萬元，發(fā)起人向國(guó)務(wù)院民政部門提出設(shè)立申請(qǐng)的非公募基金會(huì)； (3) Nonpublic funds whose original fund exceeds 20 million RMB Yuan and the sponsor thereof files the incorporation application to the civil affairs authority under the State Council。 and (四 )境外基金會(huì)在中國(guó)內(nèi)地設(shè)立的代表機(jī)構(gòu)。 3 (4) Representative institutions established on mainland of China by overseas funds. 省、自治區(qū)、直轄市人民政府民政部門負(fù)責(zé)本行政區(qū)域內(nèi) 地方性公募基金會(huì)和不屬于前款規(guī)定情況的非公募基金會(huì)的登記管理工作。 The civil affairs authorities under the people39。s governments at the level of a province, an autonomous region and a municipality directly under the Central Government are responsible for the registration and administration of local public funds within its respective administrative region and nonpublic funds other than those provided in the previous paragraph. 第七條 國(guó)務(wù)院有關(guān)部門或者國(guó)務(wù)院授權(quán)的組織，是國(guó)務(wù)院民政部門登記的基金會(huì)、境外基金會(huì)代表機(jī)構(gòu)的業(yè)務(wù)主管單位。 Article 7 Relevant authorities of the State Council or anizations authorized by the State Council are petent agencies for the business of funds and representative anizations of the overseas funds registered with the civil affairs authority under the State Council. 省、自治區(qū)、直轄市人民政府有關(guān)部門或者省、自治區(qū)、直轄市人民政府授權(quán) 的組織，是省、自治區(qū)、直轄市人民政府民政部門登記的基金會(huì)的業(yè)務(wù)主管單位。 Relevant authorities under the people39。39。s governments at the level of a province, an autonomous regions and a municipality directly under the Central Government or anizations authorized thereby are petent agencies for the business of funds registered with the civil affairs authorities under the people39。39。s governments at the level of a province, an autonomous regions and a municipality directly under the Central Government. 第二章 設(shè)立、變更和注銷 Chapter 2 Incorporation, Alteration and Cancellation 第八條 設(shè)立基金會(huì) ，應(yīng)當(dāng)具備下列條件： Article 8 A fund shall meet the following conditions to be incorporated: (一 )為特定的公益目的而設(shè)立； (1) it is incorporated for specific public benefit purposes。 (二 )全國(guó)性公募基金會(huì)的原始基金不低于 800萬元人民幣，地方性公募基金會(huì)的原始基金不低于 400萬元人民幣，非公募基金會(huì)的原始基金不低于 200萬元人民幣；原始基金必須為到賬貨幣 資金； 4 (2) the original fund shall be not less than, in the case of a national public fund RMB 8 million Yuan, in the case of a local public fund RMB 4 million Yuan, in the case of a nonpublic fund RMB 2 million Yuan. The original fund shall be the moary fund on the account. (三 )有規(guī)范的名稱、章程、組織機(jī)構(gòu)以及與其開展活動(dòng)相適應(yīng)的專職工作人員； (3) it shall has a name, articles of incorporation, an anizational structure as well as fulltime working staff in pliance with the activities it conducts。 (四 )有固定的住所； (4) it has a fixed domicile。 (五 )能夠獨(dú)立承擔(dān)民事責(zé)任。 (5) it can assume civil liabilities independently. 第九條 申請(qǐng)?jiān)O(shè)立基金會(huì)，申請(qǐng)人應(yīng)當(dāng)向登記管理機(jī)關(guān)提交下列文件： Article 9 The applicant shall submit the following documents to the authorities responsible for registration and administration for the incorporation of a fund: (一 )申請(qǐng)書； (1) the application。 (二 )章程草案； (2) the draft articles of incorporation。 (三 )驗(yàn)資證明和住所證明； (3) the capital verification certificate and the domicile certificate。 (四 )理事名單、身份證明以及擬任理事長(zhǎng)、副理事長(zhǎng)、秘書長(zhǎng)簡(jiǎn)歷； (4) the list of t
