【正文】 沃爾瑪購物廣 租賃協(xié)議 Lease Agreement for WalMart Supercenter RE2020052 4 房 屋 租 賃 協(xié) 議 PREMISES LEASE AGREEMENT 業(yè) 廣場有限公司 ,一家根據(jù)中華人民共和國 (“ 中國 ” )法律組建并有效存續(xù)的有限責任公司,其法定地址在中國 陜西 省 西安 市 (“ 甲方 ” ),與 沃爾瑪 深國投百貨有限公司 ,一家根據(jù)中國法律 組建并有效存續(xù)的有限責任公司,其法定地址在中國 廣東省深圳市羅湖區(qū)洪湖路湖景花園 1 至 3 樓 (“ 乙方 ” )(甲方和乙方合稱時 為 “雙方 ”),于 二零零 七 年 ___月 ____日簽訂本房屋租賃協(xié)議 (“ 本協(xié)議 ” )。 沃爾瑪購物廣 租賃協(xié)議 Lease Agreement for WalMart Supercenter RE2020052 5 附件四 : 要求與 規(guī) 格; Exhibit IV: Requirements and Specifications。 租賃標的物的 租金將根據(jù)租用面積計算。 In the event of any inconsistency between the descriptions hereof and the specifications shown in Exhibit I and/or Exhibit II, the specifications as 沃爾瑪購物廣 租賃協(xié)議 Lease Agreement for WalMart Supercenter RE2020052 8 shown in Exhibit I and/or Exhibit II shall prevail for the Rent calculation formula and leased area. 本協(xié)議附件一、附件二 項 下的機電設備房、存貨區(qū)、 裝 卸貨區(qū) 及貨車停靠區(qū) 為乙方的計租專用區(qū)域,停 車 場和 沃爾瑪室外 公共區(qū)系乙方的免費專用區(qū)域。本協(xié)議租期應為初始租期加上乙方全部續(xù)約期之和(以下稱 “租期 ”)。如乙方未在租期或任何 續(xù)約 期屆滿前三 (3)個月就甲方第二次 續(xù)約 通知發(fā)出任何書面通知,本協(xié) 議在租期或當時的續(xù) 約 期期限屆滿時自動終止,但乙方享有第 條所規(guī)定的六十 (60)日清理時間。房屋內乙方購物廣場開業(yè)日,為第一個租約年的開始日 (“開 始日 ”)。如乙方未能在收到租 金 發(fā)票后 十( 10) 日內將已扣除的相當于稅務損失的金額退還甲方,應 按本協(xié)議第 的 約 定向甲方支付滯納金 。若甲方不能向乙方開具水費、電費、燃氣費普通發(fā)票,則乙 方有權在扣除因甲方不能向乙方提供水費、電費、燃氣費普通發(fā)票而受到的稅務損失(應付水費、電費、燃氣費乘以租賃標的物 所在地的 所得稅稅率)后將應付水費、電費、燃氣費的余額支付給甲方。 In the event that Party B fails to pay any Rent due and Service Fee payable, it shall pay the overdue fine thereof to Party A. The amount of the overdue fine shall be Tenth of One percent (%) of the total amount of Overdue Rent and Service Fee multiplied by the number of days overdue. 管 理 費 Management Fees 除本 協(xié)議 已有的 規(guī) 定外,乙方無義務就租 賃標 的物包括房屋、 設備 房、 存 貨區(qū) 、 裝 卸貨 區(qū) 、 沃爾瑪室外 公共區(qū) 、貨車停靠區(qū) 及停車區(qū) (如。 如超過 十 (10)日乙方仍未退還的,乙方應 按本協(xié)議第 的 約 定向甲方支付滯納金 。 The Parties confirm hereby that Party A?s obligation to provide Party B with a valid leasing invoice under this Article is an essential obligation of Party A under this Agreement. In the event that Party A fails to provide a valid leasing invoice satisfying the requirement set forth in Article before Party B issues the Rent due and payable for ing month, Party A agrees that Party B is entitled to deduct in advance the tax loss that Party B may suffer from Party A?s failure of providing the valid leasing invoice from the Rent due and payable for ing months and then pay the rest of the Rent due to Party A. The aforementioned tax loss (the “Tax Loss”) shall be calculated as follows: amount of Rent without Party A?s leasing invoice times local ine tax rate. In the event that Party A provides the outstanding leasing invoice to Party B before the end of the thencurrent calendar year, that is, December 31st, Party B shall pay to Party A, within Ten (10) days from receiving the outstanding leasing invoice from Party A, the amount equal to Tax Loss already deducted without any interest and Party B shall not be liable for paying any overdue fine for this. Party B shall be liable for overdue fine set forth in Article in the event that Party B fails to refund Party A the amount equal to Tax Loss already deducted within Ten (10) days following its receiving the leasing invoice. Such right may be exercised Five (5) times at most and the term for each renewal will not exceed Five (5) years (the “Extension Period”). Each Extension Period will begin on the date following the expiration of the Initial Term or the immediately preceding Extension Period. The “Term” under this Agreement will refer to the Initial Term and all the Extension Periods thereof (the “Term”). Upon expiration of the Initial Term, if Party B decides to renew this Agreement, the Rent of the Sixteenth (16th) Lease Year shall be increased by Four percent (4%) to Ten percent (10%) on the basis of the Rent for the Fifteenth (15th) Lease Year, consequently, from Seventeenth (17th) Lease Year through the end of the Term, the annual Rent for the Extension Periods will increase by Four percent (4%) every Two (2) years on the basis of the Rent for the Sixteenth (16th) Lease Year.
