【正文】 sent of the Buyer, the Seller shall not alter the purpose of the Vendor Tooling(s), and shall not, whether directly or indirectly, provide production or service to any third party, and shall not use the Vendor Tooling(s) other than for the sake of Buyer。 Upon the request of the Buyer, Seller shall check inventory record of the Vendor Tooling(s) during the term of this Agreement. In addition, the Vendor Tooling(s) shall not be moved from the Seller’s premise or other premise confirmed by both parties without prior written consent of Buyer。 and . 賣方應(yīng)當(dāng)根據(jù)買方的要求，在本協(xié)議期內(nèi)對 工裝模具 進(jìn)行盤點(diǎn)，盤點(diǎn)包括但不限于下列工作：（ 1）負(fù)責(zé)實(shí)際盤點(diǎn)工作；（ 2）由賣方有關(guān)負(fù)責(zé)人簽署確認(rèn)盤點(diǎn)報告、明細(xì)表，并在盤點(diǎn)完成后 2 個工作日內(nèi)提交買方；（ 3）接受買方對盤點(diǎn)工作實(shí)施現(xiàn)場檢查或抽查等。 and . 賣方使用 工裝模具 只限于生產(chǎn)買方指定的產(chǎn)品，并且僅 將上述產(chǎn)品供應(yīng)（或銷售）給買方。進(jìn)行定期保養(yǎng)或較大的維修之前，賣方應(yīng)當(dāng)書面通知買方，并經(jīng)買方的書面同意。如果屬于產(chǎn)品質(zhì)量問題，賣方應(yīng) 根據(jù)買方的指示 立即聯(lián)系 工裝模具 供應(yīng)商進(jìn)行修復(fù)，并為買方之利益追究 工裝模具 供應(yīng)商的責(zé)任；如果因賣方的過錯造成 工裝模具 故障的，賣方除應(yīng)當(dāng)自費(fèi)修復(fù)或更新 工裝模具 外，還應(yīng)當(dāng)承擔(dān)因無法正常生產(chǎn) 所導(dǎo)致的買方的一切損失。賣方未遵守本協(xié)議項下的規(guī)定，則應(yīng)當(dāng)賠償買方由此所遭受的一切損失。 If the Vendor Tooling(s) need to be shipped to the Buyer for scraping, the Seller shall be responsible for delivering the Vendor Tooling(s) to the premise designated by the Buyer at Seller’s own cost. 工裝模具報廢后，若本協(xié)議尚未終止，賣方在買方的書面指示和確認(rèn)下，應(yīng)當(dāng)及時購進(jìn)新的工裝模具，并由買方最終承擔(dān)采購費(fèi)用。其賠償損失的范圍包括但不限于：非違約方的直接損失、喪失商業(yè)機(jī)會的損失、喪失相關(guān)權(quán)利的損失、調(diào)查違約行為而支出的合理費(fèi)用 以及仲裁費(fèi)、訴訟費(fèi)、律師費(fèi)等。如賣方未能歸還工裝模具，每逾期一天，賣方應(yīng)當(dāng)向買方支付相等于當(dāng)時工裝模具凈值 的款項的三十分之一，并支付買方為追回工裝模具而發(fā)生的一切律師費(fèi)及所有 支出。 本協(xié)議未盡事宜依照雙方簽訂的《生產(chǎn)采購一般條款》（ 2020
