【正文】 shall pay 1/30 of the value of such Vender Tooling(s) per overdue day, and pay legal costs and all expenses paid by the Buyer to replevy such Vendor Tooling(s). 協(xié)議的終止不影響協(xié)議一方就履行協(xié)議而發(fā)生的損失、費(fèi)用向另一方索賠的權(quán)利。 In the event of any breach of this Agreement by the Seller, the Buyer is entitled to require the Seller to pay 20% of the value of such Vender Tooling(s) as liquidated damages. If such liquidated damages shall not pensate all loss the Buyer suffered, the Seller shall indemnify the Buyer against all losses resulting from its default including without limitation the direct losses, the losses of business opportunity of Buyer, the reasonable expenses and legal costs paid by Buyer to investigate the Seller’s breach. 本款不應(yīng)解釋為阻止協(xié)議雙方尋求其他可能的救濟(jì)方法。新的工裝模具同樣適用本協(xié)議的規(guī)定。 In the event of any broken, destroy, diminishment, or losses arising from the improper using or keeping of the Seller, the Seller shall indemnify the Buyer against the broken, destroy, diminishment, or losses aforesaid . If such malfunction is arising from the product quality, the Seller shall municate with the supplier of the Vendor Tooling(s) and require the supplier to repair the Vendor Tooling(s) in accordance with the direction of the Buyer. In addition, the Seller shall claims against the supplier of the Vendor Tooling(s) for the sake of the Buyer。 During the term of this Agreement, all maintenance and repair of the Vendor Tooling(s), include but not limited to: daily management, daily maintenance, replacement and repairing of wearoff parts, shall be born by the Seller at its own expense.
