【正文】 圍〕所羅列的間接損害或以外損害責任除外只屬所有且涉及沒完全按設(shè)計圖制造的附件、設(shè)備或零件的專利保護由本條第2款另行詳細規(guī)定。在此10年間買方訂購的備件得以收到定單時的現(xiàn)行銷售價或的工廠交貨價供貨哪種價格合理即適用那種。 provided that su anges shall not adversely affect the Total Purase Price, functional aracteristics, performance, and interangeability of spare parts.為修補瑕疵或改善設(shè)備可適當對技術(shù)規(guī)格作微小的更改或校正只要這種更改不會嚴重影響總買價、功能特性、性能、備件的更換性能。(b) Every ange Order shall be in writing and shall set forth in detail the effect of the alteration on the Specification, price, performance, design, acceptance dates and interangeability of spare parts whether delivered or to be delivered or any other matter substantive to this Agreement and shall be signed by the Puraser and Corporation.更改定單必須作成書面形式詳細說明更改對技術(shù)規(guī)格、價格、性能、設(shè)計、驗收日、已交付或即將交付備件的更換性能以及本協(xié)議的其他重大事項的影響而且應(yīng)由買方和簽字。8．TAXES AND DUTIES第8條稅收In addition to the Total Purase Price to whi reference is made in Article 3 thereof, the Puraser shall also pay to Corporation all export brokerage fees and all sales, consumption, turnover, use, excise or similar taxes or duties levied by any taxing authority in______ having jurisdiction under any present of future law, whether now or hereafter in force and effect, required to be paid by Corporation in connection with this Agreement.除第3條所提及的總買價外買方須向支付所有的出口經(jīng)紀人傭金以及銷售、消費、營業(yè)、使用、貨物等稅或類似的由______地任何稅務(wù)部門根據(jù)現(xiàn)行法律或今后制訂的法律不其是如今或今后生效的對征收的與本協(xié)議有關(guān)的稅收?！瞔〕Corporation shall advise the Puraser promptly of any anticipated or actual delay affecting Delivery or Site Acceptance together with any relevant detailed information and the anticipated extent of any su delay.須及時將估計或?qū)嶋H推延交貨或現(xiàn)場驗收的消息以及有關(guān)細節(jié)和估計的延誤的限買方。但應(yīng)盡一切努力減少可諒解延遲所造成的后果。7．EXCUSABLE DELAY第7條可諒解的延遲(a) Corporation shall not be in brea of any of its obligations under this Agreement when failure to perform, or delay in performing, any obligation is due wholly or in part to act of God, act of the public enemy, war, civil motion, insurrection, riot, embargo, fire, explosion, earthquake, lighting, flood or other major action of the elements, or other catastrophe, legislation, any act, order or regulation of any governmental or other duly constituted authority, delay or failure of carriers, delay by the Puraser or strike or other labor troubles, lack or shortage or delay in delivery of splies, materials, accessories or equipment, or any other cause beyond Corporation’s practical control. In the event of su failure or delay the time fixed for the performance by Corporation of any obligation whatsoever imposed in this Agreement shall, at Corporation’s option, be extended for a period not longer than the period during whi any su cause and the effects thereof persist. However, Corporation shall use all reasonable efforts to minimize the effects of any Excusable Delay hereunder.如部或全部因以下原因此致使任何義務(wù)沒有或延遲履行不承當任何違約責任：不可抗損失、反行為、戰(zhàn)爭、民變、叛亂、禁運、火災(zāi)、雷擊、洪水或其他重大、其他重大災(zāi)難、或其他合法當?shù)姆伞⒎ㄒ?guī)、或規(guī)定、運輸延誤或故障、因買方或罷工或其他勞動爭議造成的延誤、因物資、材料、附件或設(shè)備短缺或供貨延誤、或其他任何無法實際控制的原因。盡如此該設(shè)備及其可交付的附屬工程的損失風險跟隨所有權(quán)。本項前問所述的圖紙、數(shù)據(jù)和其他技術(shù)資料正在按本協(xié)議第9條〔更改〕更改定單后即成為認可資料。(j) If recalibration or reprogramming is needed to clear Deficiencies during Plant Acceptance testing or Site Acceptance testing, the latest available drawings, data, and other tenical information relevant to the System shall be used if no additional delay or cost is involved. If additional delay or cost is involved, su drawings, data and other tenical information shall only be used on the written request of the Puraser. The drawings, data and other tenical information referred to in the foregoing of this paragraph shall bee Approved Data by virtue of the execution of a ange Order executed pursuant to Article 9 hereof (anges).如在工廠驗收實驗或現(xiàn)場驗收實驗間為查明故障而需重新校正或重新編排程序在不致引起延誤或價格增加的情況下應(yīng)盡可能采用的圖紙、數(shù)據(jù)及與該系統(tǒng)有關(guān)的其他技術(shù)資料。(i) Su Site Acceptance shall take place within a period of ___ weeks after the Effective Date as su period may be extended pursuant to Article 7 hereof (Excusable Delay). In the event the Puraser shall use the Equipment for training, Site Acceptance shall be deemed to have occurred and the Site Acceptance Certificate shall be signed forthwith and shall be effective the date on whi the Puraser first used the Equipment for training.現(xiàn)場驗收應(yīng)在協(xié)議生效后______周內(nèi)進展該限可按本協(xié)議第7條〔可諒解的延遲〕規(guī)定延長。校正之后應(yīng)同意給予買方額外時間以重復尚未通過的檢測以及其他一些必要檢測以證明上述缺陷業(yè)已消除且不影響先前已成功的檢驗。(f) The Puraser shall have ____ consecutive days after being offered the Equipment for Site Acceptance within whi to eck and ensure that the Equipment will still acplish the tests pleted during Plant Acceptance.買方應(yīng)在收到貨物之日起連續(xù)XX個工作日對設(shè)備進展現(xiàn)場驗收在此間檢查并確保設(shè)備仍能完成工廠驗收時所做的各項試驗。(d) After the signing of the Plant Acceptance Certificate by the Puraser, Corporation shall diantle and pack the Equipment for surface shipment to Puraser’s Facility.買方在出廠設(shè)備驗收證上簽字后須將設(shè)備拆卸、包裝以便通過水陸運輸運往買方工廠。校正之后應(yīng)給買方額外時間進展尚未完成的以及其他的任何必要的檢測以證實上述缺陷已去除且不影響以前成功的檢測結(jié)果。共計______個工作日完成驗收手冊所規(guī)定的各項檢測。5．DELIVERY AND ACCEPTANCE第5條交貨與驗收〔a〕Corporation shall give the Puraser at least twentyeight (28) days preliminary notice in writing and at least seven (7) days firm notice in writing of the date on whi Corporation proposes to offer the Equipment to the Puraser for Plant Acceptance. The Puraser shall have five (5) days per week during a ______ consecutive week period, being, a total of ____working days, after said offer for Plant Acceptance within whi to acplish the tests laid down in the Acceptance Test Manual.至少提早二十八〔28〕天將提供設(shè)備讓買方作工廠驗收的日用書面形式初步買方且至少提早七〔7〕天書面買方設(shè)備驗收確實切日。買方同意對因停工和重新開工的額外費用作合理補償。(d) If by reason of delay on the part of the Puraser or Puraser’s agent or representative, any payments due to Corporation are not made in accordance with the agreed payment sedule, Corporation reserves the right to apply a late payment arge of one and onehalf () percent per month ( annum) on all overdue amounts and Puraser agrees to promptly pay any su late payment arges whi are properly due hereunder.
