【正文】 如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符(除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù))，買方應(yīng)該依據(jù)中華人民共和國(guó)出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等)均由賣方承擔(dān)。 13. GUARANTEE OF QUALITY: The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and plies in all respects with the quality and specification stipulated in this Contract. In addition, the Sellers shall, within three days after shipment, send by express airmail one extra sets of the aforesaid documents directly to the Buyers. 另外，賣方應(yīng)于貨物發(fā)運(yùn)后三天內(nèi)，用特快專遞寄送一套上述的單據(jù)給買方。如果由于不適當(dāng)?shù)陌b而導(dǎo)致的貨物損壞和由此產(chǎn)生的費(fèi)用，賣方應(yīng)對(duì)此負(fù)完全的責(zé)任。經(jīng)雙方簽字，各執(zhí)一份，僅此聲明。仲裁也可在雙方均能接受的第三國(guó)進(jìn)行。仲裁將在________進(jìn)行，仲裁裁決是終局，對(duì)雙方都有約束力。盡管合同已撤銷，但賣方仍應(yīng)如期支付上述罰金。 ?。? 除本合同15條所述不可抗力原因，賣方若不能按合同規(guī)定如期交貨，按照賣方確認(rèn)的罰金支付，買方可同意延期交貨，付款銀行相應(yīng)減少議定的支付金額，但罰款不得超過遲交貨物總額的5%。即使在此情況下，賣方仍有責(zé)任采取必要措施促使盡快交貨。 ?。? 在貨物制造和裝運(yùn)過程中，由于發(fā)生不可抗力事故致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。商檢驗(yàn)書乃索賠之依據(jù)。 ： 自貨到目的港起90天內(nèi)，經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符者，除那些應(yīng)由保險(xiǎn)公司或船方承擔(dān)的部分外，買方可憑________出具的商檢證書，有權(quán)要求更換或索賠。 ?。? 賣方保證：所供貨物，系由最好的材料兼以高超工藝制成，商標(biāo)為新的和未經(jīng)使用的，其質(zhì)量和規(guī)格符合本合同所作的說明。 貨物業(yè)經(jīng)全部裝船
