(GoverningLaw)：
本合同之準(zhǔn)據(jù)法為中華人民共和國法律，但排除沖突法規(guī)則。
Notwithstandinganyotherprovisioninthiscontract,thetotalliability(includingforliquidateddamages)oftheSellerforanyclaim,lossordamage,whetherincontract,tort(includinggrossnegligence),orotherwise,arisingoutof,connectedwith,orresultingfromthemanufacture,sale,license,delivery,repair,replacementoruseofanygoodsorsoftwareshallnotexceed100%,theBuyershalltakeanynecessarymeasurestomitigateitslossanddamages.
Notwithstandinganyotherprovisioninthiscontract,neitherpartyshallbeliabletotheotherpartyforanylossofprofitorrevenues,lossofopportunity,lossofgoodwillorreputation,and/oranyindirectorconsequentiallosseswhatsoever.
(SettlementofDisputes)：
凡因本合同引起的或與本合同有關(guān)的任何爭議，如果協(xié)商不能解決，應(yīng)提交華南國際經(jīng)濟貿(mào)易仲裁委員會，按照申請仲裁時該會實施的仲裁規(guī)則進行仲裁。如果發(fā)生賣方違約的情形，買方應(yīng)該采取任何必要的措施減損損害的擴大。
(c)Thewarrantydoesnotextendtoparts,accessories,accessory,materialorpieceofequipment,theBuyershallhavetherightofbenefitwithrespecttothecorrespondingwarrantyprovidedbythemanufacturertotheSeller。
(1)TheSellerwarrantsthattheGoodsshallconformtospecificationsupondelivery,andthatnomaterialortechnicaldefectsshallappearintheGoodsforaperiodof_____monthsaftermencementofuse,orforaperiodof______monthsaftertheearlierofcollectionordeliveryoftheGoods.
(2)ThewarrantyprovidedinParagraph(1)shallbesubjecttothetermsandconditionssetforthbelow:
