【正文】 種情況。如果不可抗力事件超過(guò)30天后，持續(xù)妨礙承包商履行本合同，公司可提前7天書(shū)面通知承包商終止本合同。 Clause Calculation and Finality of Rates 日費(fèi)的計(jì)算和最終決定The Rates quoted in Clause shall be calculated to the nearest halfhour (1/2) and COMPANY shall determine the effective date, hour and duration of each applicable rate. There shall be no rate increases during the Contract Period to drill four (4) firm wells and four (4) optional wells. During any such additional pany requested inspections, the Repair Rate shall be applicable.對(duì)于合同沒(méi)有要求的。公司要求的任何額外檢查適用于修理日費(fèi)。 Clause Site Preparations and Road construction 井場(chǎng)準(zhǔn)備和道路施工CONTRACTOR shall make the site preparation and construct the access roads as per COMPANY specifications upon a written request from the COMPANY. CONTRACTORS have the rights to use their subcontractors under the CONTRACTORS responsibility. Site preparations charge will be submitted to the COMPANY in due time.一經(jīng)公司書(shū)面要求，承包商應(yīng)根據(jù)“公司的標(biāo)準(zhǔn)修建井場(chǎng)及進(jìn)入井場(chǎng)的道路。承包商有權(quán)根據(jù)其職責(zé)雇用分包商。承包商應(yīng)及時(shí)提交給公司修建井場(chǎng)和進(jìn)入道路的費(fèi)用發(fā)票。 ARTICLE VI TAXES 第六條款 稅務(wù)Clause CONTRACTOR’S Obligations to Pay Taxes Assessed.承包商的納稅義務(wù)CONTRACTOR shall pay all taxes assessed against CONTRACTOR in connection with the Work performed or equipment furnished by CONTRACTOR hereunder (except as otherwise herein provided) and agrees to indemnify COMPANY and hold COMPANY safe and harmless against any and all claims or liability for ine, excess profits, and other taxes, and fines, penalties and interest thereon assessed or levied by the Egyptian Government or any political subdivisions thereof or by the government of any other country or political subdivisions thereof against CONTRACTOR or CONTRACTOR’S subcontractors or against COMPANY for, or on account of, any payment made to, or earned by, CONTRACTOR or CONTRACTOR’S subcontractors in respect of the Work/services performed hereunder.承包商應(yīng)繳納與施工或施工設(shè)備有關(guān)的，理應(yīng)繳納的所有稅款（除非本合同另有說(shuō)明），同意保證公司不受損害，并保障公司免于任何索賠，免于因收入和超額利潤(rùn)引起的責(zé)任，免于因公司，關(guān)于合同的施工和服務(wù)，而付款；承包商、承包商的分包商收款，由埃及政府或任何政府部門、其他國(guó)家政府或任何政府部門對(duì)承包商、承包商的分包商或公司而征收的所得稅、超額利潤(rùn)稅、以及其他各種稅款、罰款、罰金和由此產(chǎn)生的利息。 CONTRACTOR further agrees to protect and keep COMPANY safe and harmless from all taxes and related fines, penalties, and interest thereon assessed or levied against or on account of wages, salaries or other benefits paid to any of CONTRACTOR’S employees or employees of its subcontractors, and all taxes assessed or levied against or on account of any property or equipment of CONTRACTOR or of its subcontractors.承包商還同意保護(hù)公司免于，由于 承包商支付其雇員或其分包商雇員的工資、薪水或其他津貼，和由于承包商或其分包商的財(cái)產(chǎn)或設(shè)備而征收的各種稅、有關(guān)的罰款、罰金以及由此產(chǎn)生的利息。 Clause COMPANY’S Right to Withhold 公司代扣稅的權(quán)利COMPANY may, without liability to CONTRACTOR, withhold ine, corporation excess profits, and other taxes from payments made by COMPANY pursuant to this Contract, to the CONTRACTOR, or the CONTRACTOR’S subcontractors or any person, firm, pany or any bination thereof nominated by COMPANY, CONTRACTOR or CONTRACTOR’S subcontractors, to the extent that such withholding may be required under Egyptian laws or regulations or any political subdivision thereof or by the laws or regulations of any other country, or any political subdivision thereof. CONTRACTOR has registered with Egyptian tax authorities, secured the required taxcard and shall, prior to submission of any invoice or other request for payment, provide COMPANY a copy of such taxcard to enable COMPANY to perform required tax withholding and reporting to Egyptian tax authorities.公司，對(duì)承包商無(wú)義務(wù)，可從其根據(jù)本合同對(duì)承包商、承包商的分包商、或由公司、承包商、承包商的分包商指定的任何個(gè)人、商號(hào)、公司或者他們的聯(lián)合體的付款中代扣所得稅、公司超額利潤(rùn)稅和其他稅。代扣稅稅額由埃及法律、規(guī)章和任何政府部門，或任何其他國(guó)家法律、規(guī)章和任何政府部門決定。承包商在埃及稅務(wù)部門已登記注冊(cè)并獲得了稅卡。提交發(fā)票或要求付款之前，承包商提交給公司一份稅卡復(fù)印件，以便公司履行代扣稅的義務(wù)，并向埃及稅務(wù)部門申報(bào)。 進(jìn)口關(guān)稅和其他稅Materials, equipment, supplies, tools 。and spare parts to be used or incorporated in the Work performed hereunder and which must be imported into the Arab Republic of Egypt by CONTRACTOR, will be eligible for exemption from import and export duties imposed by the Arab Republic of Egypt in accordance with the provisions of the Concession Agreement.為履行本合同，承包商必需進(jìn)口到阿拉伯埃及共和國(guó)內(nèi)，用于施工中的材料、設(shè)備、供應(yīng)物品、工具以及用于工程的零部件，根據(jù)油區(qū)開(kāi)發(fā)協(xié)議，承包商免交進(jìn)出口關(guān)稅。 In order that such imports shall be and remain so eligible, CONTRACTOR agrees that it will not take any action to import any materials, equipment, supplies, tools or spare parts into the Arab Republic of Egypt without first notifying COMPANY and obtaining necessary approval of such import.為使上述進(jìn)口貨物一直能夠享受免稅，承包商向阿拉伯埃及共和國(guó)進(jìn)口任何材料、設(shè)備、供應(yīng)物品、工具及備用件之前，首先通知公司并獲得公司的準(zhǔn)許。 All customs clearing expenses in connection with the forgoing will be for CONTRACTOR’S account.
