【導(dǎo)讀】買方在合同簽訂后3個工作日內(nèi)支付賣方20%預(yù)付款，共計$49,，逾期不付合同自動作廢。余款共計$197,復(fù)印件后7個工作日內(nèi)由買方一次性付清。組件一律按照220Wp/片進行結(jié)算，根據(jù)賣方的組件功率范圍為±3%，在此公差范圍內(nèi)即符合。商業(yè)發(fā)票正本一式3份；裝箱單一式3份；都須加貼內(nèi)裝組件的產(chǎn)品序號（條碼）。外包裝上不體現(xiàn)賣方的信息。裝運時間[Timeofshipment]:賣方收到預(yù)付款后于2020年8月20日前全部裝運完。性能參數(shù)[Specification]：太陽能電池板的性能參數(shù)將標示在組件標簽,即組件銘牌上。況下，從組件銷售給買方當日算起60個月之內(nèi)，不會出現(xiàn)質(zhì)量問題。如果產(chǎn)品不符合此承諾，海潤會根據(jù)情況，按照當時的售價，或修理，或換貨，或返還貨款。
【正文】 in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents, which might occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions. 10. 仲裁 [Arbitration] 一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí) , 應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達成協(xié)議 , 則應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會裁決。 仲裁將 按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則 , 由申訴一方選擇該會上海分會在上海進行仲裁。仲裁委員會的裁決為終局裁決 , 對雙方均有約束力。仲裁費用除仲裁委另有決定外 , 應(yīng)由敗訴 一方負擔。 All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted by its Shanghai SubCommission in Shanghai at the Claimant’s option in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration.
