【導(dǎo)讀】和國(guó)境內(nèi)銷售的相關(guān)品牌產(chǎn)品。丙方和丁方可即使依據(jù)乙方的指示向乙方提供七彩魚產(chǎn)品；托，按照本合同之約定在中華人民共和國(guó)境內(nèi)銷售七彩魚產(chǎn)品；上述各方經(jīng)協(xié)商一致、就上術(shù)事宜，達(dá)成簽訂本合同，以茲各方共同信守執(zhí)行。
【正文】 er delays in delivering ordered goods or Party B fails to make payment for goods hereunder as scheduled, such Supplier or Party B shall pay to the other a penalty for breach at the rate of % of the total value of goods in relation to late delivery or payments in arrears, for each delayed day, as well as an appropriate pensation for any loss incurred by the other as a result case such delay continues for a period of ___days, the other party is free to cancel related orders and claim against the breaching party for a penalty for breach in the sum of _______(RMB). 發(fā)貨方由于交貨數(shù)量不足，應(yīng)償付乙方此批貨款總值 10％的違約金，造成乙方 損失的，還應(yīng)賠償乙方的損失。乙方如不按交貨期限收貨或拒收 不 合格產(chǎn)品，亦應(yīng)按償付發(fā)貨方此批貨款總值 10％的違約金。任何一方提出增減合同數(shù)量，變動(dòng)交貨時(shí)間的，應(yīng)提前 ____30_______天以書面形式通知對(duì)方，并征得同意。否則應(yīng)承擔(dān)違約責(zé)任。 Supplier shall pay to Party B a penalty for breach at the rate of 10% of the total value of goods involved, for any insufficiency in or shortfall of delivered goods, as well as appropriate pensation for any loss that may be caused thereby. In addition, Party B shall also pay to the Supplier a penalty at the rate of 10% of the total value of goods that Party B fails to receive delivered goods or reject any unqualified products within a specified time limit. In case either party intends to make increase or decrease in contract quantity, or to make proper change to delivery time, such party shall give the other party a written notice of ____ days for approval or consent, in case not, such party which is obliged to do so shall be held liable for appropriate liabilities for breach. 發(fā)貨方所發(fā)產(chǎn)品有規(guī)格不符或質(zhì)量問(wèn)題等情況，乙方有權(quán)拒付貨款，但須先行辦理收貨手續(xù)，并代為保管和立即通知發(fā)貨方。因此所發(fā)生的一切費(fèi)用及損失，由發(fā)貨方承擔(dān)。 Party B is entitled not to pay for any delivered goods that may be determined not in conformity with stated specifications or that may not be in line with related quality standards, etc, provided, however such delivered goods shall be received by , and in custody of Party B, as well as Party B shall give a prompt notice to the Supplier in that regard, with any and all expenses and losses that may arise therefrom, to be borne by the Supplier. 乙方、丙方和丁方違反本合同第八條約定的，甲方可直接解除本合同，甲方或受損害方并可要求違約方支付人民幣 元的違約金。如該違約金不足以彌補(bǔ)甲方或受損害 方因此遭受的損失的，則違約方還應(yīng)就不足部分向甲方或受損害方承擔(dān)賠償責(zé)任。 Party A may terminate this Contract promptly where Party B, Party C and/or Party D are or is in breach of Article 8 as contained herein, in addition, Party A or related damaged party may claim against the breaching party for a penalty for breach in the sum of _____RMB. In case such penalty is insufficient to cover the loss incurred or sustained by Party A or related damaged party as a result thereof, then the breaching party or parties is or are obliged to pay to the indemnified party the difference. 除上述情形外，本合同任何一方違反本合同其他約定的（包括明示約定和附隨義務(wù)），應(yīng)在收到相對(duì)方書面糾正通知起 日內(nèi)糾正，逾期仍不糾正的，相對(duì)方可要求違約方支付人民幣 元的違約金。如該違約金不足以彌補(bǔ)相對(duì)方因此遭受的損失的，則違約方還應(yīng)就不足部分向相對(duì)方承擔(dān)賠償責(zé)任。 Except for circumstances set forth hereinabove, any party hereto which falls in breach of other provisions contained herein, whether the terms expressly stipulated or obligations incidental thereto, shall make proper rectification within ___days upon receipt of written notice from the other party requesting for such rectifications, in case not, the other party may claim against the breaching party for a liquidated damages in the amount of _____RMB. In case such penalty is insufficient to cover the loss incurred or sustained by such other party as a result thereof, then the breaching party or parties shall pay the difference to the same.
