【正文】 he other party by sending a written notice in advance. 甲方因自身原因要求變更或解除本協(xié)議約定的市場調(diào)研的，乙方應(yīng)允，但甲方應(yīng)于合理的時間內(nèi)提前通知乙方。按照截止協(xié)議變更或解除之日乙方所已經(jīng)完成的工作比例，甲方應(yīng)當按比例向乙方支付協(xié)議終止前完成工作的相應(yīng)費用。如果甲方預(yù)付的款項超出應(yīng)付金額，乙方應(yīng)當將多支付的部分退還給甲方。Parties hereby confirm that the Market Research hereunder shall be modified or terminated, in the event of a request arising from Party A due to its selfish reason. However, such request should be sent to Party B in advance in a reasonable time. Party A shall pay all the relevant fees of the project which has been done until the termination of the Contract according to the pleted percentage of whole project. In case the prepaid amount excceds the payable amount, Party B shall return the extra part.九、爭議的解決 Dispute Resolution 本協(xié)議適用中華人民共和國法律。所有涉及本協(xié)議的爭議，應(yīng)首先通過友好協(xié)商加以解決。如協(xié)商不成，應(yīng)將該爭議提交至北京國際經(jīng)濟貿(mào)易仲裁委員會（CIETAC）。該會依據(jù)其現(xiàn)行有效的仲裁規(guī)則進行仲裁。該仲裁裁決是終局的，對雙方具有約束力，并可在任何有管轄權(quán)的法院或其他有權(quán)機構(gòu)強制執(zhí)行。This Contract shall be governed by the laws of People’s Republic of China. All the disputes arising out of or relating to this Contract shall be resolved through negotiation first. The dispute shall be referred to and finally determined by China International Economic and Trade Arbitration Commission (CIETAC) once negotiation fails, in accordance with currently valid arbitration rules. Such arbitration award shall be final and legally binding upon both parties, and can be enforced by any petent court or authority. 十. 其他 Miscellaneous，雙方可經(jīng)友好協(xié)商達成補充協(xié)議，補充協(xié)議與本協(xié)議不一致之處，以簽定時間在后者為準。任何于本協(xié)議簽訂前經(jīng)雙方協(xié)商而未記載于本協(xié)議之事項，對雙方皆無約束力。What is left unmentioned in the Contract, a supplementary shall be constituted by amicable negotiation. In the event of any conflict between the supplementary and this Contract, the one signed latter prevails.
