(14) For this contract signed on CIF basis, the premium should be 110%of invoice value. All risks insured should be included within thiscontract. If the Buyer asks to increase the insurance premium or scope ofrisks, he should get the permission of the Seller before time of loading,and all the charges thus incurred should be borne by the Buyer. (15) Quality/Quantity Discrepancy。 In case of quality discrepancy,claim should be filed by the Buyer within 30 days after the arrival of thegoods at port of destination。 while for quantity discrepancy, claim shouldbe filed by the Buyer within 15 days after the arrival of the goods atport of destination. It is understood that the Seller shall not be liablefor any discrepancy of the goods shipped due to causes for which theInsurance Company, Shipping Company, other transportation organizationsand/or Post Office are liable. (16) The Seller shall not be held liable for failure or delay indelivery of the entire lot or a portion of the goods under this SalesContract in consequence of any Force Majeure incidents. (17) Arbitration: All disputes in connection with this contract or the execution thereofshall be settled friendly through negotiations. In case no settlement canbe reached, the case may then be submitted for arbitration to ChinaInternational Economic And Trade Arbitration Commission in accordance withthe provisional Rules of Procedures promulgated by the said ArbitrationCommission. (19) Other Conditions: Seller: Buyer: 國(guó)際計(jì)算機(jī)軟件許可合同格式 全文 本合同是由以下雙方于＿＿＿＿＿年＿＿＿＿＿月＿＿＿＿＿日簽訂的：中國(guó)＿＿＿＿＿是根據(jù)中華人民共和國(guó)法律正式成立并注冊(cè)的企業(yè)法人（簡(jiǎn)稱“買(mǎi)方”）；＿＿＿＿＿國(guó)＿＿＿＿＿公司（簡(jiǎn)稱“賣(mài)方”）。 鑒于賣(mài)方多年來(lái)從事＿＿＿＿＿系統(tǒng)的設(shè)計(jì)、生產(chǎn)、銷(xiāo)售業(yè)務(wù)并為該系統(tǒng)提供服務(wù)，并在進(jìn)一步開(kāi)發(fā)； 鑒于買(mǎi)方愿意建立一個(gè)＿＿＿＿＿系統(tǒng)； 鑒于引進(jìn)＿＿＿＿＿系統(tǒng)將會(huì)提高科學(xué)技術(shù)水平，改進(jìn)＿＿＿＿＿的質(zhì)量和類(lèi)型，在先進(jìn)技術(shù)產(chǎn)品的使用及服務(wù)方面提供培訓(xùn)機(jī)會(huì)，并且通過(guò)創(chuàng)造一種平等、積極的工作環(huán)境促進(jìn)工人的權(quán)利和尊嚴(yán)，從而對(duì)中國(guó)人民做出貢獻(xiàn)； 鑒于按照平等互利的原則，經(jīng)友好協(xié)商，買(mǎi)方已決定它愿成為＿＿＿＿＿系統(tǒng)的使用人，而賣(mài)方愿意提供該等系統(tǒng)供買(mǎi)方使用。 因此，考慮到本合同中所含的相互條款和協(xié)議，現(xiàn)雙方特協(xié)議如下： １． １．雙方間的協(xié)議（簡(jiǎn)稱“合同”）由本合同所規(guī)定的條款和條件以及以下所提及的附件構(gòu)成： 附件一 系統(tǒng)組件 附件二 交貨和安裝時(shí)間表 附件三 價(jià)格和支付條件 附件四 產(chǎn)品說(shuō)明和規(guī)格 附件五 賣(mài)方軟件許可合同 附件六 軟件分許可合同 附件七 租賃合同 ２．定義 下列詞語(yǔ)在本合同中應(yīng)有如下含義： （ａ）商用＿＿＿＿＿系統(tǒng)：（略） （ｂ）用戶＿＿＿＿＿系統(tǒng)：（略） （ｃ）控制用計(jì)算機(jī)：指由買(mǎi)方用于＿＿＿＿＿系統(tǒng)及其所控制的一切＿＿＿＿＿系統(tǒng)組成部分。 （ｄ）＿＿＿＿＿（注冊(cè)商標(biāo)）：指賣(mài)方的一個(gè)注冊(cè)商標(biāo)，賣(mài)方用其表示生產(chǎn)和銷(xiāo)售的＿＿＿＿＿系統(tǒng)的一個(gè)較早版本。 （ｅ）＿＿＿＿＿（注冊(cè)商標(biāo)）Ⅱ：指＿＿＿＿＿系統(tǒng)的一個(gè)較晚版本，賣(mài)方用該詞指作為本合同標(biāo)的的系統(tǒng)。 （ｆ）系統(tǒng)：指賣(mài)方的＿＿＿＿＿系統(tǒng)。（略） （ｇ）標(biāo)準(zhǔn)轉(zhuǎn)換器：（略） ３．系統(tǒng)的提供 （ａ）賣(mài)方根據(jù)作為本合同一部分的產(chǎn)品說(shuō)明和規(guī)格及交貨和安裝時(shí)間表提供系統(tǒng)，買(mǎi)方根據(jù)作為本合同一部分的價(jià)格和支付條件就系統(tǒng)付款。 （ｂ）在買(mǎi)方訂購(gòu)的＿＿＿＿＿系統(tǒng)可以提供使用之前，賣(mài)方應(yīng)根據(jù)本合同附件七租賃合同所規(guī)定的條款將此系統(tǒng)租賃給買(mǎi)方。買(mǎi)方承認(rèn)并同意，賣(mài)方可以自行決定，通過(guò)改進(jìn)租賃給買(mǎi)方的＿＿＿＿＿系統(tǒng)、提供一個(gè)不同的系統(tǒng)或者將前述兩個(gè)系統(tǒng)結(jié)合起來(lái)，提供買(mǎi)方所訂購(gòu)的＿＿＿＿＿系統(tǒng)。 ４．交貨和安裝 （ａ）系統(tǒng)按附件二規(guī)定的交貨時(shí)間表交付。運(yùn)費(fèi)將加在賣(mài)方發(fā)票上，由買(mǎi)方支付。買(mǎi)方有權(quán)指定承運(yùn)人，并以書(shū)面形式將其所選擇的承運(yùn)人通知賣(mài)方。如果買(mǎi)方未將其所選擇的承運(yùn)人通知賣(mài)方，賣(mài)方將挑選承運(yùn)人。但是，賣(mài)方不應(yīng)因此承擔(dān)有關(guān)運(yùn)輸?shù)娜魏呜?zé)任，并且也不應(yīng)將承運(yùn)人視為賣(mài)方的代理人。除非買(mǎi)方要求，賣(mài)方?jīng)]有義務(wù)為買(mǎi)方取得保險(xiǎn)。 （ｂ）賣(mài)方或其指定的服務(wù)供應(yīng)商應(yīng)在買(mǎi)方指定的中華人民共和國(guó)境內(nèi)設(shè)施上安裝＿＿＿＿＿系統(tǒng)。安裝費(fèi)應(yīng)加在賣(mài)方發(fā)票上，由買(mǎi)方支付。買(mǎi)方應(yīng)根據(jù)本合同的安裝時(shí)間表，按照預(yù)先交給買(mǎi)方的場(chǎng)地準(zhǔn)備指南所規(guī)定的規(guī)格，負(fù)責(zé)按時(shí)完成任何必要的現(xiàn)場(chǎng)準(zhǔn)備及買(mǎi)方設(shè)施的修改。必要時(shí)，買(mǎi)方應(yīng)按照?qǐng)龅販?zhǔn)備指南提供其他測(cè)試設(shè)備及物資（包括但不限于占地面積、電源插座、中繼電纜、衛(wèi)星設(shè)施等）。買(mǎi)方應(yīng)負(fù)責(zé)一切該等設(shè)施、準(zhǔn)備、設(shè)備、物資以及為此所需的許可和批準(zhǔn)，并支付其費(fèi)用。 ５．遵守賣(mài)方所在國(guó)出口管制法律 （ａ）賣(mài)方同意為買(mǎi)方從賣(mài)方購(gòu)買(mǎi)的產(chǎn)品和技術(shù)，申請(qǐng)＿＿＿＿＿向中國(guó)出口產(chǎn)品和技術(shù)所必需的一切＿＿＿＿＿政府出口許可、同意和批準(zhǔn)。如果賣(mài)方雖盡其最大努力仍不能取得該等產(chǎn)品和技術(shù)從＿＿＿＿＿合法出口中國(guó)所需的任何及一切許可、同意和批準(zhǔn)，則本合同立即終止，賣(mài)方免除履行，并且買(mǎi)方使賣(mài)方不受損害。 （ｂ）買(mǎi)方特承諾遵守＿＿＿＿＿出口法律及法規(guī)，并且同意，在未取得必要的＿＿＿＿＿政府批準(zhǔn)許可的情況下，買(mǎi)方不會(huì)故意： （ｉ）直接或間接地向在出口時(shí)＿＿＿＿＿政府或其任何機(jī)構(gòu)要求出口許可或其他政府批準(zhǔn)的任何國(guó)家出口從賣(mài)方獲得的、源于＿＿＿＿＿的技術(shù)資料、軟件或該技術(shù)資料的任何直接產(chǎn)品； （ｉｉ）向＿＿＿＿＿政府或其任何機(jī)構(gòu)要求
