【正文】 inrespectoflossordamagearisingundersectionshallbelimitedtothetotalamountpayablebytheBuyerunderthiscontract.就第條中所約定的損失或損害，賣方的全部責任應(yīng)限定于買方根據(jù)本合同所應(yīng)支付的全部價款。InnoeventshalltheSellerbeliableforanyindirect,specialorconsequentiallossesincludingbutnotlimitedtolossofuse,business,production,goodwill,revenue,profitsoropportunity在任何情形下，賣方均不承擔任何特別、間接、附帶或從屬損失，包括但不限于基于對喪失用途、業(yè)務(wù)、生產(chǎn)、商譽、利潤損失或商機的主張所提出的損失。Page5of6TheBuyershallindemnifytheSeller,itsofficers,employees,subsidiaries,parentsandaffiliatesagainstliabilitiesfordeathorpersonalinjurytoanypersonorforlossofanypropertycausedbytheBuyer’snegligence.買方應(yīng)確保，賣方及其經(jīng)理人員、雇員、分支機構(gòu)、母公司及聯(lián)屬機構(gòu)不因買方過失而承擔任何人身損害或財產(chǎn)損失；就該等人身損害及財產(chǎn)損失，應(yīng)由買方予以承擔。ARBITRATION仲裁：凡因本合同引起的或與本合同有關(guān)的任何爭議，均應(yīng)通過友好協(xié)商解決。如協(xié)商不成應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，依照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)定，在北京進行仲裁。仲裁裁決是終局的，對雙方均有約束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordancewiththeCommission39。sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Thearbitrationfeeshallbebornebythelosingparty.標準法GoverningLaw本合同受中華人民共和國法律管轄并依其進行解釋。ThisContractshallbegovernedbyandconstruedinaccordancewiththeLawsofthePeople39。sRepublicofChina.BANKINGCHARGES中國境內(nèi)發(fā)生的銀行費用由買方負責，境外發(fā)生的銀行費用由賣方負責。AllthebankingchargesincurredinChinashallbebornebytheBuyerswhileallthebankingchargesincurredoutsideChinashallbebornebytheSellers.BUSINESSCONFIDENTIALITYAGREEMENT買賣雙方應(yīng)嚴格保守商務(wù)秘密，不得向與本合同無關(guān)的個人及單位泄漏，包括合同的任何內(nèi)容。Thebuyerandsellershallkeepthecontractinformationinformationregardingthiscontractisallowedtobedisclosedtoanyunrelatedpersonandunits,SUPPLEMENTARYCONDITIONS：本合同的附件是合同的一部分，具有同等效力。AllattachmentstothecontractareintegralpartsoftheContractandhavethesamevalidity.本合同一式三份，買方二份,賣方一份，具有同等效力。Inwitnessthereof,Thiscontractismadeinthreecopies,twofortheBuyerandonefortheSellerwiththesamebinding.本合同為中英文兩種文字，具有同等效力，如發(fā)生爭議，以中文為準。ThecontractismadeinChinaandEnglish,bothofthetwolanguageshavethesameeffect.Incasedisputesarising,Chineselanguagewilltakepriority。合同在雙方方簽署后生效。TheContractshalltakeeffectafterthesignatureoftheContractbytheBuyerandtheSeller.買方: 賣方:ForandonBehalfofTheBuyer ForandonBehalfofTheSeller Page6of
