【正文】 factory building and dormitory building shall return to Party A and the machinery and equipment delivered by Party b shall be returned to Party B. Customs clearance procedures shall be gone through according to relevant regulations. 　　雙方同意，在本合同經(jīng)批準簽訂后_____天內(nèi)，乙方向甲方預付_____元，作為履約保證金，從甲方收到履約金之日起_____個月內(nèi)，乙方仍不投產(chǎn)開業(yè)，履約保證金即無條件歸甲方所有，同時，甲方有權(quán)廢約。如乙方能按時投產(chǎn)開業(yè)，該履約保證金可作工繳費抵付給甲方。 　　 Both parties agree that, within _____ days after the contract is signed and approved, Party B shall pay Party A the amount of _____ as its guarantee to carry out the contract. Arbitration 　　凡因本合同引起的或與本合同有關(guān)（包括任一生產(chǎn)加工合同）的任何爭議，應通過友好協(xié)商解決，協(xié)商不能解決，均應提交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請仲裁時該會施行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的,對雙方均有約束力。 　　 Any dispute arising from or in connection with this Contract (and including all the separate processing contracts) shall be settled through amicable negotiation. Should no settlement be reached through negotiation, the case shall then be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) ,Shenzhen Commission for arbitration that shall be conducted in Shenzhen in accordance with the CIETAC39。s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon parties. 　　十一、語言 　　 11. Language 　　 本合同以英文和中文書就，兩種文本具有同等效力。但在對其解釋產(chǎn)生異議時，以中文文本為準。 　　 The present contract is drawn in Chinese and English as well, both texts being equally authentic. In case of any divergence of interpretation, the Chinese text shall prevail. 　　十二、合同的份數(shù)和修訂 　　 12.
