【導(dǎo)讀】州亞特蘭大市的“中國(guó)企業(yè)（美國(guó)）營(yíng)銷中心”項(xiàng)目。國(guó)企業(yè)提供商品貿(mào)易服務(wù)的經(jīng)貿(mào)平臺(tái)。甲方為乙方辦理在美國(guó)公司注冊(cè)以及入駐人員的。銷中心，獨(dú)立開展經(jīng)營(yíng)活動(dòng)。國(guó)公司均享有本合同中約定的乙方相關(guān)權(quán)利，履行乙方相關(guān)義務(wù)。并承擔(dān)因不按時(shí)和提供不真實(shí)材料而產(chǎn)生的公司不能在美國(guó)注冊(cè)的后果及其經(jīng)濟(jì)損失。

　　

【正文】 d shall be liable for their respective losses. 如果營(yíng)銷中心項(xiàng)目國(guó)際背景的基本條件變更，或該項(xiàng)目因不可抗力事件、突發(fā)事件、政府決定、 政策、法規(guī)發(fā)生變化、 或者其它不能預(yù)見、無法控制等原因而導(dǎo)致本合同終止、中斷時(shí)，雙 方 均不承擔(dān)違約責(zé)任，各自 承擔(dān)所受損失。 Article 51 第五十 一 條 If Party B39。s America Company fails to fulfill Party B39。s responsibilities and obligations as stated in this contract or is in breach of the contract, it is deemed as Party B39。s breach. Party A is entitled to make Party B and/or Party B39。s America Company bear breach liabilities accordingly. 如果乙 方美國(guó)公司違反本合同中約定的乙方義務(wù)，即視為乙方違約。 甲方 有權(quán) 要求乙方或 /及乙方美國(guó)公司承擔(dān)相應(yīng)違約責(zé)任。 21 Chapter 12 Others 第十二章 其它 Article 52 第五十二 條 Without the prior written permission of Party A, Party B may not transfer or mortgage any rights or obligations arising under this contract, partly or wholly, to any third party. 未經(jīng)甲方事先書面許可，乙方不得將本合同權(quán)利和義務(wù)的部分或全部轉(zhuǎn)讓或抵押 轉(zhuǎn)讓予第三人。 Article 53 第五十三 條 All disputes arising from the performance of this contract shall be settled through friendly negotiation between the parties. If no settlement can be reached through friendly negotiation, any party may submit the dispute to the court of Beijing with jurisdiction. 合同在履行中發(fā)生爭(zhēng)議，由 雙方 友好協(xié)商解決。協(xié)商不成時(shí)，任何一方可向北京市有管轄權(quán)的法院提起訴訟。 Article 54 第五十四 條 The attachment (s) shall be considered integral part (s) of this contract. Should any of the contents of the Contract be amended and / or supplemented by mutual agreement, addendum in written notice to the Contract shall be signed by both parties and shall form an integral part of the Contract. The parties hereto expect to sign additional supplementary contract(s) on future issues relating to this contract. Business License, its notarized copy in Chinese and English, one for each (Original)。 營(yíng)業(yè)執(zhí)照，營(yíng)業(yè)執(zhí)照中英文公證件各 1 份 (原件 )； 3. Company regulations, its notarized copy in Chinese and English, one for each (original)。 公司章程，章程中英文公證件各 1 份（原件）； 23 4. English Name of the pany registered in the United States, at least three names (original)。 在美注冊(cè)公司的英文名稱，需提供至少 3 個(gè)名稱； 5. Chairman of the Chinese Company amp。 member list of the board of directors, at least two people. 中國(guó)公司 董事長(zhǎng)及董事人員名單，至少 2 人。 24 Appendix 2 附件 二 Materials for B1 Business Visit Visa 辦理商務(wù)簽證（ B－ 1） 的 材料 1. Invitation Letter from America to Party B and Member Qualification Certificate (Original)。 1）、美國(guó)方面 為乙方 出具邀請(qǐng)函及會(huì)員資格證 (原件 )； 2). Business License of Party B’s America Company (Original). 2）、 乙方 在美注冊(cè)公司的營(yíng)業(yè)執(zhí)照 (原件 )； 2. Materials Provided by Party B 乙方 提供的 材料： 1). Business License of Chinese Company (copy with seal)。 1）、 中國(guó)公司的 營(yíng)業(yè)執(zhí)照（復(fù)印件加蓋公章 )； 2). Employment Certificate of the assigned staff (Original copy in Chinese or English)。 2）、辦簽人員在職證明（中英文原件均可 )； 3). Passport of the assigned staff ( the valid term shall be over 6 months)。 3）、辦簽人員護(hù)照（有效限期 6 個(gè)月以上）； 4). Visa application forms of DS156 and DS157 4）、 DS15 DS157 簽證申請(qǐng)表； 5). Hukou book, marriage certificate, driving license。 1）、戶口本、結(jié)婚證、汽車行駛證； 2). Real estate certificate and other personal property certificates。 2）、房產(chǎn)證等個(gè)人財(cái)產(chǎn)證明； 3). Personal bank statement in the recent half year. 3）、半年內(nèi)的個(gè)人銀行對(duì)賬單。 Appendix 3 附件三 Materials for L1 Working Visa 辦理工作簽證（ L－ 1） 的 材料 ? Materials for Working Permit (short as I797) from America Citizenship and Immigration Services 一、 在美國(guó)移民局辦理工作許可批準(zhǔn)（簡(jiǎn)稱 I797）的材料 1. Materials prepared by Party A for Party B 甲方為乙方 準(zhǔn)備的材料 1). the business license of Party B’s America Company, share warrant, federal tax registration certificate and tax file number。 1）、乙方 在美國(guó)注冊(cè)公司的營(yíng)業(yè)執(zhí)照、股權(quán)證及聯(lián)邦稅務(wù)登記證和稅號(hào)； 2).Business Place Certificate of Party B’s America Company (such as booth, Service Contract and others)。 2）、乙方 美國(guó)公司營(yíng)業(yè)場(chǎng)地證明（如經(jīng)營(yíng)商鋪、《企業(yè)入駐合同》等）； 3). Photos of business place of Party B’s America Company. 3）、乙方 美國(guó)公司營(yíng)業(yè)場(chǎng)地照片。 2. Materials Provided by Party B 乙方提供的 材料 1). Balance sheets and profitandloss statements of the most recent quarter and year, or the most recent month audited by an Accounting Firm. The Accounting Firm shall present an Audit Report both in Chinese and English. 5）、經(jīng)過會(huì)計(jì)師事務(wù)所審計(jì)的上一年度和最近一個(gè)季度，或者最近一個(gè)月的資產(chǎn)負(fù)債表和損益表， 會(huì)計(jì)師事務(wù)所要出具中英文的審計(jì)報(bào)告； 6).
