【文章內(nèi)容簡介】 Contract.UponaParty’swrittenrequest,theotherPartyshallreturnallsuchconfidentialinformationtotherequestingPartyormakesuchotherdispositionthereofasisdirectedbytherequestingParty.ThisclausesurvivesaftertheterminationoftheContract.合同各方均承諾自身及其雇員對因本合同或任何訂單從對方當事人處獲得的一切保密信息（“保密信息”）保密，除非相關法律、法規(guī)要求披露或取得對方當事人的明確書面授權。各方當事人應僅為履行本合同之目的使用該信息。經(jīng)一方當事人書面請求，另一方當事人應歸還所有該保密信息，或按照請求方的指示處置該保密信息。本條規(guī)定在合同終止后仍然有效。12.LiquidatedDamages違約賠償Unlessotherwiseprovidedherein,intheeventofdelayonpaymentbyBuyerbeyondtheagreedpaymentschedule,BuyershallpaytoSellerliquidateddamages,andnotaspenalty,atrateof%ofthedelinquentamountforperweekofdelay.除本合同另有規(guī)定外，買方逾期支付貨款的，則應按每周%的逾期貨款向賣方支付違約金。TheforegoingliquidateddamagesaddresslatepaymentonlyandareindependentofandinadditiontoSellercorrespondingabilitytorecoverdamages,forBuyer’sfailuretosatisfyitsobligationsunderthisContract.上述違約金條款僅解決逾期付款問題，如買方未履行其在本合同項下的義務，賣方仍有權采取其他措施追償損失。13.Termination合同終止Unlessotherwiseprovidedherein,neitherpartyisentitledtoterminatetheContractunilaterally.ThepartythatterminatestheContractwithoutobtainingpriorwrittenconsentoftheotherpartyshallbefullyliableforalldamagesthuscausedtotheotherparty.除本合同另有規(guī)定外，任何一方不得單方面終止本合同。如一方在沒有征得另一方的事先書面同意情況下終止本合同，則需對由此造成另一方的全部損失承擔賠償責任。IfBuyerfailstopaytoSelleranypaymentasrequiredhereunderandsuchfailurecontinuesforten(10)daysafterwrittennoticethereofhasbeengiventoBuyerbySeller,SellermayterminatethisContract.如買方未按照合同約定付款給賣方，且未在收到賣方書面通知后十（10）天內(nèi)補正，則賣方有權終止合同。IfSellerfailstosupplyGoodsasrequiredhereunderandfailstoremedythebreachwithinaperiodof30daysuponreceiptofwrittennoticefromBuyer,BuyermayterminatethisContract.賣方?jīng)]有履行其在本合同中規(guī)定的供貨義務，并且在買方提出書面要求后30天內(nèi)未對其違約行為做出補救，則買方有權終止合同。IncaseeitherPartyheretobeesinsolvent,orpetitionsforbankruptcy,orundergoescorporatereorganization,orfilesanyapplicationofsimilarnature,oresintotheprocessofliquidation,theotherPartyshallbeentitledtoterminatetheContractuponnotifyingthePartyinquestion.遇有本合同的任何一方破產(chǎn)，或者提出破產(chǎn)申請，或公司進行重組或提出何類似情況的申請，或者正在停業(yè)清算的情形，另一方有權書面通知該方后終止本合同。IncasetheContractisterminatedinaccordancewithArticlehereof,thePartiesheretoshallsettlethepartoftheContractthathasalreadybeenperformedinatimelyfashion,therestoftheContractshallberelieved.在本合同依據(jù)第條款終止的情形下，雙方應及時就已經(jīng)履行合同的部分進行結算，尚未履行合同的部分應予解除。14.IntellectualProperty知識產(chǎn)權AllintellectualpropertyrightssubsistinginorusedinconnectionwiththeGoods,includingalldocumentsandmanualsrelatingthereto,areandshallremainthesolepropertyofSellerand/oritspossiblelicensor(s).Buyershallnot,duringthetermof,oratanytimeaftertheexpiryorterminationoftheContract,inanywayquestionordisputetheownershipofsuchintellectualpropertyrightsofSelleroritslicensor(s).產(chǎn)品固有的或與產(chǎn)品相關使用的一切知識產(chǎn)權，包括有關知識產(chǎn)權的一切文件和手冊，現(xiàn)在是，以后仍然是賣方和/或其可能的許可人的獨家財產(chǎn)。在本合同期間或合同屆滿或終止后任何時候，買方不得以任何方式對賣方或其許可人的該等知識產(chǎn)權的所有權提出質疑或異議。IncasetheGoodsprovidedbySellerinfringestheintellectualpropertyofanythirdparty,SellershallreimburseBuyerforalldirectlossesanddamagesarisingoutoforinconnectionwithSeller’ssupplyofGoodstoBuyer,providedthatBuyershallpromptlynotifytheSellerinwritingofanysuchclaim.如賣方供應給買方的產(chǎn)品侵犯了第三方的知識產(chǎn)權，賣方應補償買方與此相關的所有直接損失和損害，前提是買方應迅速以書面形式通知賣方任何該索賠。UndernocircumstancesshallSellerassumeanyliabilityorresponsibilityfor:以下情況下賣方不承擔責任：（a）anyextraordinaryuseofSeller’sdeliveredGoodsbyBuyerwhichmayinfringeintellectualorproprietaryrightsofathirdparty,or買方非正常使用賣方交付的產(chǎn)品，而由此產(chǎn)生的侵犯第三方知識產(chǎn)權的情況；或（b）aviolationofanintellectualpropertyrightofathirdpartywhichiscausedbyBuyer’smodificationofGoods1
