【正文】 的規(guī)定，認真履行自己的義務(wù)。 Engineers ( Vietnam) Co., Ltd 151151 Bis, Vo Thi Sau Ward 6, District 3 Ho Chi Minh city, Viet Nam.風險分析：本工程的承包商是中國的公司，業(yè)主和工程師都是越南本地的公司，這就給承包商增加了風險，在某些事情上，業(yè)主和工程師可能會串通一氣，給承包商到來損失，一般國際的承包工程，工程師、業(yè)主和承包商應(yīng)該是來自三個不同的國家，這樣可以排除惡意串通，損害第三方利益的問題，所以本工程業(yè)主個工程師都是越南本地的公司，這就需要中國的承包商注意把握與雙方的關(guān)系，以使自己的利益受到最大的保護。 Quantity Surveyor’s name and address附錄內(nèi)容：DAVIS LANGDON amp。 Time for access to the Site風險分析：，如果業(yè)主在投標附錄中有明確的說明，則按照投標附錄的說明執(zhí)行，由于業(yè)主的原因造成工程的延誤或者費用的增加，而且業(yè)主負責一切損失。 Delay damages for the Works附錄內(nèi)容：% of Accepted Contract Price per calendar days, in the currencies and proportions in which the Contract Price is payable.風險分析：在本條中規(guī)定，承包商因為自己的原因使工程延誤時，%，貨幣是合同中規(guī)定的貨幣種類，而且此類的費用沒有上限，%，%，所以承包商盡量不要延誤工程，業(yè)主把風險都轉(zhuǎn)移給了承包商，承包商在施工的時候必須認真的了解工程所在國的情況，包括氣候、勞動力以及宗教等能夠影響工程進度的因素，盡量不延誤工程的進度，要不然承包商損失的就會很多，工程的延誤直接就影響到了承包商的盈利，如果承包商想要盈利，就必須在施工的進度上不能延誤，在本條款看來，承包商的風險遠遠高于業(yè)主的風險，當然承包商也可以跟業(yè)主協(xié)商，或者把這個因素考慮到投標報價中，以提高報價來彌補自己的在未來可能遭受的損失。 Percentage of retention附錄內(nèi)容：10% of the Interim Payment風險分析：本投標函附錄規(guī)定，保留金的百分比是中期支付款額的10%，在新版的FIDIC合同中，保留金的百分比一般是合同價格的5%，在本工程中保留金的比例是中期支付款額的10%，對于承包商而言，就要比較兩者的大小，如果本合同的規(guī)定百分比大于新版FIDIC合同的規(guī)定比例，那么承包商的風險也就增大了，合同中規(guī)定，當工程師已經(jīng)頒發(fā)了整個工程的接收證書時，工程師應(yīng)開具證書將保留金的前一半支付給承包商。 Payment附錄內(nèi)容：28 Calendar days from the receipt of the Original Certificate and Tax Invoice from Contractor.風險分析：投標函附錄中規(guī)定，業(yè)主應(yīng)該在收到承包商提供的支付證據(jù)和所交稅后的收據(jù)后的28天內(nèi)向承包商支付工程款額，這相比之下，業(yè)主的支付時間還是很短的，支付比較快，這對于承包商而言是比較有利的，在完工后的28天內(nèi)就能得到業(yè)主支付的款額，對于承包商后期的工程施工提供了資金，也能夠為業(yè)主節(jié)省了一些不必要的麻煩，畢竟承包商要得到的是錢，業(yè)主要得到的是工程，雙方相互之間只有互相理解，互行方便，工程肯定會順利的進行的。在整個投標函附錄中，總體來看，業(yè)主設(shè)置了一些不人道的條款，大大的損害了承包商的利益，有些時候業(yè)主為了把自己的風險摘出來，把原本屬于自己的風險強加給了承包商，一方面使得承包商在進行報價的時候有了想法，另一方面也使不少的承包商退出了競爭，因為承包商的目的就是賺錢，如果工程的風險過大，承包商也就沒有必要承包工程了。 Employer’s Equipment and FreeIssue MaterialThe Employer shall supply, free of charge, the “freeissue materials” (if any) in accordance with the details stated in the Specification. The Employer shall, at his risk and cost, provide these materials at the time and place specified in the Contract, the Contractor shall then visually inspect them, and shall promptly give notice to the Engineer of any shortage, defect or default in these materials. Unless otherwise agreed by both Parties, the Employer shall immediately rectify the notified shortage, defect or default.風險分析：對于免費提供的材料和設(shè)備，在風險轉(zhuǎn)移的時候?qū)τ诔邪痰膲毫Ρ容^大，承包商在接受材料時必須認真檢驗材料的基本情況，對于損壞的材料和設(shè)備，承包商應(yīng)要求業(yè)主進行補償或者改善，但是如果承包商沒有檢查，則材料原有的風險和以后的風險都由承包商承擔，也就是說業(yè)主完全將風險轉(zhuǎn)移給了承包商。 InspectionThe Employer and any other person authorized by it, shall at all reasonable times: (a) have access to the Site and to all workshops and places where Materials and Plant are being manufactured, fabricated or prepared for the Works and the Contractor shall give every assistance in obtaining the right for such access at no cost to the Employer(b) during production, manufacture and construction (at the Site and elsewhere), be entitled to examine, inspect, measure and test the material and workmanship, and to check the progress of manufacture of Plant and production and manufacture of Materials. The Contractor shall give the Employer and any other person authorized full opportunity to carry out these activities, including providing access, facilities, permissions and safety equipment. No such activity shall relieve the Contractor from any obligation or responsibility. 風險分析：在此條款中，提到了“在一切合理的時間內(nèi)”，所謂“一切合理的時間”就要看有經(jīng)驗的承包商如何理解了，在這個條款里完全是傾向于業(yè)主的權(quán)益，承包商能做的就是合理的預(yù)見，合理的安排，理解業(yè)主所謂的“一切合理的時間”，有什么特殊情況可以視情況而定。 Advance Payment The Employer shall make an advance payment, as an interestfree loan for mobilization, when the Contractor submits a guarantee in accordance with the SubClause. The total advance payment, the number and timing of instalments (if more than one), and the applicable currencies and proportions, shall be as stated in the Appendix to Tender. Unless and until the Employer receives this guarantee, or if the total advance payment in not stated in the Appendix to Tender, this SubClause shall not apply. 風險分析：在本條款中，本條款成立的前提有兩個：一是承包商必須按照業(yè)主的要求，準時的提交銀行保函；二是預(yù)付款的支付必須在投標附錄中有具體的規(guī)定。 issue of Interim Payment CertificatePrior to issuing the TakingOver Certificate for the Works, the Engineer shall not be bound to issue an Interim Payment Certificate in an amount which would (after retention and other deductions) be less than the minimum amount of Interim Payment Certificates (if any) stated in the Appendix to Tender. In this event, the engineer shall give notice to the Contractor accordingly.風險分析：在此條款中，承包商應(yīng)該注意的在投標附錄中規(guī)定的最低支付限額是多少，在向業(yè)主或者工程師提出支付申請的時，要注意自己的凈金額是否低于最低支付金額，所以承包商在支付的時候要把握適當，不然可能得不到支付款額，而影響了自己的資金流動或者是工程的施工；如果承包商要打“擦邊球”就一定要把握好自己的尺度，否則自己的風險就會增加。 條款 Extension of Time for Completion The Contractor shall be entitled subject to SubClause (Contractor’s Claims) to the extension of the Time for Completion if and to the extent that pletion for the purposes of SubClause (Taking Over of the Works and Sections) is or will be delayed by any of the following causes: (a) a Variation (unless an adjustment to the Time for Completion has been agreed under SubClause (Variation Procedure) or other substantial change in the quantity of an item of work included in the Contractor.(b) A cause of delay giving an entitlement to extension of time under a SubClause of these Conditions,(c) Unforeseeable shortages in the availability of personnel or Goods caused by epidemic or governmental actions, or (d) Any delay, impediment or prevention caused by or attributable to the Employer, the Employer’s Personnel, or the Employer’s other contractors on the site.If the Contractor considers himself to be entitled to an extension of the Time for Completion, the Contractor shall give notice to the Engineer in accordance with SubClause (Contractor’s Claims). When determining each extension of time under SubClause , the Engineer shall review previous determinations and may increase, but shall not decrease, the total extension of time. 風險分析：在此條款中，關(guān)于竣工時間的延長，業(yè)主和承包商的責任都說的很明確，但是對比新版FIDIC合同發(fā)現(xiàn)，這里少了一條，即：exceptionally adverse climatic conditions（特別不利的氣候條件）
