【正文】 經(jīng)營(yíng)企業(yè)法》和中國(guó)的其它有關(guān)法律法規(guī)，本著平等互利的原則，通過(guò)友好協(xié)商，同意在中 華人民共和國(guó)共同投資舉辦合資經(jīng)營(yíng)企業(yè)，特訂立本合同。 第四章 生產(chǎn)和經(jīng)營(yíng)的目的范圍和規(guī)模 第六條 目的 合資雙方希望加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流，從事第七條所規(guī)定的經(jīng)營(yíng)活動(dòng)， …… （根據(jù)具 體情況寫），為投資雙方帶來(lái)滿意的經(jīng)濟(jì)利益。除非合同雙方另以書面形式明確表示同意，任何一方都沒(méi)有義務(wù)再增 加注冊(cè)資本成為第 三方借貸給合資公司的款項(xiàng)作擔(dān)保。 第七章 技 術(shù) 轉(zhuǎn) 讓 第十七條 許可與技術(shù)引進(jìn)協(xié)議 合資公司和＿＿公司的 “許可與技術(shù)引進(jìn)協(xié)議 ”應(yīng)與本合同同時(shí)草簽。 第九章 董 事 會(huì) 第二十二條 合資公司注冊(cè)登 記之日，為合資公司董事會(huì)成立之日。經(jīng)三分之一以 上的董事提議，董事長(zhǎng)可召開董事會(huì)臨時(shí)會(huì)議。副總經(jīng)理協(xié)助總經(jīng)理工作。 第三十六條 工會(huì)代表有權(quán)就職工的獎(jiǎng)勵(lì)、處罰、解聘、工資、福利、勞動(dòng)保護(hù)和勞動(dòng) 保險(xiǎn)等問(wèn)題同經(jīng)營(yíng)管理機(jī)構(gòu)協(xié)商。 第四十三條 每一營(yíng)業(yè)年度的頭三個(gè)月，由總經(jīng)理組織編制上一年度的資產(chǎn)負(fù)債表，損 益計(jì)算書和利潤(rùn)分配方案，提交董事會(huì)會(huì)議審查。 第十 七章 合同的修改、變更和終止 第四十七條 對(duì)合同及其附件所作的任何修改，須經(jīng)合同雙方在書面協(xié)議上簽字并經(jīng)原 審批機(jī)構(gòu)批準(zhǔn)后方能生效。 第二十章 適 用 法 律 第五十三條 本合同的訂立、效力、解釋、履行受中華人民共和國(guó)法律的管轄。上述兩種文 本如有不符，以中文本為準(zhǔn)。s Republic of China. Chapter 3 Establishment of the Joint Venture Company Article 2 In accordance with the Joint Venture Law and other relevant Chinese laws and regulations, both parties of the joint venture agree to set up _____________joint venture limited liability pany ( hereinafter referred to as the joint venture pany). Party B shall guarantee that the technical personnel and the workers in the joint venture pany can master all the technology transferred within the period specified in the technology transfer agreement. Article 17 In case Party B fails to provide equipment and technology in accordance with the provisions of this contract and the technology transfer agreement or in case any deceiving or concealing actions are found, Party B shall be responsible for pensating the direct losses to the joint venture pany. Article 18 The technology transfer fee shall be paid in royalties. The royalty rate shall be ___________% of the sales value of the products. The term for royalty payment is the same as the term for the technology transfer agreement specified in Article 19 of this contract.
