【正文】 S TERMS The shipping space for the contracted goods shall be booked by the Buyer or the Buyer‘ s shipping agent __________. Under FOB terms， the Seller shall undertake to load the contracted goods on board the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. Under FAS terms， the Seller shall undertake to deliver the contracted goods under the tackle of the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. 1015 days prior to the date of shipment， the Buyer shall inform the Seller by cable or telex of the contract number， name of vessel， ETA of vessel， quantity to be loaded and the name of shipping agent， so as to enable the Seller to contact the shipping agent direct and arrange the shipment of the goods. The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should， for certain reasons， it bee necessary for the Buyer to replace the named vessel with another one， or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller， the Buyer or its shipping agent shall advise the Seller to this effect in due time. The Seller shall also keep in close contact with the agent or the Buyer. Should the Seller fail to load the goods on board or to deliver the goods under the tackle of the vessel booked by the Buyer. Within the time as notified by the Buyer， after its arrival at the port of shipment the Seller shall be fully liable to the Buyer and responsible for all losses and expenses such as dead freight， demurrage. Consequential losses incurred upon and/or suffered by the Buyer. Should the vessel be withdrawn or replaced or delayed eventually or the cargo be shut out etc.， and the Seller be not informed in good time to stop delivery of the cargo， the calculation of the loss in storage expenses and insurance premium thus sustained at the loading port shall be based on the loading date notified by the agent to the Seller （ or based on the date of the arrival of the cargo at the loading port in case the cargo should arrive there later than the notified loading date）。 運(yùn)提單、遲期提單、簡(jiǎn)式提單不能接受。 。 5份，注明合同號(hào)、信用證號(hào)、商品名稱、詳細(xì)規(guī)格及裝船嘜頭標(biāo)記。 「章名」 在 CIF條件下，除本合同第 15條 C＆ F條件適用之外賣方負(fù)責(zé)貨物的保險(xiǎn)，但不允許有免賠率。超過(guò) 20年船齡的船只，賣方應(yīng)負(fù)擔(dān)超船齡外保險(xiǎn)費(fèi)。買方不接受船齡超過(guò)二十年的船只。 。貨物不得由懸掛中國(guó)港口當(dāng)局所不能接受的國(guó)家旗幟的船裝載。上述費(fèi)用均憑原始單據(jù)經(jīng)買方核實(shí)后支付。如買方因故需要變更船只或者船只比預(yù)先通知賣方的日期提前或推遲到達(dá)裝運(yùn)港口，買方 或其船運(yùn)代理人應(yīng)及時(shí)通知賣方。 FAS條件下，賣方應(yīng)負(fù)責(zé)將所訂貨物在本合同第 8條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期交到買方所指定船只的吊桿下。上述信用證有效期將在裝船后 15天截止。 For pharmaceutical: Pharmaceutical imported into China are subject to laws and regulations of the People’s Republic of China. Disqualitied pharmaceutical are prohibited to be imported. It is mutually agreed that for the quality of the contracted goods in this category, the Inspection Certificate issued by the China Commodity Inspection Bureau after inspection the goods within 90 days from the date of arrival at the port of destination shall be taken as final and binding upon both parties. The Sellers shall take back all the disqualified goods and pensate the Buyers for the value of the goods plus all losses sustained due to return of the cargo, such freight, storage charges, insurance premium, interest, inspection charges, the quantity/weight be found not in conformity with those stipulated in this Contract after inspection by the China Commodity with those stipulated in this Contract after inspection by the China Commodity Inspection Bureau, the Buyers shall have the right to claim against the Sellers for pensation of losses within 60 days after the arrival of the goods at the port of destination on the basis of the Inspection Certificate issued by the said bureau ：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣方不負(fù)責(zé)任。 For General Cargo: In case the quality,quantity or Weight of the goods be found not in conformity with those stipulated in this Contract after reinspection by the china Commodity Inspection Bureau within 60 days after arrival of the goods at the port of destination, the Buyers shall return the goods to or lodge claims against the Sellers for pensation of losses upon the strength of Inspection Certificate issued by the said Bereau, with the exception of those claims for which the insurers or owners of the carrying vessel are liable. All expenses (including inspection fees) and losses arising from the return of the goods or claims should be borne by the Sellers. In such case, the Buyers may, if so requested, send a sample of the goods in quetion to the Sellers, provided that sampling is feasible.
