other claims the Contractor may have against the pany, without notice and without any responsibility whatsoever attaing to the Contractor, sell or dispose of the Vessel and apply the proceeds of sale in reduction of the sums due to the Contractor from the pany under this Agreement． Any remaining proceeds will be refunded to the pany．In the event that su sale or other disposal of the Vessel fails to raise sufficient net funds to pay the monies due to the Contractor under the terms of this Agreement then the pany shall remain liable to the Contractor for any su shortfall．10．6 Reference to delivery of the Vessel shall include parts of the Vessel and/or cargo and/or any other thing emanating from the Vessel and su delivery may take place at different times and different places．11．Extra Costs The following expenses/costs shall be paid as and when they fall due by the pany:11．1 all port expenses, pilotage arges, harbour and canal dues and all other expenses of a similar nature levied on or payable in respect of the Vessel and the Contractor39。s mainery, gear, equipment, anors, ains, stores and other appurtenances during performance of and for the purposes of this Agreement free of expense but shall not unnecessarily damage, abandon or sacrifice any property the subject of this Agreement．6．3 Subject to approval of the pany, whi shall not be unreasonably withheld, and subject to it being permitted by the petent authorities, the Contractor shall be entitled to remove, dispose or jettison cargo, or parts of the Vessel or equipment from the Vessel if su action is considered by the Contractor to be reasonably necessary to perform this Agreement．6．4 The pany will provide the Contractor with su plans and drawings of the Vessel, cargo manifests, stowage plans, etc．a(chǎn)s the Contractor may require．7．PermitsAll necessary licenses, approvals,qualification, authorizations or permits for the purpose of this Agreement shall be obtained, maintained and paid for by the pany/the Contractor． The other party shall provide the party above with all reasonable assistance in connection with the obtaining of su licenses, approvals, authorizations or permits．8．DelaysIf the Contractor is prevented from performing any meaningful work in and about the services due to brea of contract, negligence or any other fault on the part of the pany, its servants or agents, or due to any other reasons outside the control of the Contractor, then during all su delays the Contractor shall be remunerated by the pany at the delay payment rate set out in Clause whi shall apply on a pro rata basis for parts of a working day.The pany shall be promptly advised by the Contractor about all delays, whi shall be confirmed in writing as soon as possible． 9．Termination9．1 The pany may terminate this Agreement at any time prior to mencement of mobilization of the personnel or the craft or the equipment of the Contractor, on payment of the Cancellation Fee of ．9．2 The Contractor, with the agreement of the pany, whi shall not be unreasonably withheld, may terminate this Agreement without any further liability if performance of this Agreement or pletion of any agreed ange of work under Clause 5 hereof, bees tenically or physically impossible． In the event of su termination, the Contractor shall be entitled to payment of all monies due in accordance with this Agreement9．3 If permission to suspend or terminate is not given by the petent authorities the Contractor shall be paid by the pany at the delay payment rate set out in Clause 3 for Personnel, Craft and Equipment during any standby
