【正文】 d interest at a rate of six percent (6 %) per year above the “United States Prime Rate” published in the “Wall Street Journal” as in effect on the first business day of the month in which reference to such rate is required. Interests shall accrue on a daily basis and shall be paid together with the overdue amount, with no need of demand by TCM or BASELL (as applicable) after thirty (30) days, accounting from the due date. TCM and BASELL (as applicable) will be entitled to extend the delivery schedule of TECHNICAL DOCUMENTATION, Technical Service and technical training mensurate with any delay in payments. JSPCL shall have the right to deduct from any payment the withholding taxes in accordance with Article 12, DIRECT COSTS and liquidated damages, if any, in accordance with Article . All bank charges, dues, fees and missions imposed on payments under this CONTRACT by banks in the People’s Republic of China shall be borne by JSPCL. All bank charges, dues, fees and missions imposed by any bank out of the People’s Republic of China shall be borne by TCM or BASELL, as the case may be. JSPCL shall keep accurate and plete records of all data necessary for the determination of any EXPANSION under this CONTRACT. BASELL and its representatives may inspect at reasonable times and intervals and upon request made reasonably in advance, JSPCL’s the aforementioned records. The costs of the inspection shall be borne by BASELL, unless the inspection reveals that JSPCL should have sent, or has made an error in, the notification pursuant to Article , in which case they shall be borne by JSPCL.4. DELIVERY TERMS BASELL and TCM, each with reference to its respective scope of work, shall be obliged to provide JSPCL with TECHNICAL DOCUMENTATION, drafted in metric system and in English unless the Technical Appendix requires a different system, and deliver to JSPCL by express courier. The contents, number of copies, and delivery schedule are detailed in Appendix 6. TECHNICAL DOCUMENTATION provided by BASELL and TCM, as the case may be, shall be properly packed to withstand numerous handling, longdistance transportation and to be protected against damages from moisture and rain. Each package of TECHNICAL DOCUMENTATION shall contain a list indicating the following information: (c) five (5) originals of manually signed mercial invoice issued by the TCM indicating the amount to be paid and the bank account coordinates. Forty percent (40 %) of the fee stated in Article B c), shall be paid by JSPCL to TCM under the Letter of Credit issued by JSPCL’s bank against the following documents:(a) One (1) copy of the courier receipt signed by JSPCL upon delivery to JSPCL of the abovementioned HAZOP and SIL Classification Report。(c) a copy of the protocol from the BDD Review Meeting signed by JSPCL and TCM. Ten percent (10 %) of the Fee for BASIC DESIGN DOCUMENTS (BDD) stated in Article B b), shall be paid paid by JSPCL to TCM under the Letter of Credit issued by JSPCL’s bank against the following documents:(c) Copy of the Certificate of ACCEPTANCE duly signed by the authorized representative of the Parties。(b) five (5) originals of signed proforma invoice issued by TCM covering one hundred percent (100 %) of of the Price of the CONTRACT under Article B b)。(b) Five (5) originals of manually signed mercial invoice issued by BASELL indicating the amount to be paid amount and the bank account coordinates.(c) A copy of the protocol from the PDP Review Meeting signed by JSPCL and BASELL. Twenty five percent (25 %) of total amount of license Fee and PDP Fee and Training Fee shall be paid by JSPCL to BASELL under the Letter of Credit issued by JSPCL’s bank against the following documents:(a) One (1) copy of the courier receipt signed by JSPCL upon delivery to JSPCL of the above mentioned Part B of the PROCESS DESIGN DOCUMENTS (PDP) confirming such receipt。iv. with reference to Article – the Critical Items Material Requisition as per Appendix 6v. with reference to Article – the Hazop and SIL Classification Report as per Appendix 6. The License Fee stipulated in Article A and the Fee for PROCESS DESIGN PACKAGE (PDP) stipulated in Article B a) and the Training Fee stipulated in Article C amounting to USD (US Dollars [?]), shall be paid by JSPCL to BASELL in the following manner and rates: Ten percent (10 %) of total amount of license Fee and PDP Fee and Training Fee, shall be paid by JSPCL to BASELL after the EFFECTIVE DATE and within forty five (45) days after JSPCL has received the following documents and found them in order.(c) one (1) original and two (2) duplicate copies of a valid export license issued by the relevant petent authorities of the BASELL39。 andIn = same index for the month preceding the obligation to notify BASELL under Article .Payment of said EXPANSION fee(s) shall be made within thirty (30) days of the date on which JSPCL has the obligation to notify BASELL under Article .3. PAYMENT TERMS All the payments under this CONTRACT shall be made through respective banks by:(a) as it concerns the down payment under Articles , and through Telegraphic Transfer (T/T) in US Dollars。PV = Previous Volume, . previous CONTRACT PLANT capacity (in Metric Tons per annum) for which the relevant licensee fee has been paid by JSPCL。c) Fee for the DETAILED DESIGN PACKAGE : US Dollars [?].C. Training fee: US Dollars [?].D. Technical Service estimated fee: Per Diem Rate US Dollars [?]. The CONTRACT PRICE (except Technical Service fee as stipulated in Article D) shall be firm, fixed and covering all the expenses and charges in relation to the grant of license, provision of TECHNICAL DOCUMENTATION and technical training, regardless of whether TCM and/or BASELL spends more or less than the expected mandays of effort. The TECHNICAL DOCUMENTATION fee shall include the cost of delivery of the documents to JSPCL39。 (ii) they are owned by BASELL or BASELL’s A
