【正文】 小心輕放”、“切勿受潮”等裝運(yùn)標(biāo)志。(1)買(mǎi)賣(mài)雙方指定境外賣(mài)方所在國(guó)(地區(qū))當(dāng)?shù)氐娜鹗縮gs集團(tuán)下屬營(yíng)業(yè)機(jī)構(gòu)(簡(jiǎn)稱(chēng)sgs)對(duì)上述貨物進(jìn)行品種和數(shù)量檢測(cè)，并由其出具品種和數(shù)量檢測(cè)。如買(mǎi)方對(duì)檢測(cè)報(bào)告的內(nèi)容有異議，須在收到賣(mài)方《檢測(cè)報(bào)告通知單》傳真件24小時(shí)之內(nèi)，向賣(mài)方傳真簽章后的《檢測(cè)報(bào)告通知單》，按本合同“”規(guī)定處理。(7)如買(mǎi)方所購(gòu)商品需要國(guó)家有關(guān)部門(mén)進(jìn)口批文和許可證，賣(mài)方可協(xié)助買(mǎi)方辦理，所需費(fèi)用由買(mǎi)方承擔(dān)。(10)如買(mǎi)方?jīng)]有按承運(yùn)人及賣(mài)方的要求交納上述貨物進(jìn)口所需費(fèi)用、進(jìn)口關(guān)稅及增值稅，視為買(mǎi)方自動(dòng)放棄貨物，賣(mài)方不承擔(dān)由此產(chǎn)生的任何經(jīng)濟(jì)和法律責(zé)任。買(mǎi)方若對(duì)所購(gòu)貨物的質(zhì)量提出異議，應(yīng)向賣(mài)方提交相關(guān)索賠文件，包括：索賠書(shū)，瑞士sgs集團(tuán)下屬的通標(biāo)標(biāo)準(zhǔn)技術(shù)服務(wù)有限公司(sgscstc)出具的相關(guān)商品質(zhì)量檢測(cè)報(bào)告。買(mǎi)賣(mài)雙方在本合同執(zhí)行過(guò)程中如有爭(zhēng)議，雙方友好協(xié)商解決。(3)任何對(duì)本合同內(nèi)容的變更，須經(jīng)買(mǎi)方、賣(mài)方和擔(dān)保人三方共同認(rèn)可。(1)本合同自買(mǎi)賣(mài)雙方簽章之日起生效，本合同的附件與本合同不可分割，具備同等法律效力。賣(mài)方如因洪水等自然災(zāi)害、戰(zhàn)爭(zhēng)、罷工等不可抗力原因不能按期交貨或不能交貨時(shí)，經(jīng)雙方協(xié)商本合同可以延遲履行。(2)自本合同簽字之日，買(mǎi)方將《供貨清單》項(xiàng)下的100%貨款交納給郵政訂購(gòu)代辦營(yíng)業(yè)機(jī)構(gòu)，買(mǎi)方須在交款單上填寫(xiě)《供貨清單》編號(hào)以及擔(dān)保人指定的賣(mài)方貨款帳戶(見(jiàn)以下(3))后，領(lǐng)取《供貨擔(dān)保承保通知單》。進(jìn)口所需費(fèi)用(包括國(guó)際運(yùn)費(fèi)、保險(xiǎn)費(fèi)、報(bào)關(guān)、商檢、國(guó)內(nèi)運(yùn)費(fèi)等費(fèi)用)由買(mǎi)方承擔(dān)，具體支付方式由買(mǎi)方與承運(yùn)人另行商定。如因買(mǎi)方或承運(yùn)人的原因造成交貨時(shí)間或交貨地點(diǎn)的變化，買(mǎi)方應(yīng)以書(shū)面方式通知賣(mài)方變更后的貨物交貨時(shí)間和交貨地點(diǎn)。承運(yùn)人聯(lián)系方式如下：(3)賣(mài)方備妥上述貨物后，賣(mài)方須在不遲于每批貨物交貨期限前10日以傳真方式向買(mǎi)方提交sgs出具的檢測(cè)報(bào)告及《新連鎖進(jìn)口商品檢測(cè)報(bào)告通知單及回執(zhí)》(見(jiàn)附件5，簡(jiǎn)稱(chēng)《檢測(cè)報(bào)告通知單》)由買(mǎi)方確認(rèn)。(2)買(mǎi)方支付的貨款由郵政訂購(gòu)代辦營(yíng)業(yè)機(jī)構(gòu)代收后匯入擔(dān)保人和賣(mài)方指定的帳戶，3個(gè)工作日內(nèi)賣(mài)方委托擔(dān)保人向買(mǎi)方開(kāi)具《新連鎖商品進(jìn)__易履約供貨擔(dān)保單》(見(jiàn)附件4，簡(jiǎn)稱(chēng)《供貨擔(dān)保單》)，該擔(dān)保單以傳真和郵寄方式由擔(dān)保人送達(dá)給買(mǎi)方。、交貨地點(diǎn)(即交貨港口)、交貨期限(即交貨時(shí)間)以及貨物品種、數(shù)量、單價(jià)、包裝等內(nèi)容見(jiàn)《新連鎖商品進(jìn)口供貨清單》(見(jiàn)附件1，簡(jiǎn)稱(chēng)《供貨清單》)，為本合同不可分割部分，買(mǎi)方簽字后生效)。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。Payment：By confirmed, irrevocable, transferable and divisible L/C to be available by sight draft to reach the sellers before ___/___/_____ and to remain valid for ingotiation in China until 15 days after the aforesaid time of shipment.
