(Hereinafter referred to as Second Party)依照印度其他有關(guān)法律、行政法規(guī)，遵循平等、自愿、公平和誠實(shí)信用的原則，雙方就本建設(shè)工程施工事項(xiàng)協(xié)商一致，訂立本合同。In accordance with relevant laws, administrative rules and regulations in India, based on the principle of equality, voluntariness, fairness, honesty and credit, the two parties conclude the following Agreement on negotiated consensus of the construction items on this construction project. 一、 工程概況 The Project Overview工程名稱： 新希望加爾各答動(dòng)物飼料私人有限公司年產(chǎn)26萬噸飼料廠項(xiàng)目（土建工程）Project Name: Annual output of 2,60,000 tons of feed processing projects for New Hope Kolkata Animal Feed Private Limited (civil works)工程地點(diǎn)： 印度西孟加拉邦奈哈蒂政府工業(yè)園 The address of the project: PlotA5, Rishi Bankim Shilpaudyan, PSNaihati, North 24 Parganas, West Bengal, PIN743165工程立項(xiàng)批準(zhǔn)或核準(zhǔn)、備案文號： 西孟邦政府工廠局批復(fù)第23號（13/01/2016） Formality: No. 23 of year 2016, Directorate of Factories of West Bengal (13/01/2016)資金來源：發(fā)包方企業(yè)自籌（已到位）Capital source: Rasied by First Party (In place)工程內(nèi)容： 承包人按照施工圖及甲乙雙方的合同約定對主車間、成品車間、原料車間、雨棚一、鍋爐房、卸料棚、發(fā)電機(jī)房、水泵房、綜合樓、門衛(wèi)、磅房、食堂、浴室、箱變、筒倉基礎(chǔ)、地磅的土建、裝飾、給排水、電氣、消防、總平道路工程等圖紙內(nèi)容等分項(xiàng)工程。Contents of the project: The Contractor undertake the following sectional works in accordance with the construction drawing and the agreement of the contract: the civil engineering and other engineering including decoration, water supply and drainage, electric, fire protection and the whole flat road for the main workshop, finished products warehouse, raw materials workshop, canopyⅠ, boiler room, unloading shed, generator room, water pump room, plex building, guard room, pound room, canteen, the bathroom, the boxtype transformer, the silo foundation, the floor scale and so on , which are specified in the drawings.二、工程承包范圍 Scope of the project contracting 承包范圍：主車間：包括土建、裝飾、電氣工程、給排水工程、消防工程；成品車間：包括土建、裝飾、電氣工程、給排水工程、消防工程；原料車間：包括土建、裝飾、電氣工程、給排水工程、消防工程；雨棚、鍋爐房：包括土建、裝飾、電氣工程、給排水工程、消防工程；卸料棚：包括土建、裝飾、電氣工程；發(fā)電機(jī)房、水泵房：包括土建、裝飾、電氣工程、給排水工程、消防工程；綜合樓：包括土建、裝飾、電氣工程、給排水工程、消防工程；門衛(wèi)、磅房：包括土建、裝飾、電氣工程、給排水工程、消防工程；食堂：包括土建、裝飾、電氣工程、給排水工程、消防工程；浴室：包括土建、裝飾、電氣工程、給排水工程、消防工程；箱變：包括土建、裝飾、電氣工程、給排水工程、消防工程；筒倉基礎(chǔ)：包括土建、電氣工程（防雷與接地）；地磅：包括土建工程；總平：包括道路、總平給排水、總平電氣、總平消防等圖紙分項(xiàng)內(nèi)容。Agreement scope: The main workshop: including civil, decoration, electrical, water supply and drainage and fire engineering。 the finished products warehouse: including civil, decoration, electrical, water supply and drainage and fire engineering 。 the raw materials warehouse: including civil, decoration, electrical, water supply and drainage and fire engineering。 the boiler rooms and canopyⅠ: including civil, decoration, electrical, water supply and drainage and fire engineering。 the unloading shed: including civil, decoration and electrical engineering。 the generator room and the pump room: including civil, decoration, electrical, water supply and drainage and fire engineering。 the plex building: including civil, decoration, electrical, water supply and drainage and fire engineering。 the guard room and the pound room: including civil, decoration, electrical, water supply and drainage and fire engineering。 the canteen: including civil, decoration, electrical, water supply and drainage and fire engineering。 the bathroom: including civil, decoration, electrical, water supply and drainage and fire engineering。 the boxtype transformer room: including civil, decoration, electrical, water supply and drainage and fire engineering。 the silo foundation: including civil and electrical(lightning protection and grounding )engineering。 the floor scale: including civil engineering。 the total flat: including roads, water supply and drainage , electrical and fire engineering , etc. , which are specified in the drawings.甲方安排的小型或零星類工程，將以簽訂《合同補(bǔ)充協(xié)議》（附件7）的方式計(jì)算價(jià)款，其費(fèi)用按照甲方總部核定的價(jià)格協(xié)商執(zhí)行，乙方不得以任何理由拒絕施工或提高造價(jià)；The cost of any additional sporadic or small works arranged by First party will be calculated according to the Agreement supplementary agreement (appendix 7) signed by two parties, and its price will be performed under negotiation which is approved by the headquarters of Part A. Second Party shall not refuse to construct or raise the cost for any reason. 承包方式：雙包，包括并不限于包工、包料、包工期、包質(zhì)量、包資料 (書面資料及電子版資料)、包括圖紙規(guī)定范圍內(nèi)的施工措施、包安全文明施工、包施工現(xiàn)場多次駁運(yùn)、包現(xiàn)場成品保護(hù)、包已完工建筑產(chǎn)品保護(hù)、包垃圾清運(yùn)至市政要求的地方、包管理、包臨時(shí)設(shè)施等。(不包含場外棄土及垃圾)Contracting way: including but not limited to labor, materials, time limit, quality, documents (both soft and hard copies), construction procedure that specified in the drawings, safe and civilized construction measures, the construction site transfer, the protection of pleted buildings and finished products, refuse cleared up to a region of the municipal requirements, management and temporary facilities, etc. (not including discarding the soil and the garbage beyond the site)三、合同工期 Agreement duration合同工期：總有工期360天。Agreement duration: Total duration is 360 days.　　材料準(zhǔn)備開工日期為2016年4月5日；進(jìn)場開工日期為2016年5月7日（以甲方正式的開工報(bào)告時(shí)間為準(zhǔn)）主車間基礎(chǔ)完成且達(dá)到鋼結(jié)構(gòu)入場安裝條件時(shí)間為2016年7月30日；竣工日期為2017年5月2日，需要特殊說明的是因不可抗力等因素，如當(dāng)?shù)卮筮x除外或者連續(xù)下雨8小時(shí)，工期可以適當(dāng)順延，順延時(shí)間由甲方根據(jù)實(shí)際情況定，順延期間誤工費(fèi)等所有費(fèi)用均用由乙方自行承擔(dān)；　The mencement date for material preparation is April 5th, 2016。 the mencement date for starting work is May 7th, 2016 (subjected to the First Party ’s formal workstart time )。 the finished time for the main workshop’s foundation is July 30th, 2016 and in the meantime the site
