【正文】 上海市商品房預(yù)售合同Shanghai Commodity Housing Presale Contract上海市房屋土地資源管理局制定  上海市工商行政管理局監(jiān)制二零零零年印制  Prepared by Shanghai Housing and Land Resources Administration BureauSupervised by Shanghai Industrial and Commercial Administration BureauPrinted in Year 2000特別告知Special Notice一、本合同文本是根據(jù)《上海市房地產(chǎn)轉(zhuǎn)讓辦法》制定的示范文本,印制的和同條款為提示性條款,供雙方當(dāng)事人約定采用。This Contract is a model contract stipulated in accordance with Shanghai Method for Real Estate Transfer, terms and conditions printed hereof are suggestive ones for mutual adoption by both parties.二、購(gòu)房是一種民事法律行為,涉及的標(biāo)的額較大、專(zhuān)業(yè)性較強(qiáng)、法律規(guī)范較多,為更好地維護(hù)雙方當(dāng)事人的權(quán)益,雙方簽訂合同時(shí)應(yīng)當(dāng)慎重,力求簽訂得具體、全面、嚴(yán)密。House purchase is a civil legal act involves relatively bigger amount of subject matter, higher expertise and more laws and regulations. To better protect the rights and interests of both parties, a Contract shall be entered into with due discretion and as detailed, prehensive and precise as possible.三、在簽訂預(yù)售合同前,房地產(chǎn)開(kāi)發(fā)企業(yè)應(yīng)向購(gòu)房人出示商品房預(yù)售許可證。預(yù)售許可證真實(shí)性、合法性及該商品房屋是否存在重復(fù)預(yù)售和被司法機(jī)關(guān)查封等權(quán)利轉(zhuǎn)移受限制的情況,購(gòu)房人可向該商品房屋所在地的區(qū)縣房地產(chǎn)交易中心查閱。Before signing of the presale Contract, the real estate developer shall show the presale license of modity housing to the purchaser. With regard to the authenticity and validity of the presale license and the possibilities of limited transfer of rights caused by the facts that the said modity house has been presold repeatedly or sealed up by judicial authorities, the purchaser may make an enquiry to the district/county real estate trading center where the said modity house is located.四、為保護(hù)合同雙方當(dāng)事人的合法權(quán)益,雙方可以將預(yù)售廣告、售樓書(shū)約定為商品房預(yù)售合同的附件。To protect their legal rights and interests, both parties herein may make the presale advertisement and brochure the annex of the modity housing presale Contract upon agreement.五、預(yù)售的商品房是房地產(chǎn)開(kāi)發(fā)企業(yè)正在建設(shè)中的房屋(或已建成但未經(jīng)初始登記的房屋),該房屋的面積、交房日期質(zhì)量等方面都存在著不確定因素。房屋買(mǎi)賣(mài)雙方在簽訂前,應(yīng)對(duì)下列問(wèn)題予以充分了解:The modity house for presale is a house under construction(or a built house without initial land registration) by the real estate developer, there are uncertainties concerning the area, delivery date and quality of the house. Before signing the purchase Contract, both parties shall be fully acquainted with issues listed below:  商品房預(yù)售時(shí)房屋的建筑面積是暫測(cè)的,房屋交付時(shí)則以上海市房屋土地資源管理局認(rèn)定的測(cè)繪機(jī)構(gòu)實(shí)測(cè)建筑面積為準(zhǔn)。預(yù)售合同中須明確載明房屋的建筑面積、套內(nèi)建筑面積、公用分?jǐn)偨ㄖ娣e。暫測(cè)面積與交付時(shí)實(shí)測(cè)面積不一致,按《上海市房地產(chǎn)轉(zhuǎn)讓辦法》第四十四條規(guī)定處理?!  镜谒氖臈l(預(yù)售商品房交付時(shí)建筑面積增減的處理)預(yù)售商品房交付時(shí),其建筑面積與預(yù)售合同的約定出現(xiàn)增減的,應(yīng)當(dāng)按照下列規(guī)定處理:When the modity house is presold, the building area of the house is a result of temporary measurement. Upon delivery, the actual building area determined by SHLRAB authorized mapping institution shall be final. The presale Contract shall explicitly provide the gross building area, interior building area and public share building area. If the temporarily measured area is in discrepancy with the actual area, actions shall be taken in line with Article 44 of Shanghai Method for Real Estate Transfer.[Article 44 (Treatment of Building Area Disconformity upon Delivery of Presold Commodity House) . Upon the delivery of a presold modity house, if its building area is different from that as agreed in the presale Contract, such conditions shall be dealt with as per the following provisions: ?。ㄒ唬┮虬凑毡巨k法第二十七條第二款規(guī)定分?jǐn)偡课莨貌课坏慕ㄖ娣e或者因具有相應(yīng)資質(zhì)的測(cè)量機(jī)構(gòu)實(shí)際勘測(cè)的誤差而造成建筑面積增減的,預(yù)售合同約定的轉(zhuǎn)讓總價(jià)格不變。(附第二十七條第二款:房屋轉(zhuǎn)讓時(shí),房屋的公用部位、公用設(shè)備與自用部位、自用設(shè)備同時(shí)轉(zhuǎn)讓?zhuān)还貌课坏慕ㄖ娣e按照國(guó)家和本市有關(guān)規(guī)定由房地產(chǎn)權(quán)利人分?jǐn)偂#?1) If the disconformity is caused by sharing public building area according to Clause 2 Article 27 of this Method or error of actual measurement by relevantly qualified mapping institution, the total price of transfer as agreed in the presale Contract shall remain unchanged.(Attach here Clause 2 Article 27 as stipulates: when a house is transferred, the public area, public facilities and private area, private facilities of the house are simultaneously transferred. The public building area shall be shared by obliges of the real estate as per relevant national and municipal regulations.)(二)因預(yù)售商品房的建筑設(shè)計(jì)變更而造成建筑面積增減的,按照本辦法第三十九條的規(guī)定處理。(2) If the disconformity is caused by design change of the presold modity house, actions shall be taken according to Article 39 of this Method.(附第三十九條:已經(jīng)預(yù)售的商品房,房地產(chǎn)開(kāi)發(fā)企業(yè)不得擅自變更其建筑設(shè)計(jì);確需變更的,應(yīng)當(dāng)在征得預(yù)購(gòu)人同意并報(bào)規(guī)劃管理部門(mén)審核批準(zhǔn)后,與預(yù)購(gòu)人訂立預(yù)售合同的變更協(xié)議。(Attach here Article 39 as stipulates: the real estate developer cannot change the building design of presold modity house without permission. If it’s proved necessary, the developer shall sign a change agreement of the presale Contract with the purchaser after getting the consent of purchaser and submitting for the approval of planning administration authorities.未征得預(yù)購(gòu)人同意,房地產(chǎn)開(kāi)發(fā)企業(yè)變更預(yù)售商品房的建筑設(shè)計(jì)的,預(yù)購(gòu)人有權(quán)解除預(yù)售合同,并由房地產(chǎn)開(kāi)發(fā)企業(yè)承擔(dān)違約責(zé)任。)If the real estate developer changes the building design of presold modity house without the purchaser’s permission, the purchaser is entitled to rescind the presale Contract and the developer shall bear the liabilities for breach of contract.)(三)除本條第(一)項(xiàng)、第(二)項(xiàng)所列的情形外,建筑面積超過(guò)預(yù)售合同約定的,受讓人可以不承擔(dān)增加建筑面積部分的價(jià)款;建筑面積不足預(yù)售合同約定的,房地產(chǎn)開(kāi)發(fā)企業(yè)應(yīng)當(dāng)將減少建筑面積部分的價(jià)款退還受讓人。但預(yù)售合同另有約定的,從其約定。(3) With regard to conditions not listed in Item (1) and (2) of this Article, if the building area exceeds that as agreed in the presale Contract, the transferee can avoid the payment for the additional area。 if the building area is less than that as agreed, the real estate developer shall reimburse the purchase price in proportion to the reduced area to the transferee. Provided, however, that it’s otherwise stipulated by the presale Contract.依據(jù)《上海市房地產(chǎn)登記條例》關(guān)于房地產(chǎn)開(kāi)發(fā)企業(yè)應(yīng)當(dāng)在新建商品房屋竣工驗(yàn)收后交付給買(mǎi)受人之前,持本條例第二十條所列文件和商品房屋建設(shè)項(xiàng)目批準(zhǔn)文件辦理新建商品房屋初始登記的規(guī)定,商品房建成交付前房地產(chǎn)開(kāi)發(fā)企業(yè)應(yīng)取得新建商品房房地產(chǎn)權(quán)證(大產(chǎn)證)。2). Subject to the stipulation set forth by Shanghai Regulation for Real Estate Registration that “the real estate developer shall use documents listed by Article 20 of this Regulation and approval documents of modity housing construction projects to proceed initial registration for newlybuilt modity housing before delivery to the purchaser after its final acceptance”, the real estate developer shall acquire Certificate of Real Estate Title for newlybuilt modity housing (th
