Party A is engaged in the business of marketing of ____________________ in [ ]. 2. Party B is engaged in developing and manufacture of LED Lighting products. Now this contact witness and it is hereby agreed by and between the Parties hereto as follows: 鑒于，甲方從事________________________產(chǎn)品，在_________________地區(qū)市場的營銷工作；乙方是__________________產(chǎn)品專業(yè)的研發(fā)、生產(chǎn)企業(yè)，雙方為共同的發(fā)展，達(dá)成以下項(xiàng)目： Section 1: Definitions and Interpretation 第一條： 總則和定義 Cooperation Manner: Both Parties agree that Party A shall sell the products by OEM。 Meanwhile, Party B shall develop, manufacture and provide, by OEM, Products with the brand designated by Party A (the “products”). 雙方同意以甲方以O(shè)EM方式銷售合作產(chǎn)品，乙方采用OEM方式研發(fā)、生產(chǎn)并提供合作產(chǎn)品，合作產(chǎn)品的商標(biāo)由甲方授權(quán)。 Definitions: 定義 Products: 合作產(chǎn)品：是指乙方根據(jù)甲方或者甲方客戶要求設(shè)計(jì)、研發(fā)、生產(chǎn)的_______________________________產(chǎn)品； OEM: The products with the brand designated by Party A shall be technically based on the products developed and designed by Party B and approved by Party A. OEM方式：是指甲方授權(quán)乙方在產(chǎn)品或產(chǎn)品的載體上，印制甲方名稱和商標(biāo)，同時(shí)甲方也有權(quán)禁止乙方將其名稱和商標(biāo)印制在產(chǎn)品上； Purchase Order: 訂單：是指甲方出具的用于向乙方訂購產(chǎn)品的正式文件； Duration: This agreement shall be for a period of [ ] years from the date of execution unless terminated earlier in accordance with the provisions of this Contract.
