【正文】 示例 凡因本合同引起的或與本合同有關(guān)的任何爭議，均應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按照該會現(xiàn)行的仲裁規(guī)則，由申請人選定在該會總會或深圳分會或上海分會進(jìn)行仲裁。仲裁裁決是終局的，對雙方均有約束力。 33 All disputes arising from the performance of, or relating to this contract, Shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted by the Commission or its Shenzhen subCommission or its Shanghai SubCommission at the Claimant’s option in accordance with its existing rules of arbitration. The charges arising from the arbitration shall be undertaken by the losing party. 34 第三節(jié) 不可抗力 一、不可抗力事件的含義 所謂不可抗力是指不能預(yù)見、不能避免并不能克服的客觀情況。在貿(mào)易實踐中，能夠構(gòu)成不可抗力事件要有一定前提條件，即 : （ 1）發(fā)生在合同訂立之后； （ 2）不是合同當(dāng)事人的過失或疏忽造成的； （ 3）當(dāng)事人是無法預(yù)見、無法控制、無法避免和無法克服的。 35 二、不可抗力事件的范圍 （ 1）自然力事件。指人類無法控制的自然界力量所引起的災(zāi)害，如水災(zāi)、火災(zāi)、風(fēng)災(zāi)、旱災(zāi)、雨災(zāi)、冰災(zāi)、雪災(zāi)、雷電和地震等。 （ 2）社會力事件。如當(dāng)局發(fā)布新的法律、法規(guī)和行政禁令等；再如戰(zhàn)爭、罷工、暴動、騷亂等事件。 匯率變化、價格升跌、貨幣貶值、能源危機(jī)、機(jī)器故障、怠工、關(guān)閉工廠、船期變更等不屬于不可抗力事件的范圍。 36 三、不可抗力事件的處理 （ 1）變更或解除合同。變更合同是指由一方提出并經(jīng)對方同意，對合同內(nèi)容作適當(dāng)?shù)淖兏薷?，如延遲交貨、分期裝運、替代交付和減量履行。 （ 2）免責(zé)的期限。不可抗力事件的免責(zé)對障礙存在的期間有效。如果合同沒有宣告失效，則合同關(guān)系繼續(xù)保留，一旦履約障礙解除，雙方仍要繼續(xù)履行合同。 （ 3）通知和證明。不可抗力事件發(fā)生后，受害一方必須及時通知對方，并提供有效的證明文件，在事故通知中提出明確的處理方案，否則不能免責(zé)并自己負(fù)擔(dān)后果。 37 四、合同的不可抗力條款 條款內(nèi)容及注意事項 （ 1）雙方應(yīng)了解對方的貿(mào)易習(xí)慣及對方國家法律的有關(guān)規(guī)定，以確定不可抗力條款的內(nèi)容。 （ 2）雙方應(yīng)在合同中規(guī)定，明確不可抗力事件的范圍。 （ 3）在什么情況下可以解除合同，在什么情況下可以延期履行合同。 （ 4）一方發(fā)生不可抗力事件后通知對方的期限和方式，列出具事件證明文件的機(jī)構(gòu)。 38 條款示例 If the shipment of contracted goods is prevented or delayed in whole or in part by reason of war, earthquake, fire, flood, heavy snow, storm or other causes of Force Majeure, the Seller shall not be liable for nonshipment or late shipment of the goods of this contract.
