ia suppliers or that arise out of or in connection with AGENCY’s performance of the services or any additional services(the “Applicable Taxes”) shall be for the account of ADVERTISER.18. (a) ADVERTISER shall not require AGENCY to do anything prohibited, or to omit to do anything required, by the Advertising Law or other law of the People’s Republic of China.(b) Only ADVERTISER is entitled to reply on AGENCY’s undertakings in this Letter, which shall not give rise to any liability of AGENCY toward any third party(including without limitation any panies affiliated with ADVERTISER). (c) This liability of AGENCY to ADVERTISER in relation to any services, or in relation to any failure to provide any services, shall be limited to the total amount of mission received by AGENCY in respect of such services, provided that AGENCY’s liability to ADVERTISER shall be further limited by the succeeding paragraph.(d) AGENCY shall not be liable for any actions, proceedings, costs, damages, losses, claims or demands in respect of, or in any way arising out of, any material provided by or approved by ADVERTISER or any instructions provided by ADVERTISER and ADVERTISER shall indemnify AGENCY in respect thereof.19. The signature of ADVERTISER upon the enclosed duplicate of this Letter will constitute its acceptance of the terms hereof.20. This agreement should be governed by and shall be construed in accordance with the laws of the People’s Republic of China.Very truly yours, Gamp。20 本協(xié)議受中國法律所制約,并須根據(jù)中國法律詮釋。(d) 任何與廣告主所提供或認可的任何物料有關(guān),或與廣告主的任何指示有關(guān),或由之而引起的行動、訴訟、費用、損毀、損失、索償或追究,代理商均毋須承擔(dān)任何責(zé)任,而廣告主須向代理商就有關(guān)事項做出賠償。代理商毋須就有關(guān)的承諾而向第三者(包括但不限于任何與廣告主有關(guān)的公司)負任何責(zé)任。18 (a) 廣告主不能要求代理商做出中華人民共和國廣告法或中華人民共和國其它法律禁止進 行的任何事情,亦不能要求代理商不做該等法律規(guī)定必須進行的任何事情。(h) 代理商同意與廣告主及新代理公司合作落實有效率的責(zé)任移交工作。在期限(90日)屆滿后廣告主未作此類要求,則該期滿,日后雙方的關(guān)系不再產(chǎn)生任何權(quán)利及義務(wù)。(f) 廣告主亦可選擇委托代理商在90日通告期限之后的任何日期發(fā)放廣告予傳播媒 介。(e) 廣告主同意償還代理商任何之前由廣告主授權(quán)而未能完成工作的制作成本及附加 傭金。(d) 代理商亦將交回一切由廣告主提供有關(guān)廣告主產(chǎn)品、銷售、數(shù)據(jù)等資料以及研究資料。所有虧欠的費用及回扣仍將歸入廣告主的帳戶,不須調(diào)整之前所支付的傭金。(b) 在上述通知期限內(nèi),代理商及廣告主的一切權(quán)利、義務(wù)及責(zé)任仍將完全執(zhí)行及生效,包括完成廣告主授權(quán)代理商進行的發(fā)放廣告稿,計劃發(fā)稿至任何截稿時間在上述上述通知90日期限內(nèi)的媒介。15 本協(xié)議書將由________年____月____日起生效,直至上述列出地址或任何一方以書面另提地址所代表的任何一方解除為止。14 代理商員工執(zhí)行慣常的工作任務(wù),例如實地考察以改善廣播時間以及日常往返廣告主辦事處等,由此產(chǎn)生的正常交通費,代理商將不收費用。12 由廣告主授權(quán)的下述服務(wù),整體活動設(shè)計及策劃,代理商將按每小時費用收取,另加實報實銷成本,或任何經(jīng)雙方事先同意的金額。10 代理商提出第三單位之確切依據(jù),根據(jù)規(guī)定,若需預(yù)付款的,廣告主須為電視廣告制作及預(yù)定媒介廣告時間/篇幅預(yù)付實付廣告制
