【正文】 undertakes as follows：　　為了促使 （公司名稱），一家（州名）公司，和協(xié)議中列明的任何其他共買(mǎi)方或參與者（買(mǎi)方）根據(jù)如下，或根據(jù)買(mǎi)賣(mài)雙方任何其他現(xiàn)有的或未來(lái)的協(xié)議（以下一并簡(jiǎn)稱為協(xié)議）向賣(mài)方提供及/ 或繼續(xù)提供資金融通，并考慮到買(mǎi)方迄今為止已經(jīng)或今后將要向賣(mài)方或?yàn)橘u(mài)方利益支付的任何貸款、預(yù)付款或融資，無(wú)論其是否與協(xié)議有關(guān)，下列簽字的賣(mài)方職員、經(jīng)授權(quán)的賣(mài)方代理人或賣(mài)方的第三方擔(dān)保人（以下一并且各自簡(jiǎn)稱為保證人）均據(jù)此連帶擔(dān)保、承諾及保證如下：對(duì)擔(dān)保的終止應(yīng)在書(shū)面通知買(mǎi)方后始適用，并且僅適用于在終止日前已經(jīng)開(kāi)始的交易。除非本擔(dān)保書(shū)終止，擔(dān)保人同意，其債務(wù)只有在已充分償付款項(xiàng)并付清利息的情形下方為履行。3. Rights are Independent. 擔(dān)保權(quán)利獨(dú)立Guarantor agrees that it is directly and primarily liable to　　Buyer， that the obligations hereunder are independent of the obligations of Seller and　that a separate action or actions may be brought and prosecuted against Guarantor，　whether action is brought against Seller or whether Seller is joined in any such action or actions. Guarantor agrees that any releases which may be given by Buyer to Seller or any other guarantor or endorser shall not release it from this Guaranty.　　擔(dān)保人同意由其直接并主要地向買(mǎi)方承擔(dān)責(zé)任，本擔(dān)保書(shū)項(xiàng)下的義務(wù)獨(dú)立于賣(mài)方的義務(wù)。擔(dān)保人同意，擔(dān)保人在本擔(dān)保書(shū)項(xiàng)下的義務(wù)不因買(mǎi)方可能給予賣(mài)方、任何其他擔(dān)保人或背書(shū)人的義務(wù)免除而免除?！　?. Default. 　第四條 違約。 Guarantor agrees to indemnify Buyer and hold Buyer harmless against all obligations， demands and liabilities， by whomsoever asserted and against all　losses in any way suffered， incurred or paid by Buyer as a result of or in any way arising out of， following or consequential to transactions with Seller whether under the Agreements， or otherwise， and also agrees that this Guaranty shall not be impaired by any modification， supplement， extension or amendment of any contract or agreement to which Buyer and Seller may hereafter agree， nor by any modification， release or other alteration of any of the Obligations hereby guaranteed or of any security therefor， nor by any agreements or arrangements whatever with Seller or anyone else.　　擔(dān)保人同意對(duì)買(mǎi)方作出補(bǔ)償，并使買(mǎi)方免于向任何人承擔(dān)任何義務(wù)、要求及責(zé)任，并使買(mǎi)方免于承擔(dān)因根據(jù)協(xié)議等與賣(mài)方交易而直接、隨后或間接產(chǎn)生的損失。Guarantor hereby authorizes Buyer， without notice or demand and without affecting its liability hereunder， from time to time to：　　擔(dān)保人據(jù)此授權(quán)買(mǎi)方，在不影響本擔(dān)保書(shū)項(xiàng)下?lián)Ｈ肆x務(wù)的情形下，買(mǎi)方可以無(wú)須通知或提出要求，不時(shí)地：　　 release or substitute any one or more endorser（s） or guarantor（s）； and　　豁免或替換任何一個(gè)或數(shù)個(gè)背書(shū)人或擔(dān)保人；以及Guarantor hereby waives any right to assert against Buyer as a defense， counterclaim， setoff on cross claim， any defense （legal or equitable）， setoff， counterclaim and claim which Guarantor may now or at any time hereafter have against Seller and any other party liable to Buyer in any way or manner.　　擔(dān)保人據(jù)此放棄任何對(duì)買(mǎi)方提出抗辯、反訴及在交叉訴訟中提出抵銷的權(quán)利，同時(shí)放棄擔(dān)保人現(xiàn)在或今后隨時(shí)可能針對(duì)賣(mài)方及以任何方式對(duì)買(mǎi)方負(fù)有義務(wù)的他方提出任何抗辯（普通法或衡平法上的抗辯）、抵銷、反訴和訴訟的權(quán)利?！　uarantor hereby waives all defenses， counterclaims and offsets of any kind or nature， arising directly or indirectly from the present or future lack of perfection， sufficiency， validity or enforceability of the Agreements or any security interest thereunder.　　擔(dān)保人據(jù)此放棄因協(xié)議在完整性、充分性、有效性或可執(zhí)行性方面存在現(xiàn)實(shí)的或潛在的缺陷而直接或間接產(chǎn)生的所有種類的抗辯、反訴及抵銷的權(quán)利，并放棄由協(xié)議產(chǎn)生的任何擔(dān)保權(quán)益?！　uarantor hereby waives any defense arising by reason of any claim or defense based upon an election of remedies by Buyer， which， in any manner impairs， affects，　reduces， releases， destroys or extinguishes Guarantors subrogation rights， rights to　proceed against Seller for reimbursement， or any other rights of the Guarantor or　against any other person or security， including， but not limited to， any defense based　upon an election of remedies by Buyer under the provisions of applicable state law， orof the United States.　　擔(dān)保人據(jù)此放棄就買(mǎi)方基于其選擇的救濟(jì)措施而產(chǎn)生的任何主張或抗辯提出任何抗辯，盡管買(mǎi)方采取的救濟(jì)措施已損害、影響、減少、解除、破壞或消滅了擔(dān)保人的代位權(quán)、起訴賣(mài)方以求償?shù)臋?quán)利或其他權(quán)利，或是針對(duì)其他人或擔(dān)保物的權(quán)利，擔(dān)保人放棄的抗辯包括但不限于，基于買(mǎi)方根據(jù)適用的州法或合眾國(guó)法規(guī)定采取救濟(jì)措施而產(chǎn)生的任何抗辯?！　uarantor waives all presentments， demands for performance， notices of nonperformance， protests， notices of protests， notice of dishonor， notices of default，　notice of acceptance of this Guaranty， and notices of the existence， creating or　incurring of new or additional indebtedness，
